Business condition attached to the margin of safety Trailing-twelve-month owner earnings (cash from operations before working-capital changes, less stock-based compensation, less capital spending) of at least $2.0 million, about $0.14 per share, as shown in two consecutive quarterly filings.
Champions Oncology sells preclinical cancer research to drug developers. Customers pay for studies run on its TumorBank of patient-derived tumor models implanted in mice, plus computational analysis. The company says it has done studies for about 500 pharmaceutical and biotech companies over the past ten years, with a high rate of repeat business; typical studies are around $125,000, with a growing number at $250,000 to $500,000. In the year ended April 2026 revenue was $59.4 million (up 4.4%): pharmacology services $57.1 million (up 17.6%), data licences $0.8 million (down from $4.7 million, when one customer did a single large transaction), and other services (flow cytometry and Lumin software) $1.5 million (down from $3.7 million as the company shifted focus away from flow cytometry). One customer was 24% of revenue and 25% of receivables. What the business has actually left for owners. We measure owner earnings as operating cash flow with the swings in customer prepayments, receivables and payables taken out, less stock-based pay and less the capital spending needed to stand still. Over the ten fiscal years to April 2026 that totals about negative $16.3 million. Only three years were positive (fiscal 2019 +$0.7 million, 2022 +$0.6 million, 2025 +$5.9 million), never two in a row. Fiscal 2025 included the $4.7 million data licence; fiscal 2026 came in at negative $0.3 million (negative $0.03 per share). Revenue almost tripled from $20.2 million in fiscal 2018 to $59.4 million, but the growth has not reached owners because costs kept pace: in fiscal 2026 R&D rose 33% to $9.1 million (data platform), sales and marketing rose 23.5% and general and administrative 19.4%, so operating expenses rose $5.7 million against a $2.5 million revenue gain, and the company moved from a $4.6 million operating profit to a $1.1 million operating loss. The level we use. We use the five years since revenue passed $49 million (fiscal 2022 to 2026): +$0.04, -$0.35, -$0.41, +$0.42 and -$0.03 per share. That window holds both a downturn year (fiscal 2024 revenue fell 6.9%) and the licence-driven peak. Its middle value is about negative $0.025 per share, or roughly negative $0.35 million a year: essentially break-even. The latest quarter (May to July 2026) does not move that level. Revenue rose 8.8% to $15.2 million and gross margin was 50.5% against 42.9% a year earlier, and during fiscal 2026 the company moved radiopharmacology testing in-house, which it expects to reduce outsourced lab costs in fiscal 2027. But R&D, sales and marketing and G&A rose $1.6 million, nearly all of the $1.7 million gross-profit gain; the operating loss narrowed only to $0.41 million from $0.53 million and owner earnings were about negative $0.1 million versus negative $0.2 million. Stock-based pay was $0.77 million in the quarter against $0.21 million a year earlier. For the near-term path: owner earnings fell from +$5.9 million to -$0.3 million in the last full year; we start at the typical level rather than assuming a further fall, because the latest quarter was no worse than a year earlier and the in-house radiopharmacology change is already in place. We credit no growth beyond that. Revenue growth is not owner growth here, and lower deferred revenue (customer prepayments fell from $15.4 million to $8.8 million in fiscal 2026, which the company attributes to lower bookings and billing timing) argues against extrapolating it. Left out: margin gains that have so far been spent on costs, a repeat of the large data licence, and any cost-cutting turnaround, none of which has yet shown up in cash. Debts. The company has no borrowings. Total liabilities of $22.9 million at April 30, 2026 are payables $6.9 million, accrued liabilities $2.6 million, customer prepayments $8.8 million, lease obligations $4.5 million and $0.1 million other. Cash was $4.4 million at July 31, 2026 ($4.9 million at April 30) against customer prepayments of $9.6 million, and working capital is roughly break-even, so we treat the cash as needed to run the business, not as a surplus. Management says cash and expected operating cash flow are adequate to fund operations through at least August 2027. In every case below the business is worth what is shown and owes no borrowed money, so equity equals business value. Bear: worth $0 per share. The company's own record is the template: in fiscal 2023 and 2024, when biotech funding tightened, owner earnings were -$4.7 million and -$5.6 million (together -$10.3 million) and revenue fell 6.9% in fiscal 2024. A single customer at 24% of revenue, prepayments already down 43% on weaker bookings, and a burn like fiscal 2024's $5.6 million against $4.4 million of cash would exhaust cash in under a year. The company has raised equity before (about $4.3 million net in its June 2016 offering); our judgement is that a raise at a trough price would leave today's holders with little or nothing. Conflict affecting Israel is a further named exposure: the chairman lives there, one subsidiary is based there and several customers operate there. Base: worth $0 per share. The typical level is slightly below zero, gross-profit improvements have so far been absorbed by higher spending, and nothing evidenced converts the revenue base into owner cash. That does not mean the platform has no value to an owner who controls costs; it means we cannot name evidence that today's holders will receive that value. Bull: worth about $1.29 per share (future cash discounted at 6% a year). It rests on two named levers that the company itself has already demonstrated: gross margin returning to the 50.1% of fiscal 2025 from 48.0% on fiscal 2026 revenue (+$1.3 million; the first quarter of fiscal 2027 was already 50.5%), and data-licence revenue at the average of the last two years, $2.7 million against $0.8 million (+$2.0 million of revenue, of which we assume half reaches owners, +$1.0 million), with operating expenses held at the fiscal 2026 level. That gives owner earnings of about $1.9 million, or $0.14 per share on about 13.9 million shares, for ten years ($1.01) and then fading to zero over the following ten ($0.28), reflecting a customer base and tumor bank that have produced revenue for years but with no evidence of earnings that last forever. About 2.6 million options and other securities excluded from the latest quarter's share count would dilute this slightly; we have not modelled that. Margin-of-safety price. We are not confident of the earnings level: ten years have produced a net cash drain and no two consecutive positive years. The worst plausible outcome is a repeat of fiscal 2023-24 with the largest customer lost, which, in our judgement, cash of $4.4 million against $9.6 million of prepayments would not outlast without issuing shares at a low price; having no borrowings means no lender can force a restructuring, but also that new equity would be the fix. If we are too pessimistic and the margin and licence levers deliver, the shares are worth about $1.29; if we are too optimistic, they are worth nothing. No dividend has been paid or is anticipated, so the only return over the holding period comes from earnings retained in the business, and the price assumes a holding period of about three years. On today's evidence no price implies a 20% annual return, so no margin-of-safety price applies until the business shows what the bull case assumes. If it reports trailing-twelve-month owner earnings of at least $2.0 million (about $0.14 a share) in two consecutive quarterly filings, the margin-of-safety price is $0.30. At that price, $0.14 a year of owner earnings equals the price in about two years and implies 20% a year if it lasts three; nothing in the record shows earnings lasting that long, so the price credits three years and nothing beyond. If the earnings faded after one year, about half the price would be recovered. Our earlier estimate for this company assumed a restoration of cost discipline that the filings through July 2026 do not yet show, and was built on a different basis; its figures are not comparable with these.
