Business condition attached to the margin of safety A signed licensing, partnership, or distribution agreement that produces revenue, or positive efficacy (not just safety) data from one of the company's Phase 1/2 trials (AlloStemSpine/StemSpine for chronic lower back pain, or CELZ-201 CREATE-1 for Type 1 diabetes).
Creative Medical Technology Holdings is a clinical-stage regenerative-medicine company developing cell-based therapies in immunology, endocrinology, urology, neurology and orthopedics. Its furthest-along programs are AlloStemSpine (CELZ-201-DDT), a Phase 1/2 trial for chronic lower back pain that finished dosing its ten-participant safety cohort without serious adverse events, and CELZ-201 CREATE-1, an FDA-cleared Phase 1/2a trial for recent-onset Type 1 diabetes. Both are still in early safety-stage testing; neither has produced efficacy data, an approved product, or a signed partnership that generates revenue. Reported revenue has been a few thousand to a couple hundred thousand dollars a year -- immaterial next to the cost base -- and the company has covered its costs every year since going public with cash raised from selling new shares rather than from its business. Because there is no revenue-producing product and no licensing deal in hand, this analysis cannot put a value on the pipeline itself -- only on the cash the operating business consumes each year, which is real and recurring. Owner earnings (operating cash flow, after backing out working-capital swings, stock-based compensation, and maintenance capital spending, of which the company has none since it owns no manufacturing equipment) have been negative every year on record. The three most recent full years, 2023 through 2025, averaged roughly $5.5 million of cash burn a year, which anchors this analysis; that period reflects the business since it retired its convertible debt and derivative-linked liabilities in 2021-2022 and moved to funding itself purely through share sales. Spread over the roughly 6.5 million shares outstanding as of mid-2026 (up from 2.4 million a year earlier, after another large share sale), that is currently about $0.85 of cash loss per share per year, in line with the pace shown in the two most recently reported quarters. All three cases here assume that pace of cash consumption continues for the next ten years, because nothing in the filings -- no signed partnership, no completed pivotal trial, no regulatory approval -- currently supports assuming the company begins generating material revenue. The base case holds the burn roughly flat to the recent run rate. The bear case assumes burn runs somewhat higher, reflecting real near-term financing pressure the company discloses (funding is confirmed only into the first half of 2027), an ongoing milestone-payment schedule tied to its licensed patents, and a financing term that doubles the shares owed under one such milestone if the stock trades below one cent -- a real, contractual dilution risk if the share price stays depressed. The bull case assumes continued cost discipline of the kind already demonstrated once, when the company cut its cash loss almost in half between 2022 and 2023. None of the three cases assumes the pipeline succeeds, is licensed, or is approved -- those are real possibilities for the business but are not yet supported by evidence in the filings, so under the evidence-only approach used here they carry no value until something specific happens: a signed licensing or partnership agreement, or positive efficacy (not just safety) data from one of the ongoing trials. On that basis, the current operating business has no positive value: discounting ten years of the expected cash loss at a 6% rate produces roughly $(5.10) per share in the bull case, $(6.34) in the base case, and $(8.50) in the bear case. That does not mean the shares are worthless in the market -- the company holds roughly $7 million of cash and an early-stage pipeline that could prove valuable if a trial reads out well or a partner signs on -- but this analysis, by design, does not assign speculative value to outcomes that have not yet happened. On the evidence available today, no positive price is supported by demonstrated business fundamentals; any value above that rests on clinical or deal-making outcomes not yet in evidence. The margin-of-safety price is therefore $0. One item worth flagging without alarm: the original patent behind the company's amniotic-fetal-stem-cell platform, licensed in 2016, expires this year. It has not been a meaningful source of revenue to date, so its expiration does not materially change this analysis, but it is one more program whose commercial window has closed without ever producing revenue.

Anchor window (FY2023-FY2025, median = FY2024's -$3.64) chosen because the pre-2023 capital structure (convertible notes, derivative liabilities, debt-discount amortization) was eliminated by 2022 and is not representative of the business as it exists now; FY2022 also reflects a materially higher spend level before the cost discipline evidenced by the ~48% drop in dollar OE loss from FY2022 to FY2023.
