Business condition attached to the margin of safety At least two more quarters of filed results showing operating cash flow continuing to improve on the trajectory shown in the first half of 2026 (a swing to positive from a year-earlier loss), and a disclosed refinancing plan for the roughly $750 million of notes coming due in 2027 -- the same year the T-Mobile transition payments that have been helping fund the integration run out.
Cogent Communications operates a facilities-based fiber network that sells internet connectivity, dark fiber and optical wavelength services to businesses and to other network operators ("NetCentric" customers such as content and cloud companies), plus a growing IPv4 address-leasing business built on a large inventory of scarce internet addresses it owns. In May 2023, Cogent closed an unusual transaction: it acquired T-Mobile's legacy enterprise and wholesale wireline network (the former Sprint business) for essentially nominal cash consideration. T-Mobile also agreed to pay Cogent $700 million over roughly four and a half years to help fund the losses of that acquired business while Cogent integrates it -- winding down redundant legacy circuits, migrating customers onto Cogent's own network, and monetizing the newly acquired assets (including a large block of IPv4 addresses) through optical wavelength and dark fiber sales. Through the end of 2025, Cogent had received $508 million of that $700 million, with the remaining roughly $192 million scheduled to arrive in monthly installments through approximately the end of 2027. This deal roughly doubled the company's revenue but has been expensive to digest. Combined revenue reached just over $1.0 billion in 2024 before slipping to about $976 million in 2025, as legacy circuits from the acquired network continue to churn off faster than they're being replaced. At the same time, capital spending needed to integrate and consolidate the two networks jumped sharply -- from under $80 million a year before the deal to roughly $188-195 million a year in 2024 and 2025. The combination of declining acquired revenue and elevated integration capital spending pushed the cash the business generates from operations into negative territory in both 2024 and 2025, even after adding back all non-cash charges. Notably, the $700 million T-Mobile funding described above is booked as an investing cash inflow rather than as operating cash, so it does not show up in that operating cash flow figure at all, even though it is real money helping carry the business through the transition. Management's own response to this cash strain has been telling: in the fourth quarter of 2025 the board cut the quarterly dividend from just over $1.00 per share to $0.02 per share -- a roughly 98% reduction -- freeing up more than $150 million a year that had previously been paid out. The first half of 2026 shows the combined effect: operating cash flow swung to a positive $18 million, compared with a loss of about $8 million in the same period a year earlier. Because the company's cash-generating profile has been fundamentally reshaped by this acquisition, this valuation is anchored on the two full years since the deal closed (2024 and 2025) rather than on the years before it, which describe a materially different, smaller business. On that basis, current owner earnings run at roughly negative $3.60 to $3.80 per share -- a loss, not a profit, on this measure today. The prior, pre-acquisition business had been a steadily profitable one, with owner earnings per share rising from roughly $1.17 in 2016 to around $1.30-$1.84 a year through 2022; that record is relevant context for what the combined, larger business can plausibly earn once fully integrated, but it cannot be projected forward unchanged given how much has changed. Three cases were built from named, dated facts already in the filings, not from hoped-for outcomes: The base case assumes the recovery already visible in the first half of 2026 continues at a similar pace -- losses shrinking through 2026 and 2027 while the T-Mobile funding is still flowing, turning to a modest profit by around 2028 as integration capital spending normalizes and the retained dividend cash strengthens the balance sheet, then growing toward roughly $2 per share of owner earnings by the mid-2030s as the now-larger, combined network is fully monetized. This produces a present value of about $26 per share. The bear case assumes the recovery stalls: legacy revenue keeps declining, integration costs stay elevated, and the roughly $750 million of notes due in 2027 -- arriving in the same year the T-Mobile funding runs out -- has to be refinanced on worse terms or forces asset sales. Under this case, owner earnings stay negative through the rest of the decade before stabilizing only modestly above breakeven. Discounted back, this case is worth about negative $6 per share -- meaning, in the worst evidenced outcome, the company's obligations could plausibly exceed what the business is worth, not merely produce a disappointing return. This is a real, if not most-likely, possibility given how much of the story still depends on execution. The bull case assumes the improvement already seen in early 2026 continues at that faster pace, the 2027 debt is refinanced without difficulty, and the company more fully exploits its large unused inventory of IPv4 addresses (it owns about 38 million, of which only 15.3 million were leased out as of the end of 2025) alongside growing dark-fiber and wavelength sales to the newly acquired customer base. This case is worth about $43 per share. Given the width of that range -- including a bear case that turns negative -- a considerable margin of safety is warranted. The margin-of-safety price is in the neighborhood of $12-13 per share, and it assumes confirmation of the 2026 recovery trend continuing, along with clarity on refinancing the 2027 debt. One item could not be fully reconciled from the filings: the exact split of 2025's revenue decline between customer churn versus pricing versus one-time contract terminations in the acquired business was not separately disclosed, so the pace of further legacy-revenue erosion assumed in each case is this analysis's own estimate rather than a figure taken directly from the filings.

Included in the current 2-year valuation anchor (FY2024-2025). Revenue decline reflects continued runoff of legacy TDM/wireline circuits in the acquired Cogent Fiber Business as customers migrate off; in Q4 2025 the Board cut the quarterly dividend from over $1.00/share to $0.02/share, a specific, dated, disclosed capital-allocation response to the cash-flow strain evidenced here. The $700.0M IP Transit Services Agreement with TMUSA ($100.0M received in 2025, $508.3M cumulative through 12/31/25 of the $700.0M total, remaining ~$191.7M payable at $8.3M/month through roughly Q4 2027) remains classified as investing, not operating, cash and is excluded from CFO/OE. OE = CFO - WC movement - SBC - maintenance capex. First full fiscal year with the Cogent Fiber Business combined for 12 months. CFO=-$8,645K; WC (AR +38,541; prepaid -5,839; due to TMobile TSA -66,383; due from TMobile TSA +4,452; deposits -3,966; AP +2,852)=-$30,343K; SBC=$25,738K; capex=$194,998K. Capex ratio = mean(capex/revenue) over the FY2024-2025 anchor window = mean(18.82%,19.22%)=19.02%; revenue rose $95,182K vs 2023 so growth capex=$18,106K; maintenance capex=$194,998-$18,106=$176,892K. OE=-$8,645-(-30,343)-$25,738-$176,892=-$180,932K; diluted shares=47,627,873; OE/sh=-$3.80. Reconciliation check: net income (-$204,074K) + D&A ($298,018K) + other non-cash adjustments (debt-discount amort +$3,688K, TMobile discount amort -$24,515K, gain on bargain purchase true-up -$22,202K, lease-termination gains -$3,332K, deferred taxes -$51,623K) = $21,698K, which exactly equals CFO - WC ($-8,645-(-30,343)=$21,698K) - built directly from the filed statement, so the reconciliation check ties out exactly (0% gap). Included in the current 2-year valuation anchor (FY2024-2025), representing the business as it exists post-transformation. Note: the $700.0M IP Transit Services Agreement with TMUSA (funding integration losses, $204.2M received in 2024) is booked as investing, not operating, cash and is therefore excluded from CFO/OE even though it is real cash materially supporting the business during the transition. 2023 -$2.66 ▼
OE = CFO - WC movement - SBC - maintenance capex. Business transformed May 15, 2023 by acquisition of the Cogent Fiber Business (former Sprint/T-Mobile wireline network) for nominal cash consideration, producing a $1,406,435K non-cash bargain-purchase gain (already correctly excluded from CFO). CFO=$17,345K; WC (AR -51,002; prepaid -11,001; due to TMobile TSA +66,908; due from TMobile TSA -4,514; deposits -1,548; AP -10,905)=-$12,062K; SBC=$26,924K; capex=$129,632K. Revenue rose $341,318K vs 2022, but this jump was acquisition-driven (inorganic), not capex-funded, so the mechanical growth-capex formula was overridden: growth capex set to $0 and maintenance capex = full capex = $129,632K (judgment call, stated per methodology). OE=$17,345-(-12,062)-$26,924-$129,632=-$127,149K; diluted shares=47,837,512; OE/sh=-$2.66. This is a distorted, partial-integration transition year (7.5 months combined operations, huge one-off refinancing and bargain-purchase items) and is EXCLUDED from the valuation anchor per project methodology (exclude distorted years); FY2024-2025 are used instead. A further complication: under the deal's IP Transit Services Agreement, TMUSA is paying Cogent $700.0M total to help fund the Cogent Fiber Business's integration losses; $204.2M was received in 2023 but is classified as investing, not operating, cash, so it does not appear in CFO/OE at all despite materially funding the transition.
