Business condition attached to the margin of safety The November 2026 $646.7 million term loan refinancing completing on terms consistent with the company's current cost of capital, and clarity on the disposition of the three flagged non-core malls.
CBL & Associates owns and operates enclosed shopping malls and open-air retail centers, concentrated in secondary and tertiary markets across the South and Midwest, with some newer presence in the West through recent acquisitions. The company emerged from Chapter 11 bankruptcy in November 2021 with a substantially reduced debt load and a smaller, more concentrated portfolio after shedding its weakest assets in the reorganization; because the bankruptcy is several years in the past and the capital structure it produced is what exists today, we have measured owner earnings only from the post-emergence period forward, since the pre-2021 business operated under a fundamentally different, since-restructured capital structure. Owner earnings since emergence have been supported by mall occupancy that has held up better than the pre-bankruptcy trend, driven by re-tenanting vacated department-store boxes with a mix of entertainment, dining, and off-price retail uses rather than traditional department stores. The company continues to carry meaningful leverage relative to a typical mall REIT, which we treat as a bear-case risk rather than as a reason to raise the discount rate: a $646.7 million term loan matures in November 2026 and must be refinanced, and three specific non-core malls have been flagged internally as under review for potential disposition or further restructuring. The base case assumes the November 2026 term loan is refinanced on terms broadly similar to the company's current cost of capital and that the three flagged malls are resolved (sold or stabilized) without a material additional impairment. The bear case assumes the refinancing occurs on materially worse terms given the leverage already in place, or that one or more of the flagged malls requires a value-destructive disposition, consistent with the kind of asset-specific problems that have recurred at this company's weaker properties. The bull case assumes the refinancing is completed on favorable terms given improved post-emergence performance, and that the flagged malls are resolved at values consistent with the company's stronger assets rather than its weakest. Given the leverage and the specific near-term refinancing event, this is a name where the business condition — a clean refinancing — matters as much as the price.
