Bridgewater Bancshares owns Bridgewater Bank. The bank was founded in 2005 and has its headquarters in St. Louis Park, Minnesota. It lends almost entirely to borrowers in the Minneapolis-St. Paul area, from nine offices. It is a commercial real estate lender first. At the end of 2025 it had $4.31 billion of loans. Multifamily apartment loans were 36.8% of the book, non-owner-occupied commercial property 27.0%, business loans 12.7% and 1-4 family mortgages 11.5%. Total assets were $5.41 billion and deposits $4.32 billion. Growth has mostly been organic. In December 2024 it bought First Minnetonka City Bank, which added about $245 million of assets. The company pays no common dividend. It keeps its earnings to grow the balance sheet, and it has $66.5 million of preferred stock that ranks ahead of the common shares. How we measured earnings. A bank's operating cash flow mostly reflects loan and securities flows, so we built earning power from reported profit. We started with net income, subtracted preferred dividends, and added back depreciation and the amortization of acquisition intangibles. Then we deducted the capital spending needed to keep the branches and systems running. Loan-loss provisions and stock-based pay stay in as real costs. The bank spent heavily on capital in 2019 and 2020 to build a new headquarters, which was placed in service in the third quarter of 2020. We treated that as a one-time project, not an ongoing cost. On this basis, earnings per share were $1.62 in 2021, $1.78 in 2022, $1.26 in 2023, $0.97 in 2024 and $1.44 in 2025. The dip in 2023 and 2024 came from funding costs: interest expense rose from $34.0 million in 2022 to $117.2 million in 2023 as deposit rates caught up. Those five years cover a full interest-rate cycle, from very low rates through the deposit squeeze and back to recovery, so we used their median, $1.44 per share, as the normal level. On book value, the same five years produced a median return of about 10.6%. Common book value per share was $16.23 at the end of 2025. The recent trend is better than that level. Net interest income was $132.4 million in 2025, up from $102.2 million in 2024. In the first half of 2026 it was $75.2 million, up about 20% from a year earlier. First-half 2026 profit included roughly $7 million of one-time securities gains in the first quarter, which we excluded. Without them, the business is earning at about $1.62 per share a year. That is 12.5% above the $1.44 level, and below the 48.5% growth actually achieved in 2025, so it is the starting point for our middle case. Base case, $34.51 per share. The bank earns about 10% on its common equity. It grows its balance sheet and earnings about 7% a year for ten years. That is slower than the 11.4% loan growth in 2025 and the roughly 11.5% annual growth in book value per share from 2020 to 2025. We slowed it on purpose because the loan book is already heavily weighted to commercial real estate. Each year the bank keeps the equity it needs to support that growth, and only the rest counts as cash to owners. After year ten we assume no further growth, only that earnings hold steady. Our reason is that a franchise with twenty years of building deposit and lending relationships in one large metropolitan market does not vanish. About 86% of this value comes from the years after 2035, so it depends on the franchise lasting. Bear case, $19.40 per share. This case builds on two risks the filings already show. The first is concentration. Investor commercial real estate loans totalled $3.01 billion, or 473% of the bank's total risk-based capital, up from 462% a year earlier. That includes $1.59 billion of apartment loans. Nonperforming assets rose from $0.3 million to $22.0 million during 2025, although net charge-offs were only 0.04% of loans. We assume losses of about 3% of the investor real estate book, around $2.45 per share after tax, spread over 2027 and 2028. The second risk is funding. As in 2024, the return on equity falls to about 7.5% and stays there. Growth slows to 3%, since regulators and the concentration limit how fast the bank can add property loans. The bank also relies on wholesale funding, with $399.5 million of Federal Home Loan Bank advances and $108.7 million of subordinated debt at the end of 2025, so a bad credit year would hurt more. Bull case, $48.13 per share. Margins keep improving: the second quarter of 2026 alone earned at an annual rate of about 11.5% on beginning-of-year common equity. The return settles at 12%, still well below the 16% to 17% the bank earned in 2021 and 2022. Growth runs at 9% a year for ten years, then earnings hold flat. The cases differ mainly on two things: how much the bank earns on its equity, and whether its concentrated apartment and commercial property lending causes real losses. Our estimate would be wrong on the downside if the rise in nonperforming loans in 2025 is the start of a property credit cycle and not a single problem credit. It would also be wrong if funding costs rise again the way they did in 2023. We could not tell from the annual filing exactly what produced the securities gains in early 2026, so we left them out entirely. The margin-of-safety price is about $19.00, which is near the bear-case value and roughly 45% below the base case. That margin reflects a lender with about ten dollars of assets for every dollar of equity and a loan book concentrated in one city's property market.
