Bank of Marin Bancorp is the holding company for Bank of Marin, a community commercial bank headquartered in Novato, California, serving businesses, professionals and households across Northern California. It earns money from the gap between what it charges on loans (about $2.1 billion, mostly commercial real estate and commercial loans) and securities and what it pays on deposits (about $3.4 billion, of which 36.7% pay no interest). Fees are a small side line. How we measured earnings. Banks do not fit a factory-style cash calculation, so we started from operating cash flow, deducted stock-based pay and the maintenance share of capital spending (small, roughly $1-2 million a year), and did not strip out the 'other assets and liabilities' line. For a bank that line is mostly deferred taxes and accruals rather than inventory-style timing swings; in 2025 the $17.2 million outflow in it is largely the tax asset created by the securities losses, which offsets a non-cash tax benefit in reported profit. This gives owner earnings per share of $1.92 (2016), $1.93, $2.84, $2.82, $2.84, $3.01, $3.28 (2022), $2.09, $1.70 (2024) and $2.29 (2025). Reported profit is far more volatile than this: 2024 and 2025 showed net losses of $8.4 million and $35.7 million because the bank sold low-yielding bonds at a loss ($32.5 million in 2024; $18.7 million in the second quarter and $69.5 million in the fourth quarter of 2025). Those losses are non-cash to the earning power going forward and are excluded from our earnings; the cost is that the bank's capital was drawn down and it raised $45 million of 6.75% subordinated notes in late 2025. Note that stock contributed to the employee ownership plan and directors (about $2 million a year, roughly $0.12 per share) is not in the stored series, so we deducted it in the level we used. Starting level. The bank was reshaped by the 2021 purchase of American River Bankshares, and 2022 was the peak of the rate cycle before deposit costs rose. We therefore use 2022-2025 (median $2.19) and take about $2.10 per share, after the stock-contribution deduction. We did not raise it for the stronger 2026 first half (net income $17.8 million, interest income up 19% from a year earlier) because operating cash flow in those six months ($13.3 million) has not yet confirmed it; we could not reconcile fully why cash flow lags reported profit, and the second-quarter 2026 report itself was not available to us beyond its financial data. Owner earnings rose 35% in 2025; we assume no growth from the $2.10 starting level in year one, which is lower than the trailing rate. Base case: $40 per share. Earnings of $2.10 in year one, growing 2% a year for years 2-10, then held flat. Growth credited: the bank's own retained earnings (roughly half of earnings are kept after a $1.00 annual dividend) reinvested in loans at a pace consistent with its record (loans grew $37.6 million in 2025; originations rose to $273.5 million). After year 10 we assume the deposit franchise keeps earning at that level with no further growth: the evidence is that operating cash flow has been positive in every year since 2014 and a lending and deposit relationship base of this kind persists. We left out any margin expansion beyond what is already visible, and any acquisitions. Bear case: $19 per share. A repeat of the credit stress already visible: non-accrual loans are $26.9 million (1.27% of loans), and in 2024 a single commercial real estate loan needed a $6.6 million specific reserve as collateral values fell. Earnings settle at $1.50 (below every year in our series), flat for ten years, then the franchise erodes 5% a year as deposit competition and the higher cost of the new subordinated debt weigh. The bank owes more than it can easily shed if losses recur, which is why this case sits about half of base. Bull case: $51 per share. The $593 million of bonds sold in late 2025 has already been swapped into higher-yielding loans and securities (the bank's net interest margin rose from 2.55% to 2.94% in 2025), and the first-half 2026 profit rate annualizes near $2.2-2.3 per share on a reported basis. Earnings of $2.50 in year one, 3% growth through year 10, flat thereafter. What would make this wrong: a rise in commercial real estate losses beyond the bear case, deposit outflows (31% of deposits are uninsured or uncollateralized), or further capital raising at dilutive prices. The margin-of-safety price of $24 reflects a substantial margin below the base value, keyed to the bear case, because this is a leveraged, credit-exposed regional bank with a recent history of losses and a capital rebuild.
