BCB Bancorp is a community bank based in Bayonne, New Jersey, operating through BCB Community Bank. It has about $3.3 billion in assets and lends primarily into commercial real estate and commercial & industrial loans, funded by local deposits gathered across Hudson, Essex, Middlesex, Monmouth and Ocean counties in New Jersey and the New York City metro area, including the Bronx and Brooklyn. 2025 was a difficult credit year. Net charge-offs jumped to $43.1 million from $10.4 million the year before, driven by two identifiable sources: the resolution of a troubled cannabis-related lending relationship (a $12.7 million loan charge-off, plus a one-time $15.1 million write-down in the fourth quarter on the foreclosed property behind it), and continued losses in a legacy small-business loan program - "Business Express" - that the bank originated to help borrowers through the pandemic and stopped writing in 2023. That program is still $75 million in size and produced a nearly 12% charge-off rate in 2025. Together these pushed the provision for credit losses to $42.0 million for the year and drove BCB to a net loss of $12.5 million (about $0.84 per share), even though cash generation before those provisions held up reasonably well. The credit cycle had not clearly turned as of the most recent quarter reported: the first half of 2026 already carried $21.8 million of provision expense - more than half of all of 2025's - plus a $5.3 million goodwill write-down in the second quarter. Encouragingly, the bank has remained comfortably above regulatory well-capitalized thresholds throughout, so this reads as an earnings and credit-quality problem rather than a solvency one. Because credit losses are booked as a provision (a non-cash charge against earnings) before they show up later as actual cash charge-offs, a single year's operating cash flow can overstate a bank's underlying earning power in a stress year, just as it can understate it during the calm years that usually follow. To get a clean read, we measured owner earnings - operating cash flow, adjusted to strip out lumpy loan-sale and working-capital timing swings, stock compensation, and the modest ongoing capital spending the bank actually needs - across seven years spanning 2018 through 2025, a stretch long enough to cover both a strong period (2021-2022, when rising interest rates widened the lending margin) and the current stress. We excluded 2020 as distorted by one-time Paycheck Protection Program loan accounting. The median of that seven-year window, about $1.74 per share, is our anchor for the bank's normal earning power. From there we built three cases. The bear case assumes credit costs stay elevated for several more years as commercial-real-estate loans already flagged as troubled (including two properties currently past due) continue to produce losses, before the bank stabilizes at a smaller, more conservatively run size earning around $1.00 per share. The base case assumes 2026 stays weak, consistent with what's shown up so far this year, then credit costs gradually normalize as the Business Express book winds down and the cannabis exposure stays resolved, with earning power recovering to roughly $1.85 per share by 2030 and holding there. The bull case assumes both named problem portfolios are substantially worked through by 2027-2028 and earning power returns to the roughly $2.50-$2.60 per share the bank actually produced in 2022, and holds there. Each case is valued as a ten-year cash flow discounted at 6% - the same rate we use for every company, with the risk expressed in the spread between the cases rather than in the discount rate - plus a continuing value for the deposit franchise beyond that, reflecting decades of operating history and no evidence the bank's core deposit business is going away. Given the credit cycle is still playing out, and the bank's own recent history (Business Express, the cannabis relationship) shows it can misjudge risk in concentrated lending programs, the margin-of-safety price sits at a large discount to our base-case estimate and assumes the credit trend clearly turns - two consecutive quarters of declining charge-offs and provision expense, with no new material problem loan disclosed.

Same method. Net loss $(12,527)K (driven by a $42,011K provision for credit losses tied to a resolved cannabis-related relationship and the discontinued Business Express loan book) but CFO remained positive: CFO=$35,919K; WC movement=$(1,658)K; SBC=$1,016K; capex=$1,047K; revenue grew 2024->2025 (+$6,635K) so growth capex=$113K; maintenance capex=$934K. OE=35,919-(-1,658)-1,016-934=$35,627K; diluted shares=17,186K; OE/sh=$2.07. Reconciliation check: NI + D&A + non-cash charges - maintenance capex = $37,548K, less WC-excluded items nets to $35,890K vs reported CFO $35,919K (0.08% gap) - passes. Source: FY2025 10-K, accession 0001228454-26-000004. NOTE: this figure is elevated relative to GAAP results because CFO adds back the full non-cash provision build while realized net charge-offs ($43,141K) were absorbed against the balance-sheet allowance; treated as a one-year data point within a 7-year median anchor, not itself the anchor.

OE = CFO - WC movement - SBC - maintenance capex, where WC movement bundles loans-originated-for-sale/proceeds/gain-on-sale plus net changes in accrued interest receivable/payable and other assets/liabilities (timing-driven, non-core items); provision for credit losses and D&A are left as CFO's automatic non-cash add-backs (reconciliation check passes within <1%).
