Business condition attached to the margin of safety The fiscal 2026 return to positive owner earnings and operating cash flow holds for at least two more quarters (i.e., confirmed in the fiscal 2027 filings).
BlackBerry has completed a multi-year transformation from a handset and cybersecurity company into a smaller, more focused business built around two core divisions: QNX (a safety-certified operating system embedded in more than 275 million vehicles today, plus industrial and medical devices) and Secure Communications (government and enterprise-grade secure messaging and device management, including SecuSUITE, UEM and AtHoc). A third, much smaller Licensing division earns patent royalties, but this is now a modest and lumpy piece of the business (about $22 million out of roughly $549 million of revenue in the most recent fiscal year) rather than the main story. The company sold its Cylance cybersecurity unit to Arctic Wolf Networks for $160 million, a sale that closed in February 2025, and in 2023 it sold a portfolio of older, non-core patents to Malikie Innovations for an upfront and contingent payment. Both moves were deliberate steps to shed lower-return or non-core assets and concentrate on QNX and Secure Communications. Because of this transformation, we did not use BlackBerry's older financial history as the basis for value. The years before the Cylance sale describe a different, larger, loss-making company; the year of the patent sale was inflated by a one-time payment. We instead anchored our estimate of normalized owner earnings on the two fiscal years since the transformation: the year the Cylance sale closed (still carrying meaningful separation and restructuring costs, and still showing a loss on this basis) and the following fiscal year, which was the first full year of the leaner company and also the first year of profitability in several years. Because we only have two years of clean history, we deliberately built our near-term forecast to phase in toward that stronger, most recent level rather than assuming it right away -- we want to see it hold for a bit longer before treating it as durable. Our base case assumes BlackBerry's owner earnings recover gradually over the next few years to roughly the level achieved in the most recent fiscal year, then grow at a modest, mid-to-high single-digit pace for several years as QNX continues winning design slots with automakers and semiconductor suppliers -- a business where, once a carmaker builds QNX into a vehicle platform, it tends to stay there for the life of that platform, which is a genuine, if narrow, competitive advantage. Growth then tapers as the business matures and Licensing continues to shrink. Beyond the ten-year forecast, we assume owner earnings roughly hold their level with only very slight growth; QNX's embedded position in vehicles should keep generating cash as new models launch, but that value depends heavily on assumptions about a decade from now, so more than half of the estimated value in every case comes from that long tail, and we caution readers to weigh that accordingly. On this basis we estimate the shares are worth about $2.60 in our base case. Our bear case assumes the recent turnaround stalls: QNX design wins slow as automakers increasingly consider open-source alternatives (Linux-based platforms and Android Automotive), Secure Communications loses share or faces government budget pressure, Licensing effectively goes to zero, and BlackBerry settles into a business that merely breaks even for years rather than growing -- a genuine risk given the company's long history of write-downs and strategic pivots. That scenario is worth only about $0.12 a share; it is not a business that owes more than it's worth (BlackBerry holds more cash than debt), but it is a business earning very little for a long time. Our bull case assumes QNX's role in vehicles deepens meaningfully as more of a car's software runs on it (not just instrument clusters but driver-assistance and other safety-critical functions, each carrying its own royalty), Secure Communications wins new government business, and the cost base stays lean -- worth roughly $5.73 a share. Given how much lower the bear case is relative to the base case, we think a large margin of safety is appropriate, and the margin-of-safety price is around $1.30 a share, with the additional caveat above that the recent profitability still needs to prove out over a couple more quarters. We could not find any indication of one-time tax benefits or accounting items propping up the recent improvement, and BlackBerry's amortization of acquired intangibles (a legacy of earlier acquisitions) has already declined sharply, so that is not expected to be a significant drag going forward. We found no going-concern warning and no indication of delisting risk in the filings.
