Business condition attached to the margin of safety At least two consecutive quarters of positive operating cash flow before working-capital swings, with EXXUA sales covering its launch spending while sales of the older ADHD and pediatric products decline no faster than about 20% a year.
Aytu BioPharma sells prescription medicines for attention-deficit disorder (ADHD), pediatric conditions, and, since fiscal 2026, depression. Fiscal 2026 (year ended June 30, 2026) revenue was $57.6 million, down 13% from $66.4 million. The ADHD portfolio (Adzenys and Cotempla) brought in $45.8 million, down 20% from $57.6 million, as generic competition took hold and the company shifted from branded to generic Adzenys. The pediatric portfolio (Karbinal) fell to $5.1 million from $8.8 million. EXXUA, the newly launched antidepressant, contributed $6.6 million. Gross margin slipped from 69% to 64%. Fiscal 2025's margin had been helped by a one-time $3.3 million vendor benefit, and fiscal 2026 carried a $2.2 million inventory write-down. How we measure earnings: we start from cash generated by operations, then remove swings from collecting or paying receivables, inventory and accrued rebates, and then subtract stock compensation and the equipment spending needed to stay in business. On that basis the company earned about $0.48 per share in fiscal 2024, about $0.48 in fiscal 2025 and a loss of about $0.27 in fiscal 2026. Fiscal 2022 and 2023 were losses of about $15.82 and $1.64 per share, before the manufacturing exit and cost cuts. Fiscal 2026 operating cash flow was a positive $3.3 million, but only because $5.8 million of receivables and inventory were converted to cash while revenue shrank. Stripping that out, the business consumed cash. That is why we do not treat the year's cash flow as recurring. Large non-cash items are added back automatically, including intangible amortization ($3.9 million of depreciation and amortization in fiscal 2026), an $8.3 million impairment in fiscal 2025, and a $4.7 million loss on warrant valuations. Because those add-backs are automatic, we reflect the decline in the older drugs in the growth path rather than in the earnings level. We also did not use the fiscal 2022 and 2023 years to set the level, since they describe a business before it exited manufacturing and stopped its research programs. Bear case ($0 per share): the ADHD franchise keeps eroding at the roughly 20% a year it just did, as generics take share. Karbinal keeps falling, EXXUA does not cover its selling costs, and management has already said sales and administrative spending will rise in fiscal 2027. Owner earnings stay negative and there is no evidenced source of value. The company holds $26.3 million in cash against about $17 million of debt and revolver borrowings, plus $35 million of accrued liabilities, largely rebate and discount obligations. So we do not think it owes more than it is worth. We simply cannot point to earnings that would justify any value. Base case ($0 per share): we credit only what is already secured. That means the current legacy franchise, which is shrinking about 23% a year, and EXXUA revenue already achieved. We do not credit EXXUA growth, because the growth is a launch target and not yet a demonstrated track record. Fiscal 2026 owner earnings fell from $0.48 to a loss of $0.27 per share, a decline of well over 100%. We can name no dated fact that reverses this, so year one starts at or below the trailing result. The cost side has a known increase (higher launch spending in fiscal 2027) and no offsetting evidenced gain. Recovery in the fourth quarter, when revenue was about $16.1 million against $12.4 million in the third quarter, is one quarter and not yet enough to move our view. Bull case (about $2.67 per share): owner earnings return to the fiscal 2024 to 2026 median of about $0.48 per share, because EXXUA sales grow enough to cover the launch spending. The older products then decline by only about 10% a year rather than 20 to 23%. This case relies on execution by management, and that is why it is worth only a modest amount. What the shares appear to be worth: we see little demonstrated earning power. The cases range from $0 to about $2.67, and the base case is $0. The margin-of-safety price is $0.45, and even that assumes the business first shows positive underlying cash flow for two straight quarters. Cash of roughly $2.45 per share (before debt and liabilities) is not counted in our valuation method. It gives some downside cushion, but most of it is offset by debt and by rebate and discount obligations that are still to be paid. What would make this wrong: EXXUA prescriptions ramp quickly enough to lift owner earnings above the anchor, or generic pressure on the ADHD portfolio eases. Either would move value toward the bull case. The other direction: revenue keeps falling faster than costs, and the cash pile is spent on the launch. The share count includes pre-funded warrants. The stock was reverse split 1-for-20 in fiscal 2023, and earlier years are shown on the post-split basis.
