Business condition attached to the margin of safety Marketing approval of blarcamesine (ANAVEX 2-73) by the European Commission or the FDA, or a signed partnership with committed cash payments, disclosed in a filing.
Anavex Life Sciences is a clinical-stage drug developer. It has never had revenue. Its lead drug is blarcamesine (ANAVEX 2-73), a once-daily pill for early Alzheimer's disease. A 48-week Phase 2b/3 trial in 508 patients reported results in December 2022. The company says the trial met its test on two measures, the ADAS-Cog13 cognition score and the CDR-SB dementia rating, while the daily-living measure (ADCS-ADL) did not reach significance. In November 2024 Anavex applied to the European Medicines Agency to sell the drug across the European Union, and the agency accepted the application for review in December 2024. On November 14, 2025, the agency's scientific committee returned a negative trend vote after the company's oral explanation. A formal opinion was expected in December 2025, and Anavex said it would ask for a re-examination. The second compound, ANAVEX 3-71, finished a Phase 2 schizophrenia trial in October 2025 that met its main goal, which was safety. Patents on blarcamesine run to 2036-2039. What the owners actually earn: in every one of the last ten years the business lost money. Measured as the cash owners would keep, the loss ran from $0.33 to $0.62 per share. In fiscal 2025 (year ended September 30) it was $46.4 million, or $0.54 per share, the median of the last five years. The company buys almost no equipment and has no depreciation. We count stock-based pay ($11.5 million in fiscal 2025) as a real cost. We also strip out timing swings in bills and receivables, such as the $5.4 million paid down in fiscal 2025 to clear a large manufacturing run of blarcamesine. After these adjustments, owner earnings are essentially the reported net loss. The balance sheet is the business's one solid asset. At September 30, 2025 the company held $102.6 million in cash, owed $8.9 million in total and had no debt. That is about $1.06 per share on the 89.3 million shares outstanding in November 2025. Losses have always been paid for by selling new shares. The share count rose from about 35 million in fiscal 2016 to 92.7 million by February 2026. A $150 million at-the-market share sales program signed in July 2025 had $140.4 million unused at year end. How we valued it: we start with the cash, subtract the future losses discounted at 6%, and add value only for things that exist today. No case includes drug revenue. No product is approved, no licensing deal with committed payments is disclosed, and the only marketing application drew a negative trend vote. The pipeline is not proven worthless, but nothing in the filings yet shows what it would earn, so it adds nothing here. Bull case, $0.12 per share: losses stay at the fiscal 2024 level of $0.52 per share and are paid only from cash on hand, which covers about two years. After that nothing evidenced continues, and almost all the cash has been spent on research. Base case, -$1.36 per share: in fiscal 2025 the loss per share grew 5.6%. We assume the same 5.6% increase in the first year, to about $0.57 per share. There is nothing in the filings to suggest improvement. Management says research spending will rise, and interest income fell $2.6 million in fiscal 2025 as the cash balance shrank. Losses at this level continue for about five years, paid for by the cash on hand plus the share sales program already in place. Bear case, -$3.88 per share: the ten-year pattern of raising money through new shares carries on for the full ten years. Losses per share grow 3.8% a year, the rate from fiscal 2020 to fiscal 2025. What the negative figures mean: the company does not owe more than it owns and has no debt. A negative case means the spending on its current path would use up all of the roughly $1.06 per share of net cash and then consume more money from new shareholders. That extra is about $1.36 per share (roughly $120 million) in the base case and about $3.88 per share (roughly $350 million) in the bear case, in today's dollars, with nothing evidenced coming back. On the evidence available today, the business is a way of turning shareholder cash into research. What would prove this wrong: approval of blarcamesine in Europe after re-examination, or later in the United States, or a partnership that brings in committed cash. Any of these would add a revenue source the current figures leave out. It would call for a new valuation built on the approved product's price, uptake and patent life, not on hope for it today. Other items: a shareholder class action over statements about the Rett syndrome trials was dismissed on June 18, 2025. The plaintiff appealed, and the company has recorded no loss. An amended annual report and an amended first-quarter report were filed on August 28, 2026. The financial figures in the amended annual report match the original, and we did not review the rest of the amendments. Our figures start from the September 30, 2025 balance sheet, so spending since then is part of the losses the cases already assume.
