Business condition attached to the margin of safety Management stops development spending, either by halting efzofitimod and the preclinical programs or by handing them to a partner who pays for them, and moves to a sale, merger or wind-down while still holding at least about $17 million of cash and investments after payables. That is the bull case, worth about $0.07 per share.
aTyr Pharma is a clinical-stage biotechnology company. It develops medicines made from fragments of tRNA synthetase proteins. It has no approved products. Its lead drug, efzofitimod, was tested in EFZO-FIT, a 52-week Phase 3 study in 268 patients with pulmonary sarcoidosis. In September 2025 the company reported that the study missed its primary endpoint, which was cutting patients' daily oral steroid dose by week 48. Patients on the 5.0 mg/kg dose averaged 2.79 mg a day against 3.52 mg on placebo, a difference that was not statistically significant (p=0.33). Some other measures looked better on the drug, including the King's Sarcoidosis Questionnaire lung score and a fatigue score. However, the study's statistical plan only allows those results to count if the primary endpoint succeeds, so they are formally nominal. The company scheduled a meeting with the FDA for mid-April 2026 to discuss a path forward. The outcome of that meeting is not in the filings we reviewed. The rest of the pipeline is small. EFZO-CONNECT is a Phase 2 study of up to 25 patients with lung disease caused by systemic sclerosis, and enrollment was expected to finish in the first half of 2026. There are also two preclinical candidates, ATYR0101 and ATYR0750. The Japanese rights to efzofitimod are licensed to Kyorin. Kyorin has paid $20.0 million so far and could pay up to $155.0 million more in milestones, plus royalties, but only if the drug succeeds in development and sales. The company's only revenue in 2025 was $0.2 million for drug material sold to Kyorin. How we measure earnings. We look at the cash the business produces for its owners. That is operating cash flow, with short-term swings in working capital removed, minus stock-based pay (a real cost to shareholders through dilution) and minus capital spending. With no sales to grow, we count all capital spending as upkeep; the amounts are tiny. On this measure aTyr has lost money in every one of the last ten years: minus $65.6 million in 2024 and minus $75.2 million in 2025, about minus $0.81 per share, while the Phase 3 study was running. Once the study ended, spending fell sharply. Research costs were $14.1 million in the first half of 2026, against $27.2 million a year earlier, and each of the first two quarters of 2026 showed a net loss of about $10 to $11 million. We therefore measure the business from that change, at a cash drain of about $42.7 million a year. We do not use the Phase 3 years, which describe a bigger program that no longer exists. What owners actually have. The drug missed its main Phase 3 goal and has no settled regulatory path. That does not meet our standard for a named, evidenced source of future cash, so we give no value to the pipeline or to the Kyorin milestones. What is left is cash. At June 30, 2026 aTyr held $57.4 million in cash and investments plus $1.5 million of restricted cash. Against that it owed $9.9 million in payables and accrued costs, which leaves about $49.0 million. It also has a headquarters lease running to July 2033, carried on the balance sheet at $10.7 million. We treat that lease as a debt-like claim. The value of the shares depends almost entirely on how much of the cash is spent before development stops. We discount at 6%. Bear case: -$0.09 per share (about minus 9 cents). Spending continues at today's pace until the cash runs out, around August 2027, and none of the programs produces anything that can be sold. That fits the company's record of funding itself by selling new shares; it raised $66.4 million that way in 2025. The remaining lease obligation, about $9.2 million in today's money, is left with nothing to cover it. In this case the company appears to owe roughly $9 million more than it is worth. Base case: -$0.04 per share (about minus 4 cents). Spending continues at today's pace for one more year, which is long enough to finish EFZO-CONNECT and settle the regulatory question with the FDA. Development then stops or the company merges, with about $6.3 million of cash left. That is less than the lease obligation, so here too the company appears to owe slightly more than it is worth, by about $3.5 million. Bull case: $0.07 per share (about 7 cents). Management stops spending after about nine months, once the EFZO-CONNECT results are in, and keeps about $16.9 million. After the lease, about $6.5 million is left for shareholders. Margin-of-safety price. Cash is being used up every quarter, so a low price alone offers no protection. The margin-of-safety price is $0.03 a share, and it applies only if management stops development spending and moves to a sale, merger or wind-down while still holding at least about $17 million after payables. That is the bull-case position, and $0.03 leaves a wide margin below its roughly 7-cent value. What could make this wrong. If the FDA agreed to an approval path based on the secondary results, or a partner paid for further development, efzofitimod would be worth something real and these figures would be far too low. Kyorin's milestones would then come into play as well. Going the other way, two shareholder class actions filed in October 2025 were consolidated on February 9, 2026, and the company has recorded no liability for them; any settlement beyond insurance would lower every case. In December 2025 the company also received a Nasdaq notice for falling below the exchange's minimum bid price rule. It had until June 2, 2026 to comply, could qualify for a second 180-day period, and said it would do a reverse split if needed. The filings we reviewed do not show how this was resolved. Finally, prepaid expenses are not reported separately in the figures we had, so we gave no credit for them.
