Business condition attached to the margin of safety Two consecutive fiscal years in which newly signed spectrum sale and lease contracts total at least $60 million per year, while total operating costs (including stock compensation) fall to $40 million a year or less, showing that spectrum monetization covers overhead without depleting cash.
Anterix is the largest holder of licensed 900 MHz spectrum in the United States. Its business is to buy out and relocate the existing narrowband users of that band, exchange the cleared channels with the FCC for broadband licenses, and then sell or lease those licenses, county by county, to electric utilities that want to build private LTE networks for grid control. Since the FCC's May 2020 order it has signed eleven utility contracts worth roughly $412 million: long-term leases with Ameren ($47.7M), Evergy ($30.2M), Xcel Energy ($80.0M) and Tampa Electric ($34.5M), and sales to SDG&E ($50.0M), LCRA ($30.0M plus a $13.5M expansion), Oncor ($102.5M), CPS Energy ($13.0M), Texas-New Mexico Power ($3.2M) and NorthWestern Energy ($7.7M), plus a small Benton PUD sale in April 2026. At March 31, 2026 it held $98.5 million of cash plus $6.1 million in escrow, had about $50 million of contracted payments still to collect, and carried no debt. How we measured earnings. Reported profit is not a guide here. The $90.6 million net income for fiscal 2026 was driven by a $105.4 million non-cash accounting gain from exchanging narrowband licenses for broadband ones and a $34.8 million gain on licenses delivered to LCRA and Oncor. Revenue of $6.5 million is simply the non-cash release of lease fees collected years ago. We separated the business into two parts. The recurring operation (staff, engineering, sales, stock-based pay) has cost a steady $46 to $53 million a year in every year since fiscal 2021, about $2.60 per share, with no recurring income to offset it; we treat stock compensation as a real cost because it has diluted holders from 16.4 million to 18.8 million shares despite $57 million of buybacks. The spectrum itself is a finite inventory that is converted to cash through lumpy contract payments, less the cost of clearing it (purchases and relocation spending of $13.9 to $27.2 million a year, roughly 30 percent of contract value since fiscal 2020). We value each on its own evidence, and count the cash on hand because it is what funds the overhead. The central finding is that, on the record so far, the monetization has only about paid for the overhead. Over fiscal 2021 through 2026 the company collected roughly $360 million from customers and spent nearly all of it on clearing and operations; operating and investing cash flow combined was close to zero over the six years. Base case: new contract signings recover from $23.9 million in fiscal 2026 (and under $1 million so far in fiscal 2027) to $25 million this year, $45 million next year and $60 million a year thereafter, a little below the six-year median of about $72 million. The recovery rests on two dated facts: the FCC's February 18, 2026 order expanding the broadband segment from 6 to 10 MHz, and the first 10 MHz sale (NorthWestern, March 2026). Overhead stays near the current run rate of about $46 million a year including stock pay, first-quarter fiscal 2027 costs were $12.9 million versus $13.8 million a year earlier. The program runs ten years, then fades over five as the remaining counties are smaller and rural. Clearing costs 30 percent of contract value and cash taxes stay low thanks to $194 million of federal loss carryforwards. Net of overhead, each year of selling roughly breaks even or loses a little, so value is essentially today's cash and receivables less that drag: about $2 per share. Bear case: signings stay near the recent pace of about $15 million a year, clearing runs at 35 percent, and management cuts overhead to $34 million, as it has already done through workforce reductions in fiscal 2025 and 2026, but not enough. The company would burn through its cash within about six years and need to raise new equity; the value to today's holders is below zero, about negative $3.30 per share, meaning future dilution would cost more than the cash now on hand. Bull case: signings return to $70 million next year and $85 million a year after that, in line with fiscal 2025's $116 million and the six-year record, helped by 10 MHz licenses commanding more per county. Clearing falls to 25 percent because the 219 counties exchanged in fiscal 2026 are already converted, and overhead falls to $40 million. That yields about $12.40 per share. What we left out. The TowerX tower-access service with Crown Castle, the CatalyX connectivity service and the Anterix Active Ecosystem are new and have no reported revenue, so they carry no value. Lease renewal fees after the 20 to 30 year initial terms are not priced in any contract, so they are also excluded. The $310 million book value of the licenses is not itself evidence of what they will sell for. What would make this estimate wrong: a large investor-owned utility contract (the kind that has produced $80 to $100 million deals before) or a cost base that falls well below $40 million would lift value quickly; a year of no signings with costs unchanged would push it toward the bear case. Because the downside is a loss of the cash itself, no margin-of-safety price applies until monetization demonstrably covers overhead.
