Business condition attached to the margin of safety A full fiscal year showing owner earnings (cash from operations less working-capital inflows, stock compensation and maintenance capex) clearly positive, roughly $0.50 per share or better, and the $240.8M term loan due November 2027 refinanced or largely repaid.
Appian sells low-code process automation software, mostly as multi-year cloud subscriptions to large enterprises and governments. Revenue reached $727M in 2025 (up 18%) and grew about 20% in the first half of 2026. Contracted, non-cancellable backlog was $661.8M at the end of 2025, up from $546.0M a year earlier. How we measure earnings. We count cash from operations, then remove the cash swings from working capital (mainly customers paying subscriptions in advance and deferred revenue growth), then deduct stock-based compensation as a real cost, and deduct only the capital spending needed to stand still. On that basis Appian has not yet produced positive owner earnings in any of the last ten years: about -$2.07 per share in 2022, -$1.67 in 2023, -$0.83 in 2024 and -$0.12 in 2025 (roughly -$9M on $727M of revenue). The trend is clearly improving. The 2025 reported cash from operations of $62.9M includes about $30M from working capital, $41.5M of stock compensation that is added back in the cash flow statement, and $21.7M of unrealized currency gains that are not cash. Cash interest of $19.6M on the term loan is already reflected. Base case: about $0 per share. Only growth that is secured or a long-proven repeatable process is credited. Backlog secures revenue, but the cost of winning and serving customers has so far absorbed the gross profit, and cutting costs, margin expansion and new products are not yet secured. The most recent completed year improved owner earnings by roughly $0.71 per share; because the level is still below zero we assume it stays around break-even rather than assuming further improvement. The first half of 2026 does not corroborate a jump: net loss widened to $13.3M from $1.5M a year earlier, although cash from operations rose to $60.9M from $43.0M. Bear case: about -$0.80 per share. Growth stalls and results revert to the 2024 loss level (-$0.83 per share) for a year before costs are cut to match. The term loan of $240.8M matures November 3, 2027 and is secured by substantially all assets, so refinancing terms or a shortfall could leave shareholders funding losses; this case is a business that owes more than it earns, by roughly $60M. Bull case: about $12 per share. Appian's own lever executes: revenue keeps growing near its recent 18 to 20% pace and owner earnings improve about $0.50 per share a year (below the roughly $0.7 to $0.8 a year improvement of 2023 to 2025) from break-even to about $2.30 by 2030, then hold flat through 2035. Nothing is assumed after that because no long-run advantage is yet in evidence. Left out on purpose: any recovery from Pegasystems. Appian won a $2.036 billion jury verdict in 2022 for trade secret misappropriation, but the Supreme Court of Virginia reversed it on January 8, 2026 and sent it back for a new trial. The company has not counted any payment or insurance proceeds, and neither do we. A retrial win or insurance payment would be additional upside. Also left out: continued deferred revenue growth as a source of cash, since it depends on continued new sales. What would make this wrong: if customers keep paying annually in advance and the business cuts sales spending, actual cash generation could be materially higher than our measure (2025 cash from operations less stock compensation and capital spending was about +$0.24 per share). The margin-of-safety price reflects the wide gap between the cases and the loan maturity.
