American Well (Amwell) sells a telehealth software platform to health insurers, hospital systems and the U.S. military, and runs its own clinician network (Amwell Medical Group) that delivers paid virtual visits. In 2025 revenue was $249 million: roughly half subscriptions and half visits. The business is concentrated. Elevance Health, which uses Amwell doctors behind its LiveHealth Online service, was 31% of 2025 revenue, and the top ten clients were 71%. The other anchor client is the Defense Health Agency, which runs Amwell's platform across the Military Health System. The key fact for valuation is that Amwell has never made money for its owners. We measure owner earnings as operating cash flow, with short-term swings in working capital stripped out, minus stock compensation (a real cost to shareholders) and minus the capital spending needed to maintain the business, including capitalized software. On that measure the business lost $183 million in 2024, $63 million in 2025 (about $3.93 a share) and roughly $11 million in the first half of 2026. Every year back to before the 2020 IPO is negative. The 2025 figure is also helped by the company capitalizing no software that year, against $15 million in 2024 and $5.6 million in the first half of 2026. The big reported losses of 2023 included a $436 million goodwill write-off on past acquisitions, which used no cash; we left it out of owner earnings. Its lesson, that the acquisitions destroyed value, is reflected in the cases below. The improvement since 2024 comes from deep cost cuts (headcount fell 23% in 2025) and the 2025 sale of the Amwell Psychiatric Care practice. It has not come from growth. Revenue is falling: the company guides to $200-205 million for 2026. That drop reflects the military cutting back its digital behavioral-health and automated-care programs in mid-2025, a one-time deployment payment in 2025 that won't repeat, and steady loss of smaller clients. Average health-system clients fell from 129 in 2023 to 88 in 2025, and health-plan clients fell from 55 to 48. Operating cash flow was positive in the first half of 2026, but only because accrued bills and customer prepayments grew. Once that timing effect is removed, the business still consumed cash. Because there are no profits to capitalize, what the shares are worth comes down to the balance sheet and how fast it is spent. Amwell had $196 million of cash (about $11.60 a share) and no debt at June 30, 2026. Each case below starts from that cash and subtracts the present value (at 6%) of the cash we expect the business to burn, or adds any cash it generates. Base case (about $3.15 a share): the first-half 2026 cost level holds. Owner earnings run at a loss of about $18 million a year, excluding interest earned on the cash. Elevance stays, supported by a new master services agreement signed in December 2025. The military relationship continues, supported by the Defense Health Agency's June 2026 notice of intent to contract with Amwell directly. Ongoing churn of smaller clients is matched by further cost cuts, as management has done every year since 2023. We give no credit for the company's target of positive cash flow from the fourth quarter of 2026, because it is a goal, not a result. On this path most of the cash is spent over the next decade. Bear case (about $1.70 a share): the direct military contract is not concluded on similar terms. Management has said the current arrangement must be replaced by July 2027. Elevance does not renew when its new agreement runs out, and churn continues. The loss widens to $30-50 million a year, and the cash is gone by the early 2030s. What little value remains comes only from the fact that the losses arrive over time. Bull case (about $18.65 a share): the company's own plans work. The military signs the direct contract and restores the behavioral-health programs. The Department of Veterans Affairs turns its September 8, 2026 letter of intent into a binding contract (that still requires a federal review). Cash flow turns positive as targeted. Owner earnings reach about $18 million a year by 2029, then fade out over the 2030s, because nothing yet shows the business can hold a lasting edge once these government contracts end. None of the growth in the government contracts or the Veterans Affairs deal is counted in the base case: none of it is signed. The margin-of-safety price of about $1.50 a share is well below the cash on hand and below even the bear case. From that price the base case implies a strong annual return even with management continuing to spend the cash. The main risks to this view are that cost cuts reach real, lasting profitability faster than shown here, which would make the shares worth far more, or that losses widen after a contract loss, which would use up the cash sooner.
