Business condition attached to the margin of safety The new Fort Worth headquarters is operating and the company shows at least two consecutive years of positive owner earnings after paying full cash interest on its roughly $6 million of bank debt (interest was largely capitalised during construction and now flows through the income statement).
ADM Endeavors, through its Just Right Products subsidiary, is a Texas promotional-products and uniform company. It screen-prints, embroiders and digitally prints logo apparel and gifts, sells uniforms to businesses, schools and municipalities (it reports contracts with Dallas, Tarrant and Johnson counties and 12 cities), and imports products from overseas suppliers, shifting some sourcing from China to Pakistan. Revenue was $5.6 million in 2025 (down 2% from $5.8 million) and no customer exceeded 10% of sales. How we measure earnings. We take operating cash flow, remove the swing in receivables, inventory and payables, subtract stock compensation, and subtract the capital spending needed just to stay in business (spending that supports growth is separated only when revenue is rising). On that basis owner earnings were positive in 2019 and 2021 (about $0.4 million and $0.55 million) and negative in 2020 and 2022 through 2025. In 2022 to 2025 the company spent about $6.8 million on property against roughly $1.5 million of combined operating cash flow, almost all of it building a 100,000 square foot headquarters and fulfilment facility at 1800 E. Loop 820, Fort Worth. The filing says construction was completed in 2025 and operations are expected to move there around the end of the first quarter of 2026. Because revenue did not grow in 2025, our method treats all of that spending as upkeep, which makes 2024 and 2025 look extremely negative. We consider those two years distorted by a one-time project, so we did not use them to judge the business's normal earning power. What the past cash flow hides. Before the move the construction loan's interest was added to the cost of the building rather than deducted from operating cash flow (about $262,000 in 2025 alone). Now that the building is finished that interest becomes an ordinary cash cost. The company carries a $4.5 million bank loan (5.5%, then reset in 2027 to prime plus 1%, due 2032, with monthly payments of about $26,000), a note of up to $1.5 million at 8.5% due 2032, and a $106,000 convertible note. That is roughly $380,000 of annual interest against operating cash flow, before working capital and stock compensation, that has ranged from about $150,000 to $625,000 since 2021 (median about $310,000). Base case. Cash flow before interest stays near its 2021 to 2025 median of about $310,000, interest takes about $380,000 and equipment upkeep (depreciation was $103,000 in 2025) about $100,000, leaving owner earnings of roughly negative $170,000 a year. Discounted at 6% over ten years that is about negative $1.2 million, or about negative $0.006 per share on about 195 million shares. We give no credit for growth. Management points to spare capacity (screen printing about 60% used, embroidery about 40%, digital about 50%), a planned fulfilment centre and a possible sign shop, and first-half 2026 revenue rose to $2.33 million from $2.10 million, but a filling plant is not a signed customer, and the first half of 2026 still showed a net loss of about $70,000 and operating cash outflow of about $274,000 as the move took place. Growth of that kind is not yet secured, so it is left out. Recent net income of $486,000 in 2025 included a $265,000 insurance gain (after a January 2025 fire and vandalism at the building under construction) and a $63,000 gain on a property sale, and is not recurring. Bear case. Sales fall back toward the $5.2 million of 2023, when operating cash flow before working capital and stock compensation was about $147,000; interest of about $380,000 and upkeep of about $100,000 produce a shortfall near $330,000 a year. The company also has an equity line with GHS Investments that sells stock at a discount to market, which would add to the share count. On these facts the business appears to owe more than its operations are worth, by roughly $2 million (about $0.012 per share). The two 2032 maturities and the convertible note are the pressure points. Bull case. Sales return to the $6.56 million the company already reached in 2021, when operating cash flow before working capital was about $625,000. After about $380,000 of interest and $100,000 of upkeep, owner earnings would be around $150,000 a year, worth about $1.1 million over ten years, or about $0.006 per share. Nothing beyond that level is credited. What we did not count. The company's balance sheet carries several million dollars of land, building and equipment, but this valuation measures what the operations earn, and we do not credit the property unless there is a named plan to sell or lease it. If the company sold or rented part of the new building, the value would be higher than shown. Conversely, part of the interest we deduct could be offset by rent the company no longer pays elsewhere; the filing does not quantify that, so it is not counted. The shares trade over the counter, and the small size of the company and the discounted stock sales make the range wide. What would make this wrong. A step-up in sales that fills the new facility (particularly larger fulfilment customers) at the gross margin of about 34% would turn owner earnings positive quickly. Conversely, a further slide in sales or the loss of the government uniform contracts would deepen the shortfall.
