Business condition attached to the margin of safety The pending stock-for-stock acquisition of Veeco Instruments (0.3575 Axcelis shares per Veeco share, expected to close in the second half of 2026, still awaiting Chinese regulatory clearance) has either closed on announced terms or been terminated.
Axcelis makes ion implantation systems used to dope silicon and silicon-carbide wafers during chip manufacturing, sold mainly under its Purion product family, including a Purion Power Series aimed at power semiconductors for electric-vehicle and industrial applications. This is a cyclical, capital-goods business: customers only buy new implanters when they are building or upgrading fabs, so revenue swings sharply with the industry's capex cycles. Revenue went from about $343 million in 2019 to $1.13 billion in 2023 and has since fallen back to about $839 million in 2025 as that boom unwound, particularly in mature-node and power-semiconductor investment. One customer made up 11% of 2025 revenue, and a meaningful share of sales has historically gone to Chinese chipmakers; US export-control rules have already forced Axcelis to stop shipping to some Chinese customers and could tighten further, which is the main risk we can point to with real evidence rather than speculation. The company carries no debt and holds a net cash position, which limits the downside relative to a leveraged peer. We built our estimate of true cash-generating power (owner earnings) from nine years of operating cash flow, stripped of stock-based compensation, working-capital swings, and only the portion of capital spending needed to sustain the business rather than grow it. That figure has ranged from about $0.59 to $6.59 per share across the last cycle; the 2025 figure of $3.70 per share lands almost exactly on the middle of that range, suggesting the business is roughly back to a normal, mid-cycle level rather than still elevated or still depressed. We used that $3.70 as our starting point. The base case assumes 2026-2027 stay soft — order backlog fell 29% over the course of 2025, and profits were still down year-over-year in the first half of 2026 even though revenue had turned up — before earning power works back to that normal $3.70 level by 2029 and holds there. We did not assume growth beyond that, because while the power-semiconductor product line is real, we don't have evidence to size how much it adds versus simply returning Axcelis to its historical range; ion implantation should keep being a required, hard-to-substitute step in chip manufacturing indefinitely, which is why we treat that $3.70 level as sustaining rather than fading to zero. That produces a value of about $60 per share. The bear case assumes the current downturn runs longer than the last one and that export-control tightening costs Axcelis a meaningful piece of its Chinese business, on top of the cyclical weakness already visible in the backlog numbers; that comes to about $46 per share. The bull case assumes the business recovers faster, as it has after past downturns, and that Axcelis converts some of its power-semiconductor product evaluations at new customer sites into real orders sooner; that reaches roughly $109 per share. Separately, Axcelis has agreed to acquire Veeco Instruments in an all-stock deal (Veeco holders would get 0.3575 new Axcelis shares each), expected to close in the second half of 2026 pending Chinese antitrust clearance. That deal is not reflected in the per-share figures above, which value Axcelis's existing implant business only; once it closes, share count and the earnings mix will both change. Given that open question, plus the customer concentration and China exposure noted above, the margin-of-safety price uses a wider discount to our base-case value than we would apply to a steadier business, and it applies only once the merger's outcome is resolved.
