Business condition attached to the margin of safety Owner earnings after stock compensation turning clearly positive for at least three consecutive quarters (cash from operations minus stock compensation and capital spending above zero) while revenue keeps growing.
ZipRecruiter runs an online job marketplace in the United States: employers pay to post jobs and reach candidates, mostly per job per day or on short subscriptions, with a small performance-based component. Revenue peaked at $905M in 2022 during the hiring boom, then fell to $646M in 2023, $474M in 2024 and $449M in 2025. The first half of 2026 shows a first return to growth (revenue up about 5% year on year to $226M). Owner earnings (operating cash flow, less swings in working capital, less stock-based compensation, less the maintenance portion of capital spending, which for ZipRecruiter is mostly capitalized software) per share were about -$0.05 in 2021, $0.65 in 2022, $0.22 in 2023, -$0.34 in 2024 and -$0.37 in 2025. Stock compensation is the main reason: $107M, $77M, $84M, $64M and $48M in those years against operating cash flow that fell from $144M to $11M. We treat stock compensation as a real cost even though the company has been buying back shares to absorb it. We use the median of the whole 2021-2025 cycle (boom and bust), about -$0.05 per share, rather than the weak latest year or the peak. Owner earnings fell 8% in 2025 (from -$0.343 to -$0.370), so we do not assume improvement in year one. What changed in 2026 and is locked in: in the second quarter the company repurchased $294.6M of its 5.000% senior notes due January 2030 at a $65M discount to face, leaving about $255M outstanding. Cash and securities fell from about $409M to about $174M. Annual interest falls from about $29.6M to roughly $13M, and less interest income is earned on the cash used; we net these at roughly +$0.12 per share of annual owner earnings. The $59M accounting gain is one-time and excluded. Stock compensation also fell to $15.7M in the first half of 2026 from $27.2M a year earlier; we do not yet credit this fully because it is only two quarters. Base case ($0.60 per share): owner earnings settle near +$0.07 per share (the cycle median plus the locked-in interest savings), flat for ten years with no revenue growth credited, then fade over the following decade because a job-posting marketplace with falling revenue has no contracted backlog. Revenue growth, hiring-market recovery, and further cuts in stock compensation are left out because none is contracted or a long proven process. Bear case (-$1.00 per share): revenue keeps sliding at the 2025 pace and owner earnings stay at the 2024-2025 level of about -$0.35 per share through the January 2030 maturity of the remaining notes, when the business cannot demonstrate the ability to repay or refinance them; nothing after that is credited. The negative figure reflects cumulative cash consumed by operations; the company does hold cash today that would absorb much of this, but that cash is not valued separately in our method. Bull case ($2.70 per share): 2026's 5% revenue growth continues five years, each added revenue dollar converts to cash at about 30%, stock compensation stays near its current $28-32M run rate, and owner earnings reach roughly $30M (about $0.36 per share), held for five more years then fading over ten. That earns roughly 2.7 times the base value, but not the 2022 result, which needed revenue double today's level. What could make this wrong: a durable hiring rebound would lift all cases; AI-driven matching or larger competitors such as Indeed and LinkedIn could shrink employer spend further; conversely, faster stock compensation cuts than we credit would make even the base case too low. We could not reconcile the 2021 operating cash flow fully because a $45M accrued-liabilities inflow that year dominates it; we removed it as working capital. Pre-2021 years were not used because the company was private and stock compensation was minimal, which describes a different business.
