Business condition attached to the margin of safety Full-year 2026 results confirm the business still produces at least about $50 million a year of cash for its owners after charging stock-based pay and the capital and software spending needed to maintain the platform, showing that 2025's first positive year was not a one-off.
Zeta Global sells a data-driven marketing platform (the Zeta Marketing Platform) that large brands use to identify consumers and reach them by email, text, web and paid digital media. Much of its revenue is usage-based, so it moves with how much customers spend on marketing. About 95% of 2025 revenue came from the United States. The customer base is concentrated: in 2025 the top ten customers produced more than a third of revenue and one customer more than 10%, and the 184 customers spending $1 million or more a year produced 87%. Revenue has grown every year, from $306 million in 2019 to $1.30 billion in 2025, helped by the purchases of LiveIntent (October 2024, about $277 million) and the enterprise software business of Marigold (closed November 24, 2025, about $303 million, paid in cash, 5.3 million shares and short-term seller notes). How we measure earnings. We start from cash generated by operations, strip out working-capital swings, charge stock-based pay as the real cost it is, and deduct the equipment and software-development spending needed to keep the platform running (the part of that spending tied to revenue growth is treated as investment). On that basis Zeta consumed owner cash every year from 2021 through 2024: about $233 million in 2021, $249 million in 2022, $156 million in 2023 and $48 million in 2024, because stock-based pay ran at $195-299 million a year, much of it from large pre-IPO restricted-stock grants vesting after the 2021 listing. 2025 was the first positive year, about $52 million or $0.23 a share, as stock pay fell to $178 million (14% of revenue) while revenue grew 30%. The first half of 2026 improved again, to roughly $37 million, with a profitable second quarter. Unvested legacy restricted shares have fallen from about 60 million at the end of 2022 to 12 million in June 2026, so the heaviest stock-pay years are behind the company, but stock pay is still rising in dollars ($105 million in the first half of 2026 against $88 million a year earlier) and diluted shares have climbed to about 257 million, which is the count we use. We therefore measure the business as it exists after the wave of IPO stock pay and the two acquisitions, and set its normal level at about $63 million a year of cash before interest (roughly $0.25 a share): the midpoint of 2025's $53 million and the first-half 2026 run rate of about $74 million, which includes a full year of Marigold. Earlier years describe a company carrying a one-time wave of IPO stock pay and are not used. Amortisation of acquired customer lists and technology (about $47 million in 2025, running near $63 million a year in 2026) is added back because it is a sunk purchase cost, but those acquired assets wear out; that decay, and the fact that Marigold's legacy email software is a mature business, is carried in the growth rates below rather than in the starting level. The cash Zeta spends acquiring companies is not in the earnings figure, so we credit no growth that would need further acquisitions. The cases. Base: owner cash grows 12% a year for three years, 8% for the next three and 5% for four, reaching about $135 million in year ten, then holds for ten years and fades out over the following decade as the platform ages. The credited growth is well under the 20-29% a year Zeta grew from 2019 to 2023, mostly organically and including through 2020, and assumes no improvement in margins; faster growth from new customers, new products or AI features is left out because it is not yet in hand. Year one's 12% is far below the actual change in 2025, when owner cash swung from a $48 million loss to a $52 million gain. Business value about $1.48 billion. Bear: the loss or cutback of a major customer (one is more than 10% of revenue), continued attrition in the acquired Marigold software and stock pay that keeps rising in dollars hold owner cash at 2025's $53 million for three years, then shrink it 10% a year, with the earning power gone about fifteen years out. Business value about $0.34 billion. Bull: the operating leverage shown from 2024 to 2025, when an extra $299 million of revenue added about $100 million of owner cash, continues: owner cash grows 30% a year for five years and 12% for five more, to about $410 million in year ten, then holds for ten years and fades. Business value about $3.85 billion. Debt. Zeta has a $200 million term loan under a secured facility due August 2029 (with an undrawn $350 million revolver), priced at SOFR plus 1.875%-2.625%, close to our 6% rate, so no cost adjustment is needed, plus about $51 million of acquisition earn-outs. Against that it held $310 million of cash at June 30, 2026, of which we treat about $235 million as surplus, so net debt is only about $16 million. Bear: the business is worth about $341 million, owes $16 million, leaving $325 million or $1.26 a share. Base: worth $1,476 million, owes $16 million, leaving $1,460 million or $5.68 a share. Bull: worth $3,848 million, owes $16 million, leaving $3,832 million or $14.91 a share. Even the bear case's cash covers the roughly $12 million annual interest bill several times over. What would make this wrong: on the downside, losing a top customer, tighter privacy rules limiting the consumer data behind Zeta's identity capabilities, renewed large stock grants that erase the 2025 improvement, or another large acquisition paid in shares. On the upside, if revenue keeps growing 20% or more while stock pay stays flat in dollars, owner cash could rise much faster than the base case assumes. Because owner earnings have been positive for only one full year, the margin-of-safety price applies only once full-year 2026 results confirm the new level, and it allows for the concentration and dilution risks.

Chart analysis
From its June 2021 listing at $10 a share, Zeta slid to around $5 during 2022, then climbed steadily through 2023 and 2024 to a peak in the high $30s in November 2024. That peak was followed by a sharp break, triggered by a short-seller report and then the broad early-2025 market decline, which took the shares back to the low teens by spring 2025; the stock then spent 2025 building a base well below the old high. News coverage describes mixed and often negative price reactions to its 2026 quarterly results despite revenue beats. A chartist would read this as a stock in a long consolidation beneath its 2024 high, with weakness following good news; a sustained move above the top of the post-2025 range would be needed to signal a new uptrend, while a break below the 2025 lows would confirm the downtrend. Precise recent price levels could not be confirmed.
