Business condition attached to the margin of safety The $400 million 4.50% Senior Notes due October 15, 2028 and the revolving credit facility maturing September 2027 have both been refinanced or extended to a maturity of 2030 or later, as disclosed in an 8-K, 10-Q or 10-K.
Wabash National is the largest US maker of dry van and refrigerated semi-trailers and, through its Transportation Solutions segment, of truck bodies; a smaller Parts & Services segment sells parts, upfitting, tank trailers and a Trailers-as-a-Service leasing program. Almost all sales are to North American trucking fleets, leasing companies and dealers, and the five largest customers took about 35% of 2025 sales. Demand follows the freight cycle and fleet replacement: revenue was $2.54 billion in 2023, $1.95 billion in 2024 and $1.54 billion in 2025, and the first quarter of 2026 was weaker again at $303 million with a $45 million loss. Total backlog fell from $1.17 billion to $705 million during 2025. Gross margin collapsed from 13.6% to 4.5%, with Parts & Services ($44 million gross profit) carrying nearly all of it. How we measured earnings. We use the cash the business produces from operations after removing working-capital swings, stock compensation and the capital spending needed to maintain the plants, and before paying lenders. On that measure the business produced roughly $60 million to $185 million a year from 2016 to 2024, with a ten-year median near $115 million, and lost about $93 million in 2025. The 2025 figure includes $34.6 million paid to settle the Missouri product-liability case; the $450 million verdict charge booked in 2024 and its $419 million reversal in 2025 were non-cash and do not affect these figures. Spending on the leasing fleet ($47.5 million in 2025) is treated as growth investment, not upkeep. We use a full cycle, 2016 to 2025, which includes the 2019-2020 downturn and the 2024-2026 slump, because any shorter window catches only a boom or a bust. Debt. Wabash owes $400 million of 4.50% Senior Notes due October 15, 2028 plus about $100 million drawn on a $350 million revolver that matures September 2027, roughly $500 million in total against $43 million of cash at March 31, 2026. Available liquidity fell from $422 million to $235 million during 2025. The low fixed coupon on the notes is worth little because it ends in two years. Base case: the trough continues through 2026 (a business cash outflow of about $75 million, consistent with the first quarter and a 2025 outflow of $58 million excluding the litigation payment), breaks even in 2027 and returns to mid-cycle earning power of about $110 to $115 million by 2029-2030, the level the company actually reached in 2016-2019 and 2022. Because trailers have cycled roughly every five to six years, we include another downturn in the early 2030s, then a mid-cycle level of $105 million carried forward, supported by the company's 30-year position as one of the two or three largest US trailer makers and its replacement-driven customer base. No growth is credited: the ATA forecast of freight growth and management's diversification plans are not in the bag. The business is worth about $1.42 billion, it owes about $457 million net, leaving about $23.71 a share. Bear case: a deeper and longer trough like 2019-2021 stacked on today's slump, two years of cash burn totaling about $140 million, refinancing of the 2027-2028 maturities at roughly 9-10% with some dilution, a further downturn in the 2030s, and mid-cycle earnings of only $70 million (the weakest non-recession levels of 2020-2021) that fade over 25 years as imported trailers and customer concentration squeeze margins. The business would be worth about $417 million against roughly $527 million owed including the extra refinancing cost, so the company would owe about $110 million more than it is worth, about -$2.70 a share. Bull case: orders recover from 2027 as the post-2023 fleet surplus clears, Parts & Services and leasing keep growing on their existing base, and the business returns to $140 to $150 million a year, still below the 2023 peak of $186 million, with a milder downturn later. The business is worth about $2.05 billion, owes about $447 million, leaving about $39.34 a share. Earlier figures were built on a different basis and are not comparable. What changed in the business: 2025 cash generation was worse than first reported once working-capital releases are stripped out, the first quarter of 2026 extended the trough, and the revolver was drawn further. Margin of safety price. We are fairly confident of mid-cycle earning power because ten years of filings show it repeatedly, but not of when the cycle turns. The worst plausible outcome is that the trough runs into the 2027 revolver and 2028 note maturities while cash is still flowing out; with $500 million of debt, two customers able to swing volumes and no hard assets beyond specialized plants, shareholders could be heavily diluted or wiped out. If we are wrong about the timing of recovery by two years and mid-cycle is $90 million rather than $110 million, the shares are worth roughly $12 to $15. The price assumes a three-to-four-year wait for the next upturn, during which the business pays a small dividend of about $0.32 a share a year that is not secure. Given a 10th percentile outcome below zero, no margin-of-safety price applies while the maturities are unresolved. Once both the 2027 revolver and 2028 notes are refinanced to 2030 or later, the wipeout risk falls sharply, and from $9 a share a return to even a below-average mid-cycle within four years implies more than double the price, consistent with a 20% annual return even if the recovery is late or shallow. Our margin of safety price is $9, conditional on that refinancing.

Sales geography
United States (Northeast, Midwest, South, West; nationwide fleet, leasing and dealer customers), Canada, Mexico
Historical growth strategy
Grows mainly through the trailer replacement cycle with large US truckload fleets and leasing companies, supplemented by acquisitions that broadened the product line (Walker tank trailers in 2012, Supreme truck bodies in 2017), and more recently by building a recurring parts, service and Trailers-as-a-Service leasing business and selling non-core units.
Chart analysis
A chartist would see a stock in a long primary downtrend: a cyclical peak around 2023 near the high-$20s to about $30, followed by a series of lower highs and lower lows through 2024 and 2025 as trailer orders collapsed and the large Missouri jury verdict hit, taking the shares into single digits. Moving averages slope downward with price beneath them, so the trend is still bearish; any base forming near the multi-year lows would need a break above the 200-day average on rising volume before a chartist would call a bottom. Historically the stock has bottomed and turned well before trailer orders recover, so chartists would watch for higher lows as the first sign of a cycle turn.
