Advanced Drainage Systems makes corrugated plastic pipe (recycled polyethylene and polypropylene), fittings, chambers and tanks. Its Stormwater segment (about $2.40 billion of fiscal 2026 sales, year ended March 2026) moves rainwater off construction sites, roads and farmland. Its Wastewater segment (about $653 million; formerly Infiltrator, plus Orenco) sells onsite septic chambers and tanks, mostly to residential builders. It runs 64 manufacturing plants and 41 distribution centers, sells through waterworks distributors, buying groups and retailers, and is exposed to construction activity, weather and resin prices. How we measured earnings. We start from operating cash flow, remove the swing from working capital, subtract stock-based pay as a real cost, and subtract only the capital spending needed to stand still. Owner earnings per share were $0.87 in fiscal 2017 and rose to $5.91 in fiscal 2026. We used fiscal 2023 through 2026 ($6.01, $6.02, $5.44, $5.91) as the baseline, a median of about $5.96. That period spans a full volume dip (fiscal 2024 sales fell 6.4%) and reflects the current scale and margins after the 2019 Infiltrator deal and the end of the employee stock-ownership plan. We left out fiscal 2022 because of a $190 million inventory build and a one-time $30 million ESOP charge, and earlier years because the business was much smaller. Capital spending has climbed from about 3% to about 8% of sales; we treat nearly all of it as maintenance. Equipment bought on finance leases ($41 million of principal repaid in fiscal 2026, up from $12 million in fiscal 2024) does not run through operating cash flow, so we deduct roughly $0.33 per share for it. Our starting level is therefore about $5.63 per share. Base case, about $81 per share. Owner earnings stay flat at $5.63 for ten years, then drift down about 2% a year. We credit no growth. The recent growth (owner earnings up 8.5% in fiscal 2026, and a 20.6% jump in sales in the June 2026 quarter) is driven by acquisitions and a strong quarter, not a steady repeatable process. The February 2026 NDS acquisition (about $991 million; $48.8 million of sales in the six weeks it was owned, versus about $289 million a year on our estimate from the filing's pro forma data) is already paid for, but after acquisition costs, added debt and amortization the filing does not show a clear earnings gain, so we assign it none. Other left-out items: share gains, stormwater regulation, and margin expansion. The slow decline after year ten reflects the growing amortization of acquired customer relationships (over $450 million added by NDS alone) and the fact that nothing in the filings guarantees demand for a product that competes with concrete and other pipe. Bear case, about $48 per share. Earnings fall back to the fiscal 2021-22 level of roughly $4.2 per share, less finance lease costs (about $3.84), and decline 2% a year indefinitely. Named pressures: the fiscal 2026 gross margin gain (38.3% versus 37.7%) came from favorable material costs and could reverse if resin prices rise faster than selling prices, which the company itself warns about; about $1.1 billion of term loan and senior notes were issued in fiscal 2026; and construction volumes fell in fiscal 2024. Bull case, about $115 per share. NDS and Orenco execute, pricing holds, and owner earnings start near $6.50 and grow 3% a year for ten years, then decline 2% a year. Support: net income was $168.5 million in the June 2026 quarter versus $143.9 million a year earlier, and pro forma fiscal 2026 net income including NDS was $456 million versus $426 million reported. We do not assume a construction recovery. What would change our view: a sustained resin-cost squeeze, or a large acquisition that adds debt without earnings. Cash flow is stated after interest, so we do not subtract debt again; leverage is reflected in the bear case. We could not separate NDS's own earnings from the filing. The margin-of-safety price is about $49, roughly a 40% discount to the base case, reflecting the cyclical, resin-sensitive earnings and the recent debt-funded deal.
