Wealthfront is a US online cash-management and automated-investing platform. It went public in December 2025 and has one annual report on file (fiscal year ended January 31, 2026). At that date it served 1.4 million funded clients with $94.1 billion of platform assets. About three-quarters of revenue ($364,993K in fiscal 2026) comes from cash management: clients' cash is swept to partner banks, which pay interest to clients, and Wealthfront keeps the remainder as a fee. Cash management fees were $271.7 million, earned on average balances of $43.9 billion at an annualized fee rate of 0.62% (0.64% the year before). Most of the rest is advisory fees on invested assets. How we measured earnings. Owner earnings start with operating cash flow, remove swings in working capital (mostly client-money balances that offset each other), and subtract stock compensation and the capital spending needed to keep the platform running. Fiscal 2026 stock compensation was $259.8 million, almost all a one-time charge when restricted stock units tied to an IPO vested in December 2025. That year's owner earnings were therefore negative ($0.52 per share) and we excluded it. Fiscal 2024 and 2025 came to $0.52 and $0.86 per share, but those years carried only $9-12 million of stock compensation because the IPO-linked units were not yet expensed, so they flatter the business. Our starting level of $0.50 per share is a judgement built from the fiscal 2026 operating cash flow before working capital ($168.1 million), less stock compensation at the roughly $67 million annual pace of the first half of fiscal 2027 (the filing does not split out the one-time piece), less minimal capital spending, spread over about 175 million diluted shares. Roughly $78 million of tax credits and loss carryforwards currently shelter cash taxes; we assumed these are used up over a few years and trimmed the level accordingly. What is recent. Growth has slowed sharply. Fiscal 2026 revenue rose 18%, but the most recent quarter (ended July 31, 2026) was $91.9 million against $91.1 million a year earlier, and first-half operating cash flow was $70.0 million against $77.4 million. Because owner earnings for the last full year are not comparable (the IPO charge), we compare revenue instead: our first-year assumption is 0% growth, below the trailing 18%. Later-period filing text was not available to us, so we rely on those reported figures and cannot explain the slowdown beyond the falling fee rate. Base case: $6.10 per share. Owner earnings hold at about $0.50 per share for ten years. The recurring, asset-based fee stream on $94 billion of client assets is a structural feature, but we credit no growth: client asset growth, share gains, and the newly waiver-free proprietary money market fund (0.25% expense ratio, fee waiver ended March 2026) are unproven or unquantified in the filing. After year ten we assume earnings fade 5% a year as fees compete down; nothing in the filing shows a durable moat beyond brand and trust. Bear case: $2.75 per share. The filing states that revenue depends on interest rates and that cash account fees fall if bank yields fall faster than client rates; the fee rate already slipped 4% in fiscal 2026 and revenue growth has stalled. We assume owner earnings start at $0.35 (a full tax bill returns and fees compress) and decline 5% a year for ten years, then 10% a year. The company has no meaningful debt now, so leverage does not add to this case; concentration does: its three largest partner banks and one deposit administrator (R&T Deposit Solutions) carry the cash sweep. Bull case: $10.40 per share. Owner earnings start at $0.60 (fees stable, tax shelter still in place) and grow 4% a year for ten years as clients keep depositing (over 17% of clients have recurring deposits), then fade 3% a year. What would make this wrong: a sustained fall in short-term rates that compresses the fee rate faster than balances grow (bear), or continued high deposit inflows with stable fees (bull). Because the company has only recently listed, has a short public record and carries heavy ongoing stock compensation, the margin-of-safety price is set at $3.00, close to our bear-case value.
