GeneDx Holdings runs genetic testing centered on exome and whole-genome sequencing, mainly for children and adults with suspected rare genetic disorders, ordered by physicians and geneticists across the United States (about 1.5% of revenue comes from outside the U.S.). The company was previously a much larger, unprofitable population-health and reproductive-testing business under the name Sema4; that legacy business was completely wound down during 2023, and the company has since operated purely as the focused GeneDx sequencing franchise. Because of that shift, this valuation is anchored on 2024 and 2025 - the first two full years reflecting the business as it exists today - rather than on the earlier, larger and structurally different business. In 2025, revenue grew 40%, driven by a 30% increase in the number of exome/genome tests run and an 18% increase in the average amount collected per test - both real, disclosed drivers. After fully accounting for stock-based compensation (which reached about 7.5% of revenue) and the portion of lab-capacity spending needed just to sustain the current business, owner earnings came out at roughly breakeven per share in 2025 and modestly negative in 2024. This is a business converting rapid growth into cash profit only very recently. An important caution: in the first half of 2026, revenue growth slowed sharply to roughly 14%, even though test volumes reportedly continued growing more than 30%, because the average amount actually collected per test came in below expectations - a recurring issue for this business, which has dealt with payor billing and collection disputes before. Management has said it expects a meaningful recovery in collections starting in the fourth quarter of 2026 and has reaffirmed full-year revenue guidance of $475-490 million. We have not yet seen that recovery in reported results, so our base case assumes near-term growth at or below the roughly 14% pace actually observed in the first half of 2026, not the faster 2025 rate. Three cases: - Bear: collection-rate pressure persists, competition and payor pushback keep pricing flat to declining, and revenue growth slows to the low single digits within a few years; owner-earnings margin stays thin (around 3% of revenue by year ten). We assumed no growth beyond year ten, and in fact modest further erosion, since nothing currently in evidence would reverse sustained pricing pressure. Business worth roughly $265 million before debt, or about $5.86 per share after subtracting what the company owes. - Base: growth moderates over the decade from the mid-teens toward high single digits, and owner-earnings margin gradually improves (to roughly 8% of revenue by year ten) as the lab's largely fixed cost base is spread over more tests - a trend already visible in 2025's improved gross margin. We gave no credit for growth continuing past year ten; the case simply holds the year-ten earning power flat, because no specific commitment or repeatable process (as opposed to a market that has been growing) guarantees further compounding. Business worth roughly $937 million before debt, or about $31.32 per share. - Bull: the reimbursement recovery management expects actually happens, test-volume growth stays near its historically strong pace for several more years, and margin expands further (to about 15% of revenue) as the lab approaches full utilization. Business worth roughly $2.77 billion before debt, or about $95.21 per share. As with the other cases, we did not assume growth continues indefinitely past year ten. Debt: in February 2026 the company refinanced its existing secured loan with a new $100 million, five-year term loan (maturing 2031) from a Blackstone Life Sciences affiliate, at a floating rate around 8% - well above the 6% rate used to value future cash flow, so we charged part of that gap as an extra cost. Combined with roughly $18 million of equipment finance leases, and set against about $132 million of cash and short-term investments (of which the loan agreement requires at least $50 million be kept on hand), the company owes, net, roughly $40 million - about $1.40 per share, a modest drag relative to the business values above. Accounting note: owner earnings add back intangible amortization and impairment charges, including a $174.5 million goodwill write-down in 2022 tied to the original combination that created today's company, and a further $31.3 million write-down in early 2026 of substantially the entire value of the Fabric Genomics software business acquired less than a year earlier. That add-back is the correct treatment for sunk, non-recurring costs, but it means none of our growth or continuation assumptions credit further value creation from acquisitions - a discipline we adopted specifically because of this record. Shareholders have since filed a securities lawsuit over the Fabric Genomics write-down; no settlement has been disclosed, so we have not built a specific cost into any case, but it bears watching. Separately, a legacy billing dispute tied to the discontinued Sema4 business was largely resolved, with a final $2 million payment due by mid-2026. One housekeeping note for readers: the company completed a 1-for-33 reverse stock split in 2023 to meet Nasdaq's minimum price requirement; it has traded well above that threshold since and currently meets listing standards. Given how much of the outcome depends on whether the recent collections shortfall proves temporary, and the company's recent record on acquisitions, the margin-of-safety price is set at a large discount to the base-case estimate - around $15 per share. If the anticipated collection-rate recovery does not show up in results over the next several quarters, actual value is more likely to track the bear case than the base case.

Chart analysis
A volatile post-SPAC boom-bust-rebound-bust chart. Shares fell from SPAC-era levels to near $1 by early 2023, forcing a 1-for-33 reverse split in May 2023 to keep the Nasdaq listing. From there the stock entered a powerful multi-year uptrend as the GeneDx turnaround took hold, trading in a roughly $32-$171 range over the past year - the profile of a high-beta momentum growth stock, not a steady trender. It has since pulled back sharply from its highs following the early-2026 revenue miss, the Fabric Genomics write-down, and related shareholder litigation, giving back a large share of the prior run-up.
