Warner Bros. Discovery owns the Warner Bros. film and television studios, HBO and the HBO Max streaming service, and a large portfolio of cable networks (CNN, TNT, TBS, Discovery, Food Network and others). It was formed in April 2022 by combining Discovery with WarnerMedia, so we measure the business from that combination; earlier Discovery-only years describe a different company. What the shares appear to be worth. On our measure of owner earnings (operating cash flow, less working-capital swings, less stock compensation, less maintenance capital spending), the business produced about $0.64 per share in 2022 (partial year), $3.00 in 2023, $1.69 in 2024 and $1.00 in 2025. The 2023 figure was helped by the 2023 Hollywood strikes, which cut content spending, so we do not treat it as normal. The 2024-2025 median is about $1.35, but earnings fell 41% in 2025, and the first half of 2026 shows operating cash flow of $640 million versus $1,536 million a year earlier, with revenue down about 6%. That corroborates the decline, so we start from roughly $1.00 rather than the median. Because 2025 was down 41%, our first-year assumption is a further decline (to about $0.92), not a rebound. Base case (about $9 per share): earnings drift down about 4% a year for a decade, then keep fading at a similar rate. Cable networks are shrinking as households drop pay-TV, and nothing we can point to today, such as a contract or a demonstrated record, offsets that with lasting growth. We do credit modest relief from debt repayment: total debt fell from $39.5 billion to $32.8 billion during 2025, which trims interest. We give no credit for streaming subscriber growth, price increases, or margin targets, because those have not yet turned into growing owner earnings. Large amortization and impairment charges (billions per year, including 2022-2024 write-downs of $3 to $11 billion) are added back as sunk costs, but their message, that the acquired networks are wasting assets, is why the path declines rather than holds flat. Bear case (about $3.30): owner earnings fall to $0.60 and shrink about 12% a year as linear television erodes faster, with $32.8 billion of debt absorbing a growing share of shrinking cash flow. Bull case (about $17): the studios and HBO Max hold owner earnings at the 2024-2025 median of roughly $1.35 with only a 2% annual erosion. Takeover agreement. On February 27, 2026 the company agreed to be acquired by Paramount Skydance for $31.00 per share in cash (plus a small daily amount if closing slips past September 30, 2026), after terminating an earlier agreement with Netflix and having $2.8 billion of termination fee paid on its behalf. Closing needs regulatory and shareholder approval and is not assured. Our values are for the business as it stands and do not rely on that price; they are far below it. The margin-of-safety price is relevant only if the deal fails. What could make us wrong: sustained streaming profit growth that outweighs network declines, or a lower-than-assumed erosion rate. What could not be reconciled: the cash-flow tags available did not include every working-capital line, so working-capital adjustments cover only the accrued-liability and other-operating-capital items; programming spend is left inside operating cash flow.
