VeriSign operates the .com and .net domain name registries under agreements with ICANN, and specifically for .com, under a Cooperative Agreement with the U.S. Department of Commerce. In plain terms: every time someone registers or renews a .com or .net website address, a fee flows to VeriSign, and no one else is allowed to run that registry. This is a genuine government- and ICANN-sanctioned concession, not just market share, and VeriSign (and its predecessor Network Solutions) has held it continuously since the 1990s. The contracts have real, dated terms rather than being open-ended. The .com Registry Agreement's current six-year term runs to November 30, 2030, and it carries a presumptive right of renewal. The companion Cooperative Agreement with the Commerce Department automatically renewed on November 30, 2024 for another six years to November 30, 2030, and keeps renewing on the same pattern unless the government objects. The .net agreement runs to 2029 on similar terms. Critically, the .com contract lets VeriSign raise prices by up to 7% a year in the final four years of each six-year term (that window opened in late 2026 for the current term), and the .net contract allows 10% annual increases with no such restriction. These price increases, not just growth in the number of registered domains, have been the main driver of revenue and cash flow growth in recent years, and they are explicitly written into the contracts rather than being ordinary competitive pricing. We based the valuation on owner earnings (cash generated by the business after real operating costs, stock compensation, and the capital spending needed just to maintain the business, before any spending to grow it). VeriSign's registry infrastructure is inexpensive to maintain relative to its cash flow, and each year's owner earnings has run from about $3.45 to $8.87 per share over the last decade, growing fairly steadily as the pricing provisions described above phased in. We used the middle five years of that record (2021-2025), which include both a soft year for new registrations (2022) and the strongest recent years, as the representative level of the business today: about $7.66 per share. We did not use the trailing-twelve-month figure, and we set aside 2020's reported earnings when choosing this baseline because they were inflated by a one-time $205 million tax reserve release unrelated to the operating business. Our base case assumes cash flow per share grows a bit under 9% in the coming year, easing over the following decade to roughly 4% annually, reflecting continued but moderating use of the contractual price increases plus modest growth in the number of registered domains, offset by ongoing share buybacks. Recent interim results already show growth cooling toward this pace. Beyond ten years, because this business needs almost no capital to sustain itself and the underlying concession has never been lost in three decades, we valued the years beyond the forecast as a slow-growing, ongoing stream rather than assuming it ends. That "tail" value makes up a large share (roughly two-thirds) of our estimate, so it deserves clear disclosure: it rests specifically on the presumptive-renewal structure of the .com and .net agreements and the government's own reliance on an uninterrupted domain system, not on speculative growth. We kept the assumed pace of growth in that tail very modest to reflect real uncertainty about pricing and contract terms decades out. Our bear case (roughly a one-in-ten downside) assumes the pricing provisions face successful political or regulatory pushback at a future renewal (the filings note the pricing terms have already drawn public and legal challenges), the number of registered domains stagnates or mildly declines as usage patterns shift, and margins compress modestly. Our bull case assumes VeriSign fully uses the contractual price increases as they become available and the domain base keeps growing at a healthy pace. On this basis we estimate the shares are worth roughly $133 in the bear case, $232 in the base case, and $284 in the bull case. Given how much of the total value depends on trusting a multi-decade government concession to keep renewing on favorable terms, the margin-of-safety price is set meaningfully below our base-case estimate, at around $167 per share. We note VeriSign carries a substantial amount of debt from years of returning cash to shareholders through buybacks (its balance sheet shows negative equity), which is not a going-concern issue given how cash generative the business is, but it does mean the bear case has less cushion than an unlevered business would.
