VERDE RESOURCES, INC. (VRDR) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$0.00 ComplexityAverage Updated
Business condition attached to the margin of safety Positive owner earnings, for example signed minimum purchase commitments from the main customer that cover cash costs.
Verde Resources sells engineered biochar and road-construction materials. In the fiscal year ended June 30, 2026, revenue was $467,788, up from $133,202 a year earlier, coming from large-volume sales of a cold mix asphalt emulsifying agent (Verde V24) to Ergon, which the company describes as its first commercial-scale sales of that product. The company holds an exclusive licence with Ergon for asphalt surface course material containing its solution across North America, and in July 2026 signed a further agreement making it Ergon's preferred supplier of engineered biochar. It also owns a biochar production facility in Sabah, Borneo, which it says has been dormant and which it expects to restart during 2027. We value a business on the cash it generates for owners after real costs, including share-based pay. On that measure Verde has lost money every year we could measure. In fiscal 2026, operating cash flow was negative $2.95 million. Working capital absorbed a further $0.65 million, and share-based compensation was $1.05 million, for owner earnings of about negative $3.36 million, or roughly negative $0.003 per share across about 1.29 billion shares. Fiscal 2025 was worse, at about negative $5.42 million. Capital spending was negligible in both years. We did not reconstruct earlier years, and we treat the losses as the level of the business as it exists today. The company is funded by selling new shares, not by its operations: it raised $2.45 million from stock issuance in fiscal 2026 and $1.98 million in fiscal 2025, and ended fiscal 2026 with $1.79 million in cash. Consistent with our approach, we do not add balance-sheet cash on top of the value of the operating business, and we do not subtract debt. Because nothing the business has already done produces positive owner earnings, each of our three cases values it at $0 per share. Bear case: the cash burn continues and further shares must be issued to fund it; nothing evidenced turns positive. Value is $0. Base case: revenue continues at roughly recent levels, but with no contracted volumes there is no evidenced path to earnings that exceed the ongoing costs, including share-based pay. Value is $0. Bull case: the strongest lever we can name is the Ergon relationship, but the agreements provide no minimum purchase commitments during an initial fifteen-month go-to-market period, and after that Ergon is only obliged to negotiate in good faith over possible minimums. The company also states that part of the carbon removal credits generated from use of its products may be allocated to Ergon, which could reduce its own revenue and margins. Expected growth from the licence, the biochar supply agreement, a restart of the Sabah facility, or licensing in other countries rests on plans and not on secured volumes or a record of profitable operation, so we do not credit it. Value is $0. What would make this wrong: if Ergon's purchases grow to the point where the business covers its cash costs and share-based pay, or if minimum purchase amounts are agreed, the shares would be worth more than zero. Those events have not yet happened. Note that a $0 value reflects the absence of demonstrated owner earnings, not a claim that the shares can never have value.
