Vor Biopharma is a clinical-stage biopharmaceutical company that completely changed its business in 2025. It originally engineered blood stem cell therapies for blood cancers, but discontinued that entire pipeline and, in June 2025, in-licensed telitacicept from RemeGen Co., Ltd. of China. Telitacicept is already an approved, marketed autoimmune drug in China; Vor now holds the rights to develop and sell it everywhere except mainland China, Hong Kong, Macau and Taiwan. The drug already has positive Phase 3 data from China in two autoimmune diseases - generalized myasthenia gravis (gMG) and Sjögren's disease (SjD) - both presented at major medical conferences in 2025. Vor is now running its own global Phase 3 trial in gMG, already enrolling patients across the US, Europe, South America and Asia, with results expected in the first half of 2027, and started a second global Phase 3 trial in SjD in March 2026. The company has no product revenue today and will not for years, if it ever does - everything depends on whether these trials succeed and regulators ultimately approve the drug outside China. As of mid-2026 it held about $466 million in cash and short-term investments and carries no meaningful debt. It is spending roughly $150-165 million a year, and that spending is rising as the newer trial ramps up; even so, the cash on hand should fund operations for roughly three years, comfortably past the 2027 readout, without an immediate need to raise more money. Accounting note: Vor's reported net income swung by well over a billion dollars in 2025 - first a huge loss, then a large paper gain - purely because of non-cash changes in the value of financing warrants tied to its own stock price, plus a one-time non-cash charge for the value of the RemeGen license. Neither reflects the ongoing cost of running the business, so this analysis is built from cash flow rather than reported net income, to avoid being misled by those swings. Three cases: Bear - The 2027 trial data disappoint and Vor discontinues the program rather than keep funding it, something the company has already shown it will do: it shut down its entire original pipeline in 2024 once the risk/reward stopped making sense. Most of the remaining cash, after wind-down costs, would be preserved for shareholders. That floor is worth around $4.50 a share. Base - The trial data broadly confirm what China already showed, supporting a US filing and eventual approval, but Vor enters an already-crowded gMG market (several competing drugs are already approved, including Argenx's Vyvgart) as a later entrant, needs to raise additional capital before a commercial launch (diluting current shareholders), and owes RemeGen royalties in the high-single to mid-teens percent of net sales, plus up to $330 million in regulatory milestones and additional milestones tied to sales growth. Net of all of that, we estimate around $9.50 a share. Bull - Both the gMG program and the later SjD program succeed, Vor becomes a real, if not dominant, commercial competitor in both diseases within the next decade, and positive data lets it fund the launch on less dilutive terms. We estimate this is worth around $18 a share - well short of blue-sky numbers, because RemeGen keeps a large share of the economics and competitors already have a head start. We could not build a reliable estimate of eventual peak product sales from the company's own disclosures - it gives no financial guidance for telitacicept, and we don't rely on outside analyst estimates - so the spread between these cases mainly reflects funding and regulatory risk rather than a specific sales forecast. Given how binary the outcome is, the margin-of-safety price is set with a large discount, around $5 a share.

SBC=$18,912K. Capex=$941K; revenue=$0 (pre-revenue) so growth capex=$0, maintenance capex=total capex=$941K. OE = -142,713 - 10,208 - 18,912 - 941 = $(172,774)K. Diluted wtd-avg shares (post-split) = 9,871,866 (FY2025 average; grew through the year due to the June 2025 PIPE/RemeGen warrant and reached ~54.5M by mid-2026). OE/sh = $(17.50). FY2025 is the transformation year: in June 2025 the company discontinued its cell-therapy pipeline entirely and in-licensed telitacicept (an approved-in-China anti-BLyS/APRIL biologic) from RemeGen for development/commercialization outside Greater China; the $177.4M non-cash acquired-IPR&D charge and $334.4M non-cash warrant fair-value loss are one-time/non-operating items, correctly excluded from ongoing run-rate via the CFO-based build. At current (mid-2026) diluted share count of ~54.5M, this FY2025 owner-earnings burn equates to roughly $(3.17)/share - the more decision-relevant run-rate figure given the mid-year share count expansion. OE = CFO - deltaWC - SBC - maintenance capex, on post 1-for-20 reverse split (Sept 2025) share basis. CFO(used in ops)=$(99,660)K. Reconciliation (all $K): Net loss $(116,914) + Depreciation $3,528 + Non-cash lease expense $5,041 + SBC $9,847 + Interest amortization on securities $(1,149) + Gain on sale of PP&E $(18) = $(99,665) subtotal non-cash-adjusted; + deltaWC (lease liab $(3,830), prepaid $(835), AP/accrued $2,241, other assets $2,429 = sum $5) = $(99,660) = reported CFO, reconciliation ties exactly (0% gap). deltaWC removed = $5K. SBC=$9,847K. Capex=$229K; revenue was $0 in both FY2023 and FY2024 (pre-revenue clinical biotech) so growth capex=$0 and maintenance capex=total capex=$229K. OE = -99,660 - 5 - 9,847 - 229 = $(109,741)K. Diluted wtd-avg shares (post-split, as restated in FY2025 10-K comparative) = 3,435,533. OE/sh = $(31.94). NOTE: FY2024 reflects the company's PRIOR business (trem-cel/VCAR33/VADC45 engineered hematopoietic stem cell candidates), fully discontinued in the 2024 strategic reprioritization; the company completely pivoted in June 2025 to in-licensed telitacicept from RemeGen. Per-share figures pre- and post-pivot are not comparable in scale because diluted share count grew from ~3.4M (FY2024) to ~54.5M (mid-2026) via a 1-for-20 reverse split followed by a large PIPE/warrant financing. Chart analysis
The chart carries several large, event-driven discontinuities rather than a smooth trend, so classic pattern-reading (support/resistance, moving averages) is of limited use across the full history. A multi-year decline through the original cell-therapy era gave way to a 1-for-20 reverse split in September 2025, executed alongside a large private placement and the RemeGen licensing deal - a combination typically associated with a company resetting its share structure around a major strategic pivot rather than a Nasdaq-compliance distress split. The size of the swings in the fair value of the company's financing warrants during 2025 implies the stock itself moved violently around the deal announcement and financing before giving back much of the move. Going forward, a chartist would expect the stock to continue trading less on technicals and more on binary event risk, with the first Phase 3 gMG data readout (expected first half of 2027) the next likely volatility catalyst.
