Business condition attached to the margin of safety Reported results for the smaller, stand-alone company (after the former CommScope corporate costs are fully absorbed) showing positive owner earnings for at least two consecutive quarters, and clarity on whether the RUCKUS segment remains part of the company.
Vistance Networks (formerly CommScope) is a much smaller company than the one most investors remember. In 2025 and early 2026 it sold its Outdoor Wireless, Distributed Antenna and OneCell businesses and, on January 9, 2026, its largest segment, Connectivity and Cable Solutions, to Amphenol for about $10.5 billion in cash. The proceeds were used to repay all of its bank debt and bonds and to redeem its convertible preferred stock. Filed data for the first half of 2026 also show roughly $2.4 billion paid to shareholders as dividends and capital distributions. Because that cash has largely left the company, and because we do not add balance-sheet cash or subtract debt, the values below reflect only what the remaining operating business can earn. What remains is two segments. Aurora (2025 sales of $1.23 billion) sells cable modem termination systems, video and distribution equipment to cable operators. RUCKUS (2025 sales of $0.70 billion) sells Wi-Fi access points, switches and cloud management to enterprises and service providers. About 71% of 2025 sales were in the United States. Comcast alone was 35% of 2025 sales, up from 21% in 2024, and Comcast was 42% of year-end receivables, so one customer's upgrade budget drives much of the result. Order backlog was $631.8 million at the end of 2025 versus $609.2 million a year earlier, which is roughly flat. How we measured earnings. The reported cash flow statement mixes continuing and sold businesses and was burdened by interest on the debt that has since been repaid, so it cannot be used directly. We rebuilt owner earnings for the continuing business from the segment figures: adjusted EBITDA, less stock compensation, restructuring, separation and transformation costs, maintenance capital spending, and a notional 25% cash tax. We excluded $35.5 million of 2025 transition-service income from Amphenol because it is temporary. Working-capital swings are left out. On this basis owner earnings were about $0.20 per share in 2023, a loss of about $0.61 per share in 2024 (a demand trough with heavy separation costs) and about $0.52 per share in 2025. Only three years exist on the current business perimeter, so we used their median, about $0.20 per share, as the normal level rather than the 2025 recovery figure. Growth in 2025 was strong (sales up 39.7%) but owner earnings cannot be meaningfully compared with the 2024 loss; we assume no growth from here, because nothing we can point to, such as a contract or a repeating pattern, secures higher sales. Backlog is flat and pricing fell in 2025. Base case, about $1.90 per share: about $0.20 per share of owner earnings held flat for ten years, then fading to zero over the following ten. The business is supported by long-standing operator relationships and $283.5 million of annual research spending, but nothing we can name ensures growth, and cable operators face cord-cutting and competing broadband technologies, so we do not extend it further. Bear case, about $0: a repeat of the 2024 pattern for two years (losses of roughly $0.61 then $0.30 per share) driven by Comcast slowing purchases after its 35% share of sales in 2025, followed by only a thin $0.10 per share recovery and a fade. The annual report also says corporate costs formerly assigned to the sold CCS segment will be reallocated to the remaining segments beginning in 2026; those costs are not visible in the 2025 figures and could weigh on results. The company has no remaining debt, so we do not show a value below zero. Bull case, about $4.90 per share: 2025 owner earnings of about $0.52 per share are sustained for ten years, then fade over ten. That requires Comcast and other operators to keep buying at the 2025 pace, which the filings show happened for one year, not a run of years. What we could not reconcile. Quarterly figures filed in August 2026 show revenue of about $320 million in the June quarter versus about $513 million for the same quarter of 2025 as presented in the annual report, which suggests the continuing perimeter has narrowed again (possibly RUCKUS being separated). We could not confirm the reason from the filing text available to us, so this analysis covers both segments as described in the annual report. We also could not cross-check owner earnings against a continuing-operations cash flow because none is disclosed. What would make this wrong: a further sale or spin-off of a segment, new management capital returns or acquisitions, or a durable cable-upgrade cycle that lifts earnings above 2025 levels.

Continuing-operations basis (Aurora + RUCKUS as presented in the FY2025 10-K after CCS, OWN, DAS and Home were classified as discontinued); the reported cash flow statement combines continuing and discontinued operations, so OE is rebuilt from segment data, not from total CFO. OE = CFO - working capital - SBC - maintenance capex, built as: segment adjusted EBITDA $292.0M (which adds back SBC and transaction costs and includes TSA income) less TSA income $35.5M (temporary, excluded) less SBC $30.4M, restructuring $19.7M, transaction/transformation costs $29.9M, maintenance capex $16.1M (capex $23.0M less growth capex $6.9M = 1.25% mean capex/revenue x revenue growth $549.0M) = pre-tax $160.4M; less notional cash tax at 25% ($40.1M) = OE $120.3M. Working capital movement is excluded by construction. Interest income excluded. Diluted shares 230.0M; OE/sh = $0.523. Reconciliation to NI+D&A route not possible on continuing basis (no continuing cash flow disclosed). Source: FY2025 10-K, accession 0001193125-26-072523.

Continuing-operations basis (Aurora + RUCKUS as recast in the FY2025 10-K). Segment adjusted EBITDA $24.5M less TSA income $24.5M (excluded) = $0.0M; less SBC $19.5M, restructuring $36.7M, transaction/transformation costs $63.4M, maintenance capex $11.8M (capex $11.8M; revenue fell from $1,863.8M to $1,382.6M so growth capex = 0) = pre-tax $(131.4)M; no tax credit taken. Working capital excluded by construction. OE = $(131.4)M; diluted shares 214.4M; OE/sh = $(0.613). Trough year for cable-operator demand plus heavy separation costs. Continuing-operations basis (Aurora + RUCKUS as recast in the FY2025 10-K). Segment adjusted EBITDA $175.2M (no TSA income) less SBC $31.3M, restructuring $29.4M, transaction/transformation costs $27.1M, maintenance capex $32.4M (total capex; 2022 continuing revenue not available so no growth capex split) = pre-tax $55.0M; notional cash tax 25% ($13.8M) = OE $41.3M. Working capital excluded by construction. Diluted shares 210.9M; OE/sh = $0.196. Earlier years not written: the business perimeter before 2023 (CCS, OWN, DAS, Home) is not comparable to the continuing business. Source: FY2025 10-K, accession 0001193125-26-072523.
