Virtu Financial is an electronic market maker. It stands ready to buy and sell stocks, options, futures, bonds and currencies across global markets, earning the small spread on a very large number of trades, and it also sells execution services (agency trading tools, analytics) to institutions. Profits rise and fall mostly with how much trading and price movement there is in markets, not with the size of the company, so results are lumpy. How we measure earnings. We start from cash from operations, remove the large swings in trading balances (securities borrowed and loaned, trading assets and liabilities, broker receivables and payables), deduct stock compensation as a real cost, and deduct the part of technology and equipment spending needed just to stand still. We count both Class A shares and the roughly 68 million exchangeable founder and employee units (which own about 44% of the trading business) so that per-share figures reflect all owners. On that basis, owner earnings per share since the 2017 KCG merger (which more than doubled the business; earlier years describe a different firm) were $2.17 (2018), $0.41 (2019, ITG acquisition and integration year), $6.48 (2020), $5.16 (2021), $3.33 (2022), $2.05 (2023), $3.99 (2024) and $6.15 (2025). We use the median of those eight years, about $3.66 per share, as the earnings level. That window covers the calm years, the pandemic boom, the normalization and the recent rebound. Owner earnings grew about 54% in 2025 ($6.15 vs $3.99); our base case assumes no growth from the median level, so year one is below that trailing rate, and we do not extrapolate the 2025 figure. The first half of 2026 was strong (revenue $2.29 billion vs $1.84 billion; net income $632 million vs $483 million), which supports the level but is one strong stretch and does not move it. Base case (about $42 per share). Owner earnings stay at about $3.66 per share for 20 years, then nothing further is counted. No growth is credited: the firm has no contracted backlog or steady expansion mechanism, and earnings have swung from $0.41 to $6.48. What is credited is durability: the trading operation has produced positive owner earnings in every year since 2018, through a loss-making integration year, calm markets and a volatility boom. Beyond 20 years we assign nothing because we cannot point to evidence that a trading edge lasts longer. Bear case (about $12.50). Trading volumes and volatility settle at or below the 2023 and 2019 range and larger rivals keep compressing spreads, so owner earnings run near $1.50 per share for 12 years and then end. This is anchored in years actually reported: $2.05 in 2023 and $0.41 in 2019. Leverage sharpens it: long-term borrowings were about $2.0 billion at year-end 2025 and cash interest paid was about $655 million in 2025 (much of it tied to financing trading positions), and the bear case reflects a business that has less room for a weak year than an unlevered one. Bull case (about $64). The firm's own record repeats at its stronger level: owner earnings of about $5.00 per share (between the 2024 and 2025 results and the 2020-2021 boom) sustained for 25 years. We did not use the 2025 figure of $6.15 as the level, because it came in an active market and the 2019 to 2023 record shows how quickly it can fall. Accounting judgements. The reported balance-sheet swings in trading positions are very large (a net drag of $570 million on 2025 cash from operations); we removed them, which is why 2025 owner earnings ($944 million) are well above reported operating cash flow ($518 million). We treated capitalized software development as spending, alongside equipment purchases. Amortization of acquired intangibles (about $47 million in 2025, down from $64 million in 2023) is a non-cash charge already added back; the intangibles are running off and we assume no earnings growth from them. Gains on selling businesses (RFQ-hub in 2025, MATCHNow in 2020, BondPoint in 2018) were excluded from earnings. Figures for share counts before 2023 rely on year-end unit counts for the exchangeable units, so per-share values for those years are approximate. What would make this wrong. If market volatility is structurally lower for a long period, or competing market makers take order flow, earnings could stay near the bear case. If trading activity stays elevated, the business could earn above the base case for years. Owner earnings are highly sensitive to market activity, which we cannot forecast, so the range between cases is wide. The margin-of-safety price is about $21 per share, half our base estimate and above the bear case, reflecting an earnings stream that has ranged widely, a levered balance sheet and dependence on market activity that management does not control.
