UWM Holdings (UWM) is the largest residential mortgage lender in the United States by closed loan volume and has been the largest wholesale lender since 2015. It originates loans only through independent mortgage brokers (over 13,000 broker firms), sells roughly 90% of them to Fannie Mae, Freddie Mac or Ginnie Mae pools, and keeps the servicing rights on most of what it sells. For the first nine months of 2025 it originated 42.5% of wholesale-channel loans. How we measured earnings. A mortgage lender's operating cash flow is dominated by the loans it funds and sells, so we removed that swing, along with changes in derivatives and other operating balances. UWM also books the value of servicing rights it keeps as a non-cash gain, then sells part of them for cash (the sale proceeds are reported outside operating cash flow). We counted those sale proceeds and stripped the non-cash gains, so the figure reflects cash the business actually generated. We then deducted stock compensation ($50.4 million in 2025) and maintenance capital spending, and divided by roughly 1.6 billion total Class A and Class D shares. The result is volatile: about $(0.09) per share in 2021, $(0.10) in 2022, $0.27 in 2023, $0.29 in 2024 and $0.06 in 2025. Negative years came when UWM kept much of its new servicing rights rather than selling them. 2020, an exceptionally strong year at $1.50 per share, is excluded as unrepresentative. Anchor. We use the median of 2021 through 2025, $0.06 per share, which spans the boom's tail, the 2022-2023 downturn and the recovery, the full cycle of a rate-sensitive business. Most recent year: owner earnings fell about 80% from $0.29 to $0.06 as UWM retained $1.2 billion more servicing rights value than it sold. Year 1 growth assumed in the base case is 0%, at or below that trailing rate, with no rebound assumed. Growth. No growth is credited in any case. Management's belief that the wholesale channel can grow from about 2 in 10 loans toward 3 in 10 is a stated expectation, not something secured, and mortgage volume depends on interest rates that UWM cannot control. What is credited is persistence only: UWM's 11-year record as the top wholesale lender and its servicing book keep producing earnings at a demonstrated level. Cases. Bear ($0.14 per share): a repeat of the 2021 and 2022 pattern, with servicing retained and zero owner earnings for three years, then only $0.03 per share for seven years, then nothing. UWM funds loans with warehouse borrowing and has issued senior notes, which makes a prolonged weak stretch dangerous for shareholders. Base ($0.67): $0.058 per share held flat for 20 years, then nothing; that is roughly double its 11-year record of market leadership, a judgement about how long the servicing book and broker relationships keep producing earnings. Bull ($3.10): the 2023 to 2025 median of $0.27 per share sustained for 20 years, which happens if UWM keeps selling servicing rights at the pace of recent years while holding its broker share. Challenging the case. The main risk to the base case is that retained servicing rights, which absorb cash now, pay off later through servicing fees; if so, the low 2025 figure understates earnings power and the case sits closer to bull. Against that, 2025 net income was $244 million on revenue of $3.2 billion, and the servicing rights lost $1.06 billion of fair value in 2025, so much of the retained value has not turned into lasting cash. We did not credit the payoff. Margin-of-safety price. $0.35 per share reflects a cyclical, leveraged financial business where the downside case is far below base.
