ULTRALIFE CORP (ULBI) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$0.98 Updated
$1.64 $11.27
bear $1.64 base $5.58 bull $11.27 margin of safety $0.98 market price* $6.12
Ultralife designs and manufactures batteries, power systems and RF communications equipment for defense and industrial customers. Owner earnings over the past decade have been erratic, swinging from roughly negative $10 million to positive $18 million, because inventory and receivable cycles overwhelm a modest operating margin; the ten-year average is only about $4 million a year. Revenue growth has come mainly from two debt-funded acquisitions, the more recent of which produced a large brand write-down within a year, while one defense prime accounts for 27% of sales and the communications segment shrank by more than a third in 2025. The bear case assumes margins compress toward 7.5% with no volume growth, which leaves little equity value once roughly $40 million of net borrowings is deducted; the base case assumes normalized earnings near $10 million growing 3% a year; the bull case assumes margin expansion and 5% growth. All three values are stated after deducting net borrowings. Because the bear case here is a fragile outcome rather than a dependable floor, we anchor the margin-of-safety price on the bear case and take roughly 40% off it. That is a deliberately demanding level, and it reflects only moderate confidence in a cash-flow stream this volatile and this dependent on acquisitions.
Fiscal yearOwner's earningsMethodology
2025 $0.37 ▼
Owner earnings = cash from operations - capital expenditures - stock-based compensation = $10,990,000 - $3,872,000 - $935,000 = $6,183,000. Divided by weighted-average diluted shares of 16,642,000 = $0.37 per share. Source: FY2025 Form 10-K consolidated statements of cash flows (Ultralife Corporation). EPS tie-out: net loss attributable to Ultralife -$5,898,000 / 16,642,000 = -$0.35, matching reported diluted EPS of -$0.35; the reported loss is driven by a non-cash $12,181,000 tradename/trademark impairment tied to a rebranding, which does not reduce owner earnings. Caveats: the year absorbed roughly $2,941,000 of cash costs management identifies as non-recurring ($2,300,000 acquisition/transition and $641,000 plant-closure severance); adding those back gives about $0.55 per share. The figure is levered - cash interest paid of $3,689,000 is already inside operating cash flow; adding back after-tax interest at 21% gives unlevered owner earnings of roughly $9,097,000, or $0.55 per share. No finance-lease principal payments appear in financing activities, so no lease adjustment is required.
2024 $0.84 ▼
Owner earnings = cash from operations - capital expenditures - stock-based compensation = $16,636,000 - $1,932,000 - $698,000 = $14,006,000. Divided by weighted-average diluted shares of 16,767,000 = $0.84 per share. Source: FY2024 and FY2025 Forms 10-K, consolidated statements of cash flows (Ultralife Corporation). EPS tie-out: net income attributable to Ultralife $6,312,000 / 16,767,000 = $0.38, matching reported diluted EPS of $0.38. Caveats: operating cash flow was flattered by a $3,887,000 net working-capital release (mainly a $7,599,000 receivable collection), and capital expenditure of $1,932,000 was well below depreciation of $3,125,000, so $0.84 overstates sustainable owner earnings; on normalized capex of about $4,000,000 and no working-capital benefit the figure is roughly $0.48. The formula also does not deduct the $48,022,000 cash paid on 31 Oct 2024 to acquire Electrochem Solutions, which was debt-funded.
2023 -$0.07 ▼
Owner earnings = cash from operations - capital expenditures - stock-based compensation = $1,929,000 - $2,552,000 - $528,000 = -$1,151,000. Divided by weighted-average diluted shares of 16,226,000 = -$0.07 per share. Source: FY2023 Form 10-K consolidated statements of cash flows (Ultralife Corporation). Caveat: FY2023 reported operating income of $9,475,000 and net income attributable to Ultralife of $7,197,000 (diluted EPS $0.44); owner earnings are negative only because of continued working-capital absorption. Interest and financing expense of $2,016,000 is already deducted inside operating cash flow, so this is a levered figure.
2022 -$0.23 ▼
Owner earnings = cash from operations - capital expenditures - stock-based compensation = -$1,263,000 - $1,679,000 - $776,000 = -$3,718,000. Divided by weighted-average diluted shares of 16,125,000 = -$0.23 per share. Source: FY2022 Form 10-K consolidated statements of cash flows (Ultralife Corporation). Caveat: operating cash flow was negative because of a large supply-chain-driven inventory and receivable build, not an operating loss; reported operating income was positive. The figure understates sustainable earning power and the working capital largely reversed in 2024.
2021 $0.05 ▼
Owner earnings = cash from operations - capital expenditures - stock-based compensation = $4,325,000 - $2,814,000 - $671,000 = $840,000. Divided by weighted-average diluted shares of 16,037,000 = $0.05 per share. Source: FY2021 Form 10-K consolidated statements of cash flows (Ultralife Corporation). Caveat: FY2021 owner earnings are depressed by a working-capital build (component shortages/inventory) and are not representative of normal earning power; the Excell Battery acquisition closed 13 Dec 2021 and is not reflected in the year's cash flows. No finance-lease principal payments appear in financing activities, so no lease adjustment is required.
