Business condition attached to the margin of safety Two consecutive fiscal years of positive owner earnings after stock-based compensation (roughly $3 million a year or better) with revenue holding at or above $100 million, without new share issuance to fund operations.
Tigo Energy designs module-level power electronics for solar installations: TS4 optimizers and rapid-shutdown devices that attach to individual panels, the GO energy-storage and inverter line, and the Energy Intelligence monitoring software. It outsources manufacturing and sells mainly through distributors and installers. About two-thirds of 2025 sales came from Europe, the Middle East and Africa, with Germany, the Czech Republic, the United Kingdom and Italy each at 10 to 16 percent of revenue. The United States was 23 percent. The record is short and swings hard. Tigo became public through a 2023 merger with a blank-check company, and the filings give four years of operating figures. Revenue was $81 million in 2022, rose to $145 million in the 2023 European solar boom, fell to $54 million in 2024 when distributors worked through excess stock, and recovered to $104 million in 2025. First-half 2026 revenue was $50.6 million, up 18 percent. We measure owner earnings as operating cash flow with working-capital swings removed, stock compensation charged as a cost and upkeep capital spending deducted. On that measure the business has lost money every year: about $0.7 million in 2022, $3.3 million in 2023, $30.5 million in 2024 and $0.6 million in 2025, all before interest. Even in the 2023 boom, operating costs and stock compensation of $4 million to $8 million a year used up the gross profit. Gross margin recovered to about 43 percent in 2025, but the cost base of about $49 million a year needs roughly $115 million of revenue just to break even. The first half of 2026 still showed a $4.1 million operating loss. Accounting judgements: the $23 million inventory write-down in 2024 is a non-cash charge and is added back, so the cost of that over-ordering shows up in the risk cases, not in the earnings level. The $14.6 million gain from selling patents in December 2025 is excluded because it is a one-time asset sale, not operating earnings. Up to $5 million of further royalties from that sale depend on licensing by the buyer and are not counted. The $3.6 million of interest paid in 2025 is added back because the $50 million convertible note was repaid in December 2025, and interest since then is negligible. The anchor is the median of the full 2022 to 2025 cycle, boom and bust included: a loss of about $2 million a year before interest. We credit no growth in any case. Solar market recovery, share gains and new products such as the GO battery line are not secured, and the company has never shown a profitable year to return to. The latest full year ran at a $0.6 million loss, and the base case assumes $2 million, which is no better than the recent trend. Base case: the business keeps running at about a $2 million annual loss for ten years, which is worth about minus $14.7 million today at 6 percent. After that, nothing we can point to sustains earning power. Tigo sold its core patents and kept only a non-exclusive license, and it competes with much larger rivals. Against this sit $16.9 million of cash at June 30, 2026, less about $5 million kept for operations and a $4.1 million bank credit line drawn this year, for about $7.8 million of net cash. The business is worth about minus $14.7 million, owes a net minus $7.8 million (it holds more cash than debt) and leaves about minus $6.9 million, or roughly minus $0.09 a share on 80.6 million diluted shares. In plain terms, at its demonstrated earning power the operation uses up slightly more cash over time than the company holds. Bear case: another destocking cycle like 2024 hits within two years and costs about $20 million, smaller than 2024 because inventory is now $20.6 million, against about $38 million after the 2023 build. Losses of about $3 million a year follow. The business would be worth about minus $36 million. After the $7.8 million of net cash, shareholders are about $28.5 million, or $0.35 a share, short. That gap would have to be filled with new stock. The diluted share count already rose from 60 million in 2024 to 80.6 million in mid-2026 through at-the-market sales and a February 2026 offering of 5 million shares at $3.00. Bull case: the company's own levers work. First-half 2026 sales growth holds revenue near $115 million, gross margin stays at the 2025 level, and stock compensation continues its decline from $7.9 million in 2025 to the first-half 2026 pace of about $6 million a year. That produces about $3 million a year of owner earnings for ten years, worth about $22 million. Adding $7.8 million of net cash gives about $29.9 million, or $0.37 a share. What would make this wrong: two or more years of genuine profits at current revenue would show the cost base can be covered, and the value would move toward the bull case. The filings contain nothing yet that locks that in.

Europe, Middle East and Africa about 67% of 2025 revenue (Germany 15.5%, Czech Republic 15.2%, United Kingdom 15.1%, Italy 10.3%); Americas about 26% (United States 23.3%); Asia-Pacific about 7%.

Chart analysis
Price history was not available for this review, so a chartist's reading is limited. The shares have traded on Nasdaq under TYGO since the 2023 merger with Roth CH Acquisition IV. The main technical feature visible in the filings is supply. Shares outstanding grew from about 60.8 million at the end of 2024 to 76.8 million by June 2026, through at-the-market sales in 2025 and a February 2026 registered direct offering at $3.00. A chartist would treat that offering price as a reference level. They would also watch whether repeated issuance keeps capping rallies. No trend or support levels can be stated without the price series.
