What this security is. This is not a share of stock. It is the 9.375% Senior Notes due August 15, 2030, issued by Two Harbors Investment Corp. in May 2025 ($115 million, $25 face value each). The notes pay $2.34 a year in cash, quarterly, and return $25 at maturity. Two Harbors is a mortgage REIT that owns mortgage servicing rights and Agency mortgage-backed securities, funded largely with repurchase agreements ($7.3 billion at year-end 2025). How we valued it. A note's value is fixed by its contract, so we valued the promised payments discounted at 6% rather than forecasting earnings. The notes can be redeemed by the company at par ($25) any time on or after May 15, 2027, so the value depends on whether that happens. The company controls that choice, not the holder. Bear case (about $25.70): the company redeems at par in May 2027. The holder collects three more coupons and $25 back. That is worth about $25.70 today at a 6% discount rate. We did not assume a default, because the filings do not name one: the notes sit behind secured repo and credit lines but ahead of $622 million of preferred stock and $1.79 billion of total stockholders' equity, against only $115 million of these notes (plus $262 million of convertible senior notes ranking alongside). We did not assume a redemption earlier than the contract allows. Base case (about $26.80): roughly an even chance of early redemption or holding to 2030, since a 9.375% coupon is expensive money and early redemption is plausible but not certain or contractually required. Bull case (about $27.90): the notes stay outstanding to August 2030 and every coupon is paid. There is no upside beyond the contract; a note cannot be worth more than its promised cash flows, so the bull case is simply the full-term payout. What weighs on the credit. The business is leveraged and interest-rate sensitive. In 2020 it lost about $1.6 billion, and in 2025 it lost about $454 million. It has still paid its obligations. Operating cash flow before working-capital timing and stock compensation fell from about $592 million in 2022 to about $106 million in 2025, which matters because interest is paid from this stream. The first quarter of 2026 was a profitable $32 million. The company has agreed to a merger in which its common stock converts into shares of UWM Holdings (announced with expected close in the second quarter of 2026). The preferred stock is being exchanged for like UWM preferred; the senior notes are not part of the exchange and remain the company's obligations. Their change-of-control put applies only if the successor lacks a listed common stock, which is not the case here. If the merger, or a severe mortgage-market shock like March 2020, weakens the credit more than the equity cushion suggests, the notes would be worth less than these estimates. Accounting notes. Owner earnings for this company come from operating cash flow (which for a mortgage REIT is dominated by interest income less financing cost, not by operating a plant) and carry no capital spending. We did not use them to set the note value because the note's payouts are contractual, but they were reviewed to judge repayment capacity: $106 million in 2025 against annual coupon cost of about $10.8 million on these notes.
