Twin Disc is a small-cap, thinly-traded manufacturer of power transmission equipment (marine, off-highway, industrial) with a fiscal year ending in June. XBRL data (FY2016-FY2025, tags 72/96/73/126/113/214/68/476) show highly cyclical results: CFO ranged from -$8.3M (FY2022) to $33.7M (FY2024), and net income was negative in five of the ten years, including a $39.8M loss in FY2020 that included a $27.6M goodwill impairment. Twin Disc does not tag stock-based compensation under the standard us-gaap ShareBasedCompensation element; it reports a company-specific 'Stock compensation expense' line in the cash-flow statement instead, so SBC was pulled from 10-K text where available (FY2016 ~$1.0-1.3M, FY2019 $2.6M, FY2020 $1.2M, FY2024 $3.4M, FY2025 $4.1M) and estimated by interpolation for years without a located figure (FY2017, FY2018, FY2021-2023) -- a data caveat given the sparse, non-standard-tagged filings typical of a small-cap issuer. Owner earnings (CFO - capex - SBC) per diluted share were negative in seven of the ten years (worst: -$1.58 in FY2019, -$1.16 in FY2022) before a clear recent inflection: +$0.87 (FY2023), +$1.55 (FY2024), +$0.34 (FY2025), coinciding with the Katsa/Kobelt propulsion-systems acquisitions and margin recovery in the core Marine and Propulsion Systems segment. At FYE2025 (6/30/2025) the company held $16.1M cash against $31.4M total debt (net debt ~$15.3M, ~$1.10/diluted share on ~13.9M shares); debt has since risen further (~$45.1M per the Q3 FY2026 10-Q) to help fund the recent acquisitions. Given the long stretch of negative-to-breakeven owner earnings, thin/noisy data, and cyclicality typical of capital-goods suppliers to marine and off-highway end markets, we used a wide bear/base/bull spread: bear assumes a near-breakeven $0.10/share owner earnings persisting flat (12% discount, 1% terminal growth), landing near a nominal floor once net debt is subtracted; base uses the FY2023-FY2025 average of $0.92/share with 3% growth moderating to 2% terminal (10% discount), yielding ~$11.51/share; bull uses the FY2024 peak run-rate of $1.55/share with 5% growth (8.5% discount, 2.5% terminal), yielding ~$31.08/share. Given the wide spread and estimated SBC inputs, the margin-of-safety price is set well below base (~48% discount) at $6.00/share rather than a flat 30% discount.
