Business condition attached to the margin of safety A named, cash-producing source of value exists: for example a signed licensing or partnership agreement for TVGN 489 or another ExacTcell candidate that pays cash upfront and funds development, a fully funded late-stage trial with positive results, or an approved product with revenue.
Tevogen (formerly Tevogen Bio Holdings; renamed Tevogen Inc. in July 2026) is a clinical-stage company developing off-the-shelf T cell therapies from its ExacTcell platform. Its lead candidate, TVGN 489 for high-risk COVID-19 patients, has completed only a Phase 1 proof-of-concept trial. Earlier programs include TVGN 920 (HPV-related cervical cancer) and TVGN 960 (oropharyngeal cancer), plus an artificial-intelligence effort, Tevogen.AI. The company has no product revenue, no licensing income and no partner paying for development, and it states that it will not start another clinical trial until it raises more money. What the business earns. Owner earnings (cash from operations with working-capital timing removed and stock-based pay counted as a cost) were about -$8.8 million in 2023, -$53.0 million in 2024 and -$26.2 million in 2025 (-$7.89 per share). The 2024 figure is inflated by $40.8 million of stock awards granted around the February 2024 SPAC merger. The first half of 2026 ran at about -$11.2 million, roughly -$22 million a year. Stock pay matters here: in 2025 the company spent $12.3 million of cash and also paid $16.2 million in stock, which dilutes existing owners just as surely as cash spending does. We use 2025 and the first half of 2026 as the picture of the business as it now operates. The loss narrowed in 2025 mainly because stock awards fell, not because any revenue appeared, so no further improvement is assumed. How it is funded. The company runs month to month on money from the Patel Family and its affiliates, who also hold its preferred stock: a $36 million loan facility signed in June 2024 that allows at most $1 million per month through roughly mid-2027, at up to 7% interest payable in shares, with each draw due 48 months later ($6.4 million drawn at June 30, 2026); a $7.0 million grant commitment from KRHP LLC, a Patel-affiliated company, expected in 2026 but still unpaid at June 30, 2026; and a $50 million at-the-market share sales program. With about $1.1 million of cash at mid-2026, the company's conclusion that it can fund the next 12 months rests on these related-party commitments continuing to be honored. Why no value is given to the pipeline. None of the product candidates has a signed partnership, a pivotal trial underway, a regulatory approval or any sales, and a search of the latest annual report found no upfront or licensing payments. We credit only cash flows that can be tied to something already in place, and nothing in the filings ties a future cash inflow to these programs. That does not mean the science is worthless; it means today's evidence gives no basis for putting a number on it. The cases (6% discount rate; per share on 6,511,540 shares outstanding at August 10, 2026). The company owes about $16.8 million ahead of common shareholders: $6.4 million on the Patel loan, $1.65 million of non-interest-bearing notes owed to Polar Multi-Strategy Master Fund from the SPAC, and about $8.7 million of Series A and Series C preferred stock liquidation value. The preferred is treated as a claim ahead of the common because conversion into common shares is not assured. - Bear case, -$13.33 per share: spending continues at the 2025 level of about $26 million a year (including stock pay) for three years, funded by more related-party loans and share sales, no program reaches revenue, and the KRHP grant does not arrive. The operations are worth about -$70.0 million, the company owes $16.8 million, and the difference is about -$86.8 million. - Base case, -$7.81 per share: spending continues at the first-half 2026 pace of about $22 million a year for two years, the remaining window of the loan facility, and then winds down with no product value. The $7.0 million KRHP grant arrives as committed. The operations are worth about -$41.1 million, net amounts owed are $9.8 million after the grant, and the difference is about -$50.8 million. - Bull case, -$4.74 per share: management holds to its stated plan of not starting new trials without new funding, so the current pace lasts about one year before spending is cut back, and the grant arrives. The operations are worth about -$21.1 million, net amounts owed are $9.8 million, and the difference is about -$30.9 million. What the negative values mean. In every case the company appears to owe and to spend more than the business is worth, by roughly $31 million to $87 million on today's evidence. The negative figures are not amounts shareholders would have to pay, but the common stock has no underlying value today, and each new round of funding dilutes existing owners further. Accounting judgements. Interest on the Patel loan is payable in shares rather than cash, so no cash interest was added back, and the loan principal is subtracted in full. Cash of about $1.1 million covers less than two months of spending and was treated as operating cash, not surplus. The 2024 accounts include a $48.5 million non-cash gain on convertible notes and $7.1 million of merger costs; our cash-based measure removes both. The 1-for-50 reverse stock split of March 6, 2026 is reflected in all per-share figures. What would make this wrong. A signed licensing or partnership deal paying cash upfront, a funded late-stage trial with positive results, or an approval would create a real source of value that this analysis does not credit. Could not be reconciled. Shares outstanding rose from 4,255,107 at June 30, 2026 to 6,511,540 by August 10, 2026, and the filings available do not say what was received for the new shares. If they were issued for cash, or to retire the loan or preferred stock, the amounts owed would be lower than used here.

Chart analysis
Price history was not available for this review, so this reading is limited to what the filings disclose. The shares began trading under the Tevogen name after the February 14, 2024 merger with the SPAC Semper Paratus. By September 2025 the stock had closed below $1.00 for 30 straight trading days, drawing a Nasdaq minimum-bid notice. At-the-market share sales from July to December 2025 averaged $37.50 on a split-adjusted basis (about $0.75 before the split). A 1-for-50 reverse split took effect March 6, 2026, and Nasdaq confirmed compliance on March 20, 2026. A chartist would call this the long downtrend common to post-SPAC biotechs, with the reverse split marking continued weakness rather than a base. The roughly 53% jump in shares outstanding between June 30 and August 10, 2026 points to steady new supply that tends to cap rallies.
