Business condition attached to the margin of safety The business earns real cash: roughly $30 million a year or more of cash after stock compensation and capitalized software spending, before interest, for four straight quarters, with revenue stable or growing and the Informa credit line being paid down rather than drawn further.
Informa TechTarget (Nasdaq: TTGT) sells business-to-business marketing services: buyer-intent data (the former Priority Engine, now the Informa TechTarget Portal, launched late 2025), lead generation, webinars and video (BrightTALK), and audience brands such as TechTarget and Industry Dive. It was formed on December 2, 2024, when legacy TechTarget combined with Informa's digital businesses; Informa remains the majority owner and its lender. Fiscal 2025, the first full year as one company, brought revenue of $486.8 million, about three-quarters from North America. How we measured earning power. We start from cash generated by operations, remove the swing from working capital, then subtract stock compensation (a real cost) and the money spent each year on capitalized software and equipment ($17.0 million in 2025; we treated all of it as ongoing upkeep because the 2025 revenue jump came from the merger, not organic growth). On that basis, 2025 owner earnings were a loss of $22.0 million, or about $0.31 a share. Adding back $8.8 million of cash interest paid to Informa gives a cash flow to the business, before its lender, of about a loss of $13.2 million. Only 2025 describes the combined company; 2022 to 2024 reflect Informa's digital businesses alone and are not a fair guide. In 2025 the company also paid or accrued $10.0 million of severance and recorded $4.6 million of accelerated stock awards under a July 2025 restructuring that cut about 10% of staff and is scheduled to finish in 2026. Because those costs are one-time and disclosed, we removed them, giving a normalized cash flow to the business of roughly +$1.4 million a year, essentially break-even on nearly half a billion dollars of revenue. The $931.5 million goodwill write-off and about $103 million a year of intangible amortization are non-cash and were not charged against earnings again, but they tell us the merger's acquired assets are worth far less than was paid, which we reflect in the cases below rather than in the earnings level. What is owed. Informa provides a $250 million revolving credit line maturing around December 2029. At the end of 2025 the company had drawn $106.7 million; it drew about $13.4 million more in the first half of 2026 (roughly $120 million now). The company also had $45.8 million of cash at June 30, 2026; we treated about $20 million of it as spare and the rest as needed to run the business. Interest has been running above 6%, so we added about $5 million for that extra cost. Net debt comes to roughly $105 million, or about $1.45 a share on 72.3 million shares. The 2025 convertible notes ($417 million) were repaid, so nothing else ranks ahead of shareholders. Growth check. The most recent full-year owner earnings improved from a $48.2 million loss to a $22.0 million loss, but that is mostly the merger adding scale; it is not a growth trend to extend. The base case assumes zero growth from year 1. Nothing in the filings puts growth in the bag: first-half 2026 revenue was $222.2 million, down 0.7% (the second quarter fell 3.2%), gross profit slipped from 57.4% to 55.1% of revenue, and first-half cash from operations fell to $3.3 million from $13.7 million a year earlier, partly because severance was paid. The new Portal platform, cross-selling and management's cost-savings hopes are plans, not results, so they are left out. Base case (the middle path): revenue holds roughly flat, and savings from the headcount cut are absorbed by the gross profit erosion already visible in 2026. Cash flow to the business stays near $1.4 million a year for ten years, after which we assume nothing further because no evidence supports lasting earning power. The business is worth about $10 million ($0.14 a share); it owes about $105 million ($1.45 a share); the difference is a shortfall of about $94 million, or about negative $1.30 a share. In plain terms, the company appears to owe more than the business is worth. Bear case: revenue keeps falling at the recent 3% a year pace and gross margin keeps slipping, so cash flow to the business worsens from a loss of about $3 million in 2027 to about $11 million in 2029. Informa's credit line matures in December 2029; if it is not extended, the debt cannot be repaid from the business and shareholders are effectively wiped out or heavily diluted (Informa also holds purchase rights on new shares). The business is worth about negative $18 million; it owes about $105 million; the shortfall is about $123 million, about negative $1.70 a share. Bull case: the restructuring savings show up in full (first-half 2026 cash operating costs were already about $9 million lower than a year earlier), revenue stops eroding, and stock compensation stays at its recent run rate of about $2.2 million a quarter, against $19.1 million in 2025. Cash flow to the business rises to about $12 million a year for ten years. The business is worth about $88 million ($1.22 a share); it owes about $105 million; the shortfall is still about $16 million, about negative $0.23 a share. A negative figure means the debt to Informa exceeds what the business is worth; a share's price cannot fall below zero, so the practical floor for a share is zero. The message is that on today's cash generation the shares have little or no supportable value, and all three cases fall at or below zero. What would prove this wrong: sustained cash flow well above $12 million a year with stable revenue would lift value, and the drop in stock compensation would need to persist. We tested the largest assumption, that 2025 costs were inflated by one-time items, and found it partly true (the $14.6 million of restructuring charges), but first-half 2026 cash from operations was weaker, not stronger, so we did not lift the level further. We could not separate exactly how much of the drop in first-half 2026 operating cash was one-time severance versus underlying weakness, and the exact current revolver balance and interest rate come from year-end disclosures plus first-half financing flows rather than a full quarterly note.

Chart analysis
A chartist would see a stock that came out of the December 2024 combination of legacy TechTarget with Informa's digital businesses and has since been in a persistent, punishing downtrend. Management itself disclosed a significant decline in market value in early 2026, and repeated lower highs and lower lows with weak rallies would read as a classic downtrend with overhead supply. Until price stops making new lows and builds a base with improving volume, a chartist would not call the downtrend over.
