Townsquare Media owns 340 radio stations in 74 local U.S. markets, all outside the 50 largest, and uses that local reach to offer digital advertising and subscription digital marketing services to local businesses. In 2025, excluding political advertising, revenue was $425.2 million: Broadcast Advertising $181.5 million (down 8.0%), Digital Advertising $160.9 million (up 2.0%), and Subscription Digital Marketing Solutions, which slipped 0.7%. The company describes radio as a component it does not expect to grow, and digital as its growth engine. First-half 2026 revenue was $212.1 million against $214.1 million a year earlier. How we measure earnings. We start from operating cash flow, strip out working-capital swings, and subtract stock-based compensation ($13.8 million in 2025, $17.2 million in 2024) and capital spending (about $15 million a year; with revenue falling, none of it is treated as growth spending). Non-cash impairments are added back as sunk acquisition cost, including $8.9 million in 2025 and $35.2 million of intangible-asset impairments in the first half of 2026; the fading of the radio business is carried in the decline rates below instead. Gains on asset sales ($8.8 million in 2025) are excluded. Because the company carries about $460 million of debt, we value the business before interest and then subtract what it owes. On that basis the business produced about $65.1 million of cash in 2024 and $50.8 million in 2025. Per-share owner earnings after interest were $1.43 (2016), $1.12 (2017), $0.74 (2018), $1.03 (2019), $0.24 (2020), $1.85 (2021), $2.82 (2022), $2.66 (2023), $1.98 (2024) and $0.46 (2025). Through March 2021, about 9 million warrants exercisable at $0.0001 were outstanding; we count them as shares. The starting level. Political advertising swings revenue between election and off years ($13.4 million in 2024 versus $2.2 million in 2025), so we anchor on the 2024-2025 average, about $57.9 million of business cash flow, a full two-year political cycle on today's cost base. Earlier years had a lower stock-compensation bill and a different debt structure and overstate today's earning power. In 2025 owner earnings fell 76% and business cash flow fell 22%; our first year assumes about $53.4 million, roughly 5% above 2025, because 2026 is a midterm election year, while first-half 2026 business cash flow ran about 5% below the prior year ($24.7 million versus $26.1 million). What it owes. At June 30, 2026, borrowings were $462.2 million against $1.2 million of cash, so net debt was $461.1 million. Most of it is a term loan maturing February 19, 2030, priced at SOFR plus 5.00% (8.90% at year-end 2025), with $11.75 million of required annual repayment and a $20 million revolver. Because this debt carries an interest rate well above long-term government rates, we add the present value of the extra interest through 2030, about $38.1 million, bringing debt to $499.2 million. Partners in partly owned subsidiaries receive about $1.8 million a year; their share is deducted in each case. Borrowings rose $4.8 million in the first half of 2026 while cash fell, and 2025 owner earnings of $7.4 million did not cover the $0.20 quarterly dividend (about $3.3 million a quarter). Base case, about $0.89 per share. Business cash flow of $53.4 million declines 4% a year indefinitely: faster than the roughly 2.5-3% annual decline from 2017 to 2025, slower than the 2025 drop and the first-half 2026 pace. Business value is about $533.7 million; less $18.6 million for outside partners and $499.2 million of debt leaves about $15.9 million of equity, or $0.89 per share on 17.8 million shares. The 2030 maturity is assumed refinanced on similar terms. No growth is credited: digital advertising grew only 2% in 2025 and does not yet offset broadcast declines. Bear case, about -$12.39 per share. Cash flow starts at $50.1 million and declines 7% a year, in line with the 8% broadcast decline of 2025. In 2028 an advertising downturn like 2020 hits: in 2020 the company's business cash flow fell 38.5% (from $61.9 million to $38.1 million), and we apply that drop for a year with only 85% recovery the following year. Cash flow then falls below the roughly $40 million interest bill, and at the 2030 maturity refinancing costs five points more for five years ($72.8 million). Business value is about $363.8 million against $572.0 million owed plus $12.7 million to outside partners: the company would owe about $220.8 million more than the business is worth, and shareholders would likely be left with nothing. Bull case, about $12.56 per share. Cash flow starts at $56.2 million and declines only 1.5% a year, in line with nine years of nearly flat revenue ($421.6 million in 2016 versus $427.4 million in 2025) and continued digital growth. Business value is about $749.1 million; less $26.1 million for outside partners and $499.2 million of debt leaves about $223.8 million, or $12.56 per share. Margin-of-safety price, $0.40. The equity is a thin slice on top of a heavily indebted, slowly shrinking business, so small changes in the decline rate swing value across zero: at a 5% annual decline the base case is about -$1.74 per share; with no political rebound (starting at 2025's $50.8 million) it is about -$0.52; at a 3% decline it is about $4.10. The worst plausible outcome, an ad recession before the 2030 maturity, would leave the lenders owning the company. Under the base case, required repayments cut debt by about $35 million by 2029 and equity value rises to roughly $1.45 per share; from $0.40, that implies about 54% a year over three years, with no dividends assumed because after-interest cash of roughly $11 million barely covers required repayments. The price assumes a three-year holding period, through the 2030 refinancing. That return is needed because the bear case is a total loss. Changes since the previous analysis. Earlier figures were built on a different basis and are not comparable. In the business itself, first-half 2026 cash flow and revenue declined further, borrowings rose, the diluted share count grew to about 17.8 million from 16.2 million in 2025, and the company recorded $35.2 million of intangible impairments.
