Business condition attached to the margin of safety The company has resolved the July 2027 maturity of its remaining roughly $21 million related-party loan without another heavily dilutive conversion, and monitoring revenue has stabilized (not declined further) for at least two consecutive quarters.
Track Group leases electronic monitoring equipment, chiefly GPS ankle bracelets, to law-enforcement and corrections agencies in the U.S. and abroad, tracking people on probation, parole, or pretrial release. It is a small, capital-intensive business: it must continuously buy, install, and replace monitoring devices for the population it tracks, whether or not its overall business is growing. Over the last several years, revenue from monitoring services has drifted down, from about $39.7 million in fiscal 2021 to about $32.9 million in fiscal 2025, as the number of people monitored fell in Virginia and Washington, D.C., partly offset by growth in Illinois and the Bahamas and by rising international equipment sales (notably to Chile and Saudi Arabia). Because this segment has not been growing, we treat essentially all of the company's spending on monitoring equipment as the cost of maintaining its existing device fleet rather than as growth investment. On that basis, the cash the business actually has left over for shareholders after paying for equipment replacement has been thin to negative in four of the last six fiscal years, even though reported operating cash flow looked healthier some years because of favorable, temporary swings in receivables and payables. The most important recent development is a debt restructuring completed in mid-2026. The company had a single $42.9 million loan from its controlling shareholder that had already been extended once, from 2024 to July 2027, with escalating interest and a deferred interest payment. In the quarter ended June 30, 2026, roughly half of that loan was converted into new shares. This cut the loan balance to about $21 million, meaningfully lowering future interest costs and turning the company's book equity from negative to positive for the first time in years. The cost was substantial dilution: shares outstanding rose from about 11.9 million to about 41.3 million. We value the company on this new, larger share count, since that is what each share outstanding today represents a claim on. Our base case assumes monitoring revenue holds roughly flat to slightly lower, the interest savings from the restructuring show up in full starting in fiscal 2027, and the business generates modestly positive, but small, owner earnings within a few years as equipment reinvestment needs level off. That produces a value of roughly $0.11 per share. Our bear case assumes the erosion in monitored population continues, the remaining ~$21 million loan cannot be refinanced on reasonable terms when it comes due in July 2027, and the company is forced into a second large, dilutive conversion, leaving little to nothing for today's shareholders — a value close to zero. Our bull case assumes the revenue decline reverses through new contract wins (building on the recent growth in Illinois, the Bahamas, and international product sales), the remaining debt keeps shrinking, and owner earnings build toward roughly $2 million a year, supporting a value of about $0.70 per share. Given how thin the underlying cash generation is and how much depends on successfully managing the 2027 debt maturity, the margin-of-safety price is near $0.06 per share, and it assumes the refinancing risk is clearly being managed well by then. One limitation worth noting plainly: the detailed narrative of the 2026 debt conversion (its exact terms and pricing) was not available in full filing text, only in the reported financial figures, so we relied on those figures for the size and timing of the change rather than the underlying agreement itself.
