Business condition attached to the margin of safety The trucking operations produce positive operating cash flow for two consecutive quarters and the $2.0 million loan installment due January 2027 has been collected on schedule.
Toppoint Holdings runs a trucking and logistics business (Toppoint Inc., founded 2014) that hauls recycled commodities, mainly waste paper, scrap metal and logs, from recyclers and waste companies to the ports of Newark, New Jersey and Philadelphia, Pennsylvania, plus some import hauling. It has expanded into Florida, Baltimore, Ensenada (Mexico) and Houston. Much of the volume is arranged through owner-operator drivers rather than company-owned trucks. Two customers made up about 22% of 2025 revenue. Revenue has been flat at roughly $16 to $18 million a year (2023: $18.0M, 2024: $16.0M, 2025: $16.5M) and rose about 12% in the first half of 2026 to $8.7M. What the business earns. On our measure of owner earnings (operating cash flow less working-capital swings, stock compensation and the maintenance share of capital spending), the company made about $0.07 per share in 2023, lost about $0.05 in 2024, and lost about $0.40 in 2025. The 2025 figure is dominated by $5.4M of one-time stock grants around the January 2025 IPO plus IPO-related professional fees; management says it does not expect large stock compensation again. Excluding 2025 for that reason, the two earlier years give a median of about $0.01 per share, essentially break-even. More importantly, the first half of 2026 does not corroborate a return to profit: operating cash flow was negative $0.9M and net loss was $1.0M, although the second-quarter loss ($0.3M) was less than half the first-quarter loss ($0.65M) after price increases and expansion into new territories. Owner earnings per share fell from about $(0.05) in 2024 to $(0.40) in 2025; we assume no improvement beyond that recent run rate in year one, because one better quarter is not enough to credit a turnaround. The business is therefore valued on what is demonstrated: modest break-even earning power in 2023 to 2024 that the listed company has not yet reproduced. What the shares are worth is mostly balance sheet, not operations. As of June 30, 2026 the company held $4.7M of cash (largely from new shares sold in 2026, taking shares outstanding to 24.7M) and owed about $0.85M on loans plus $0.08M to a related party. It also holds a $5.0M loan receivable from Golden Bridge Capital Management Limited, an unrated borrower in a non-OECD country, to whom it lent $6.0M in January 2025 as a temporary investment. The loan was already renegotiated once in April 2025 into a slower schedule at 7% interest: $2.0M due by January 2027 and $3.0M by January 2028. The lender is a single, unrated counterparty and this loan is a large share of the company's assets. We value the operations separately from these items. Bear case: roughly $0.06 per share. The operations keep burning about $1.8M a year (the 2025 and first-half 2026 pace, before loan interest) for three years, then are wound down with nothing left of value, costing about $4.8M in today's money. Golden Bridge pays only half of the loan ($2.5M), given the prior renegotiation and the lender's lack of a credit rating. Cash of $4.7M plus $2.5M recovered, less about $0.9M of debt and the $4.8M of operating losses, leaves about $1.5M, or roughly $0.06 per share. Customer concentration, tariff or trade shifts in scrap exports, and the risk that independent contractor drivers are reclassified as employees (all disclosed risks) fit this case. Base case: roughly $0.22 per share. Losses continue at the current pace for two more years and the operations then break even, worth nothing beyond that because we do not credit a turnaround or growth we cannot yet point to. That costs about $3.2M in today's money. The Golden Bridge loan is repaid on the amended schedule ($5.0M). Operations: about negative $3.2M; loan and cash: $9.7M; debt owed: about $0.9M; net about $5.6M, or roughly $0.22 per share. Bull case: roughly $0.44 per share. Price increases already implemented and the new territories cut the losses to break-even within about a year and a half, after which the business earns about $0.5M a year for ten years, similar to the modest profits it actually reported in 2023 and 2024 (net income of $0.5M and $0.2M) less the added costs of being a listed company. Operations net about positive $2.1M after early losses, plus the full $5.0M loan and $4.7M cash, less about $0.9M of debt, gives about $10.9M, or roughly $0.44 per share. What could make this wrong: the value depends heavily on collecting the Golden Bridge loan and on the company not burning through its cash; a default on the loan or a longer period of losses pushes value toward the bear case. Conversely, the operations could earn more than the bull case if the volume growth seen in 2025 (waste-paper loads and orders rose year over year) converts to sustained profit. Figures for 2026 come from quarterly data only; the narrative text of the latest quarterly report was not available to us, so the loan balance at June 30, 2026 is taken from the reported balance sheet items ($2.0M current and $3.0M non-current).

Chart analysis
Toppoint listed on NYSE American in January 2025 after an initial public offering, so its price history is short. A chartist would have very little data to work with: no multi-year base, no established long-term trend line and no well-tested support or resistance zones. Newly listed micro-cap stocks like this typically show high volatility and thin volume, so any pattern read from a short chart is low-confidence and breakouts are easily reversed. A chartist would wait for a longer trading history and a sustained move on rising volume before drawing conclusions.
