TREACE MEDICAL CONCEPTS, INC. (TMCI) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$0.00 ComplexityAverage Updated
Business condition attached to the margin of safety Owner earnings, after deducting stock compensation, must turn durably positive. On 2025 figures the company would need roughly $58 million more annual owner earnings, which at a 79.8% gross margin means either about $73 million more revenue (about 34% above 2025) with operating costs held flat, or a comparable cut in operating costs.
Treace Medical Concepts sells the Lapiplasty 3D Bunion Correction System and related bunion-surgery instruments and implants to surgeons in the United States. Revenue was $212.7 million in 2025, up 1.6% from $209.4 million in 2024 and up from $187.1 million in 2023. Gross margin is high (79.8% in 2025), but selling, research and administrative costs of $223.9 million exceeded the $169.8 million of gross profit, producing a $59.0 million net loss in 2025 ($55.7 million in 2024). How we measure it: owner earnings are operating cash flow, less the cash absorbed by working capital, less stock compensation, less the part of capital spending needed just to stand still. Stock compensation is a real cost to shareholders, and Treace's has grown from $3.4 million in 2021 to $33.8 million in 2025. Owner earnings per share were about -$0.41 in 2021, -$0.76 in 2022, -$0.84 in 2023, -$0.89 in 2024 and -$0.92 in 2025 (about -$58.2 million in 2025 on 63.3 million diluted shares). They have been negative every year and the loss is widening, not narrowing. Reported operating cash flow improved from -$37.2 million in 2024 to -$16.0 million in 2025, but that came mainly from smaller working-capital drains ($22.8 million in 2024 versus $4.9 million in 2025), not from better underlying earnings. Because every year is negative we used the full five years since the 2021 listing as the window; there is no positive level to anchor on. What drives the business: the company's flagship Lapiplasty system is losing ground. Management attributes lower Lapiplasty sales to surgeons' shifting preference for minimally invasive osteotomy procedures, competition, and weaker patient demand for elective bunion surgery. Kit volumes overall grew, but average selling prices on the newest kits fell, and 2025 revenue included $13.0 million of sales to stocking distributors, mostly initial stocking orders in the first three quarters, with none in 2024. Excluding that one-time stocking, revenue would have been roughly flat to down. Stryker, the leader in foot and ankle, competes directly and bundles bunion products with its broader lines. Treace sued Stryker for patent infringement in October 2024 and Stryker filed its own suit against Treace in May 2025; both are ongoing and legal fees rose $5.4 million in 2025. Bear case, $0 per share: losses continue at the recent pace, distributor stocking does not repeat and pricing keeps slipping. The company held $48.4 million of cash and securities at the end of 2025 against $60.0 million of term-loan principal, and its loan requires liquidity above 60% of that principal, so ongoing losses would eventually force new borrowing or share issuance. We do not assign a negative value because the business still produces $170 million of gross profit, but nothing we can evidence produces value for owners in this case. Base case, $0 per share: the business as it exists today. Owner earnings have been negative for five straight years and worsened each year. Growth that would fix this, such as new products, share gains, or cost cuts not yet delivered, is not yet in evidence, so we credit none. Total operating costs were flat in 2025 ($223.9 million versus $224.0 million) as a $6.8 million sales and marketing reduction was offset by a $7.0 million rise in administrative costs. Revenue growth slowed from 11.9% in 2024 to 1.6% in 2025. Bull case, $0 per share: even if 2025's revenue growth of 1.6% were sustained, closing a $58 million owner-earnings gap at 79.8% gross margin would take about a third more revenue with costs held flat, which is beyond what the record supports. The company has no contracted or proven mechanism that delivers this, so we do not credit it. What could prove us wrong: a court win or licensing outcome against Stryker, a new product that reverses the Lapiplasty decline, or a sharp and lasting cut in operating costs and stock compensation would change the picture. None of these can be relied on today. We could not read the most recent quarterly filing in our data, so this analysis rests on the 2025 annual report. Operating cash flow and stock compensation are from the filings; small working-capital and lease items were treated as noted in our supporting calculations. Because our estimated value is zero, no positive margin-of-safety price applies until owner earnings after stock compensation turn durably positive.
