Triumph Financial is a Dallas-based financial holding company with four reporting segments: Banking (TBK Bank, community banking in Iowa, Illinois, Colorado, New Mexico, Kansas and Texas plus some nationwide lending), Factoring (buying freight invoices from trucking carriers), Payments (TriumphPay, which pays carriers on behalf of freight brokers and shippers) and Intelligence (trucking data and pricing tools, launched in late 2024). Banking and Factoring earn the money today. Payments and Intelligence are investments that so far cost more than they earn. How we measure earnings. We look at the cash the business generates, subtract the cash tied up in working balances, subtract stock-based pay as a real cost, and subtract the ongoing spending on buildings, equipment and capitalized software. Per diluted share this comes to about $2.15 (2020), $4.05 (2021), $3.44 (2022), $1.87 (2023), $1.12 (2024) and $0.90 (2025). We treated the $51.7 million Dallas building bought in March 2024 for a planned new headquarters as a one-off rather than routine spending, because the company sold it in December 2025 for $64.0 million and will not occupy it. Amortization of acquired intangibles ($11.6 million in 2025) is a non-cash charge and is not deducted, but we treat those acquired positions as wearing down, which is why the far-future years fade rather than grow. The earnings level we use is $1.01 per share, the midpoint of 2024 and 2025. The 2020 to 2023 figures came from a different mix of businesses and a different rate environment, and we do not believe they describe today's company, so they are not used. Owner earnings fell about 20% in 2025 ($0.90 versus $1.12). We start the base case flat at $1.01 rather than continuing the decline because reported net income rose from $16.1 million to $25.4 million in 2025, a 5% workforce reduction and other cost cuts were announced in August 2025 and will run for a full year in 2026, and the Payments segment's pre-tax loss narrowed from $12.5 million to $2.8 million. The 2025 figure also includes about $11.5 million of pre-tax gains from the June 2025 $47.5 million U.S. Postal Service settlement, which will not repeat, so we do not lift the level above the two-year midpoint. Base case, $13.5 per share. Owner earnings stay at $1.01 per share for ten years. After that we assume a 3% annual decline, because nothing in the filings shows the earning power expanding or renewing beyond that point. Banking and Factoring earned combined pre-tax income of about $155 million in 2025, but that is offset by roughly $105 million of corporate and shared costs plus $14.5 million in Intelligence losses. We give no credit for further growth in freight-payment volume (invoices processed rose from 24.8 million to 33.6 million in 2025, and factored receivables grew 18%) because it has not yet turned into steady owner earnings. Bear case, $5.9 per share. Owner earnings drop to $0.55 per share, roughly the 2025 result after removing the one-time postal settlement gains, and hold for five years before declining 5% a year. Named pressures: credit loss expense of $18.8 million in 2024, with the company noting more loan modifications in commercial real estate and equipment finance; Intelligence losses that widened to $14.5 million in 2025; and the $151.7 million paid for Greenscreens AI in May 2025 ($139.0 million cash, $12.7 million stock), which could earn less than paid. The company is a bank, so leverage is inherent and a credit downturn would hit this case first. Bull case, $22.0 per share. Owner earnings rise to $1.55 per share and hold for ten years, followed by a 2% annual decline. This is what the business's own levers would produce if Payments and Intelligence simply stop losing money, worth roughly $17 million of pre-tax income on 2025 results, and the 2025 cost cuts hold. We do not assume a return to the 2021 to 2022 levels, which were reached under conditions that have since changed. What could make this wrong. Owner earnings could keep declining if Payments and Intelligence continue to consume cash. Return on average common equity was only 2.54% in 2025 against roughly $942 million of equity, which shows how little the balance sheet is currently earning. On the other hand, deeper cost cuts or faster Payments profitability would push results toward the bull case. We could not separate from the filing the exact after-tax cost savings expected from the August 2025 restructuring, so no specific dollar amount is credited to it.
