ThredUp Inc. (TDUP) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$0.00 ComplexityAverage Updated
Business condition attached to the margin of safety Owner earnings after stock compensation and maintenance capital spending positive for at least two consecutive full fiscal years.
ThredUp runs an online resale marketplace for secondhand apparel, shoes and accessories. Sellers send in bags of clothing, ThredUp processes and photographs the items in its distribution centers, and it earns revenue when they sell, net of seller payouts. It also runs Resale-as-a-Service programs for retail partners. It has moved to a mostly consignment model, and its former Remix business is reported as discontinued. The business is growing. In 2025 revenue was $310.8 million against $260.0 million in 2024, up 19.5%. Active buyers rose 29.5% to 1.65 million and orders rose 25.3% to 6.1 million. Gross margin was 79.4%. The company still lost $20.2 million from continuing operations, compared with a $40.0 million loss in 2024. Our measure of what the business earns for its owners is operating cash flow, less the swing in working capital, less stock-based compensation (a real cost, since it dilutes shareholders), less the part of capital spending needed just to keep the business running. On that basis ThredUp has not yet produced positive owner earnings. Per diluted share, we calculate roughly -$1.07 in 2022, -$0.43 in 2023, -$0.22 in 2024 and -$0.08 in 2025 (about -$9.4 million in total). In 2025, cash from operations was $10.7 million, but stock compensation of $19.0 million and about $7.0 million of maintenance capital spending (out of $10.5 million total capex) more than absorbed it. The 2021 and 2022 figures include Remix and are less comparable. We anchor on 2023-2025, after the restructuring and the Remix exit, and the median of those years is about -$0.22 per share. Stock compensation has been falling, from $29.7 million in 2023 to $19.0 million in 2025, but it is still larger than operating cash flow. Growth-path check: owner earnings improved by about $15 million in 2025 (from -$0.22 to -$0.08 per share). We assume no further improvement in any case, because nothing in the filings locks it in. All three cases are worth $0 per share. The trend is clearly improving, and revenue growth of 19.5% could turn the business into a profitable one. But that would require continued gains in buyers and orders, operating leverage and lower stock compensation. None of these is contracted or a repeatable multi-year record that has already produced positive owner earnings, so we do not credit them. Nothing we can name and verify produces positive owner earnings today, so we assign no value to the future. This is not a claim that the shares are worthless. It means that the evidence for positive earnings is not yet in the filings, and we do not value things that have not yet happened. Following our method, we do not add the company's cash to these values or subtract its debt. At year-end 2025 ThredUp held $53.1 million in cash and short-term securities and owed $18.3 million on a term loan, whose maturity was extended to July 2030 in January 2026 and whose undrawn capacity was cut from $22.5 million to $10.0 million. The bear case is a continuation of the recent loss levels, which would slowly consume that cash. It is also $0 because we do not credit any value beyond that. The bull case has the same $0 value because it would require the improvement to continue, which we have not counted. What would make this wrong: if the improvement continues, with revenue growing and stock compensation shrinking, owner earnings could turn positive as early as the next year or two, and the shares would then be worth more than our figures. The valuation would be revisited once owner earnings are positive for two consecutive full years. The most recent quarterly reports were not available for this analysis, so it rests on the FY2025 annual report and earlier annual filings.
