WHAT THE BUSINESS IS NOW. Theravance Biopharma has become, in effect, a one-product royalty-style business. Its only recurring earnings source is a 35% share of US profits on YUPELRI (revefenacin), a once-daily nebulized COPD treatment that Viatris sells and books. That share was $75.0 million in 2025 (up 16% from $64.4 million), on total YUPELRI net sales of $266.6 million (up 12%, with customer demand up 7% and the rest from better pricing that management says will likely moderate). The company's other former engine, its TRELEGY royalty, was sold to GSK in 2025 for $225 million. In March 2026 the Phase 3 CYPRESS study of ampreloxetine failed its main goal, the program is being wound down, and the company is cutting roughly 60% of its 2025 operating expenses of $111.1 million (full savings of about $70 million a year from the third quarter of 2026, with $5-7 million of severance). The board is also reviewing alternatives, including a sale of the company; nothing from that process is assumed here. HOW WE MEASURED EARNINGS. Reported 2025 cash flow ($238.5 million from operations) is not a run rate: it includes the one-time $225 million TRELEGY royalty sale proceeds, a $50 million TRELEGY milestone and $32.5 million of YUPELRI milestones. On our owner-earnings basis (operating cash flow less working-capital swings, stock compensation and maintenance capital spending) the last four years were about -$1.16, -$0.84, -$1.10 and +$1.93 per share, the last figure inflated by those one-offs. Because the business changed fundamentally in 2022 (TRELEGY interest sold) and again in 2026 (R&D shut down), we do not average those years. Instead we rebuild earnings for the business as it now exists: $75 million of YUPELRI profit share, less about $44 million of remaining costs (40% of 2025 spending, stock compensation treated as a real cost), taxed at roughly 23% because the company has used up its US federal loss carryforwards and paid $27.9 million of cash taxes in 2025. That is about $24 million a year, or about $0.46 per share. Year-one growth: trailing owner-earnings growth is not meaningful (-$1.10 to +$1.93 on one-offs); YUPELRI profit share grew 16% last year, and we assume 0% growth in the base case. WHAT PERSISTS AND FOR HOW LONG. Seven generic makers have settled and are licensed to launch on April 23, 2039; the one remaining litigant, Mankind Pharma, has agreed not to enter before August 25, 2031 (the two-thirds-of-life polymorph patents were dismissed), while method-of-treatment patents to 2039 remain in litigation. Owner earnings are therefore credited through early 2039, then faded to half and a quarter over two years, then zero, since nothing we can name and evidence continues after generics. We add no cash from the balance sheet: per our method, values here reflect the earnings stream, not the roughly $326 million of cash and securities at year-end 2025 (about $400 million after early-2026 milestone receipts, roughly $8 per share), which sits outside these figures. BASE CASE ($4.76 per share). YUPELRI profit share flat at $75 million, costs at the announced reduced level, licensed generic entry in 2039 with a two-year fade. We also include the up-to-$100 million TRELEGY milestone tied to 2026 global TRELEGY sales (2025 sales were $3.91 billion versus the $3.51 billion threshold; the maximum $50 million was paid for both 2024 and 2025), about $77 million after tax. Against that we deduct severance and assume half of the $85.7 million liability the company carries for uncertain tax positions is eventually paid. We do not credit further YUPELRI growth (demand growth and pricing are not contracted, and management expects price gains to moderate), the $50 million and $75 million US sales milestones at $500 million and $750 million of annual sales (US sales are about $250-267 million), China sales milestones, or any value from ampreloxetine. BEAR CASE ($0.98). YUPELRI profit share slips back to its 2024 level of $64.4 million as the favorable pricing and channel mix fades; remaining costs run about $48 million; Mankind's earliest entry in 2031 proves out and profits fall by half and then a quarter before ending; the whole $88.8 million of uncertain tax positions is paid within about two years. The TRELEGY milestone is still included, since nothing named points to a fall below the threshold. BULL CASE ($8.04). YUPELRI profit share grows 5% a year for six years (below the 7% demand growth seen in 2025) to about $100 million, costs stay at the lower level, generic entry holds off until 2039, and the tax positions lapse without payment. WHAT COULD MAKE THIS WRONG. Earnings depend on a single partner-sold product; if Viatris's spending or pricing shifts, profit share moves with it. The new cost base is management's estimate and 2026 will carry wind-down costs. The tax liability is a large contingency relative to the value of the business. On the upside, a sale of the company or a return of cash could realize value beyond these figures, but nothing of that kind is assumed. We could not reconcile the exact size of post-restructuring costs beyond management's 60% figure.
