Business condition attached to the margin of safety At least two more consecutive quarters confirming that G&A expense is falling as a share of revenue (not just R&D), and that operating cash burn keeps narrowing at something like the pace seen in the first half of 2026 versus the first half of 2025.
Neuronetics (NeuroStar Advanced Therapy) makes an FDA-cleared, insurance-reimbursed device for transcranial magnetic stimulation (TMS), a treatment for depression and related conditions, used in outpatient psychiatric practices. On December 9, 2024 the company acquired Greenbrook TMS Inc., a chain of company-operated TMS treatment centers, roughly doubling revenue and share count in a single stock-and-debt transaction. Nearly all sales (about 98%) are in the United States. This is a business that has never generated positive owner earnings in its public history - not once in the seven years we can measure cleanly (2019-2025), even in years when it was a pure device maker with 70%+ gross margins. Adding the Greenbrook treatment centers grew revenue sharply (to $149 million in 2025 from $75 million in 2024) but pulled blended gross margin down to 48.5% from 72.3%, because directly running clinics is a lower-margin business than selling devices and consumables. General and administrative costs jumped 64% in 2025 as the two companies were combined, though research and development costs fell sharply on restructuring-related savings the company has specifically pointed to. In the first half of 2026, cash burn was roughly half what it was in the first half of 2025 on the same combined business, with revenue up about 8% - real, recent evidence that integration savings are starting to show, even though the full-year 2025 G&A trend does not yet confirm it. Because Greenbrook only became part of the company weeks before 2024 closed, 2025 is the first full year that reflects the combined business, so it is the year we build the current valuation from rather than blending in years that describe a smaller, different company. On that basis, owner earnings - operating cash flow after removing the effect of working-capital swings, stock compensation, and the capital spending needed just to keep the business running as it is - came to about $(35) million in 2025, or roughly $(0.52) per share. The bear case assumes the integration savings do not fully materialize, that the lower-margin clinic mix persists, and that losses continue near recent levels for years, funded by further share issuance (as happened in 2025) and by the company's variable-rate borrowing, which carries a real cost (interest expense of roughly $8 million in 2025) and a minimum-cash covenant. Under that path, the business is worth less than nothing on a per-share basis, roughly $(2) per share, reflecting a company that would need to keep raising outside capital indefinitely just to stay open. The base case assumes the demonstrated (if early) cost savings continue, but at a more measured pace than the first half of 2026 showed, narrowing losses over the next several years, reaching roughly breakeven around year five, and settling into modest, sustained profitability afterward on the strength of an FDA-cleared, reimbursed therapy with an established base of device placements. That produces a value only modestly above zero, around $1 per share - not much margin for error. The bull case assumes the integration executes closer to what management's own actions this year suggest is achievable, with the device business continuing something like the roughly 9%-a-year organic growth it showed from 2017 through 2024 before the merger, and G&A costs coming back down toward pre-merger levels as duplicate functions are eliminated. That path is worth around $4 per share. Given how much of the outcome still depends on an integration that is barely a year old and has not yet shown up cleanly in full-year numbers, the margin-of-safety price sits well below the base-case estimate and assumes a couple more quarters confirm that G&A, not just R&D, is coming down as a share of revenue, and that the narrower cash burn seen in the first half of 2026 continues. The company briefly fell out of compliance with Nasdaq's minimum share price requirement in late 2024 and regained compliance about six weeks later; that issue has been resolved and is not a current concern.

Revenue grew 99% ($74,890K to $149,157K) almost entirely from the Dec-9-2024 Greenbrook TMS acquisition (first full combined year), not capex-funded organic capacity - mechanically applying the standard growth-capex formula to this M&A-driven jump would zero out maintenance capex, which understates it for an asset-light but real ongoing business, so as a judgment call the full $801K capex is treated as maintenance capex (no growth-capex netted out).
