Shutterstock licenses stock images, video, music and 3D models through subscriptions and per-item purchases, and sells its library's metadata to companies training AI models. It also owns Envato (bought July 2024), Giphy (bought from Meta in 2023), Pond5, and the editorial agencies Rex Features, Splash News and Backgrid. Our previous note did not value the company because a merger with Getty Images was expected to take the shares off the market. Getty terminated that agreement on July 7, 2026, after the UK competition regulator required Shutterstock to sell its editorial business, and no termination fee was payable to Shutterstock. We now value it as a standalone business. From 2021 to 2025 the business produced roughly $2.45 to $3.50 per share a year in cash before interest, after paying for stock compensation, software development and content purchases. We counted stock compensation (about $61 million in 2025) as a real cost. We treated retention payments to Giphy employees, which Meta reimbursed, and the costs of the Getty merger as one-offs. We ignored the $173.7 million goodwill write-down in mid-2026 because it moved no cash. Amortization of acquired Envato, Giphy and Pond5 intangibles (about $39 million a year) is added back in the cash figure, so the fading value of those acquisitions is carried in our declining forecast instead. The core problem is that customers are buying less stock content as AI tools generate images on demand. Content revenue fell 7% in 2023 and kept shrinking underneath Envato's contribution in 2024 and 2025. In the first half of 2026 it fell 15%, while data-licensing revenue, which had been the growth story, fell 28%. First-half cash generation was close to zero, partly because of a $35 million FTC settlement over subscription cancellation practices paid in the second quarter. The chief executive left in July, the dividend was suspended, and the company stopped giving guidance pending a new strategy. Base case: cash flow before interest of about $60 million in 2026, declining 7% to 9% a year as Content keeps eroding and data licensing stays lumpy, and continuing to fade after year ten because nothing we can point to reverses the decline. The business is worth about $430 million, less about $154 million of net debt (a $155 million revolver and a $118 million term loan maturing in 2029, offset by surplus cash and a stake in Hong Kong-listed Meitu), or about $7.37 per share. Bear case: the 2026 rate of decline persists and a marketing-budget downturn like 2020's cuts a further year's revenue in 2028. Cash flow falls from about $48 million toward $10 million by 2035. The business is worth about $215 million against the same debt, plus extra cost to refinance in 2029 when lenders would see a much smaller business, or about $1.24 per share. Bull case: the Content decline slows to roughly its 2023 to 2025 pace of about 5% a year and data licensing holds near 2025 levels. Cash flow is about $72 million, fading 4% to 5% a year. The business is worth about $700 million, or about $14.67 per share. We did not credit the further $60 million of cost cuts management is targeting by year end, because it is a target, not a result. Our margin of safety price is $3.50. We are not confident in the earnings level: two consecutive quarters show the decline accelerating, there is no permanent chief executive, and the strategy is not yet public. The worst plausible outcome is that AI-generated imagery hollows out paid stock licensing faster than costs can be cut, and the business reaches its 2029 debt maturity generating too little cash to refinance on good terms. That would force asset sales (the editorial business or Giphy) or dilution, and could leave shareholders with very little. With the dividend suspended, nothing is paid over the holding period. At $3.50 the net debt is still covered in the bear case, and a return toward the base value within about three years would imply well over 20% a year. What would make this wrong: on the upside, a stabilization of Content revenue or new multi-year data-licensing contracts; on the downside, Content declines of 15% or more continuing into 2027.

Sales geography
North America (about 49-51% of revenue), Europe (about 27-29%), and the rest of the world (about 22%), per the FY2025 10-K and Q2 2026 10-Q.
Historical growth strategy
Organic marketplace growth driven by a large contributor network and subscription pricing, supplemented since 2020 by frequent acquisitions (PicMonkey, Pond5, Giphy, Envato and the Rex Features, Splash News and Backgrid editorial agencies), and more recently by selling library data and metadata to AI model developers.
Chart analysis
A long-term downtrend from the 2021 peak, with a series of lower highs through 2024 and 2025. Shares bounced on the Getty merger announcement and then gapped down roughly 30% on July 1, 2026 when the deal collapsed. A chartist would describe a broken stock in a primary downtrend with no base yet formed, and would want to see a stretch of sideways consolidation and a higher low before calling a bottom.
