THE BUSINESS Spok Holdings sells communication tools to hospitals, and it has no debt. About half of its revenue comes from a paging network that runs on FCC-licensed 900 MHz frequencies. At the end of 2025 about 675,000 one-way and two-way pagers were in service, mostly in hospitals, which still value pagers for their reliability and in-building coverage. Paging and related products brought in $72.5 million in 2025. The other half is the Spok Care Connect software suite (hospital operator consoles, clinical alerting and secure messaging), which brought in $67.2 million. More than half of the software revenue ($36.4 million) is recurring maintenance and subscription fees. WHAT IT EARNS We measure owner earnings as operating cash flow, minus three things: temporary working-capital swings, stock-based compensation (which we treat as a real cost), and the capital spending needed to keep the business running. On that basis Spok earned $24.2 million in 2023, $21.3 million in 2024 and $21.2 million in 2025 ($1.19, $1.04 and $1.01 per share). We start from the middle figure, about $21.3 million. We use only these three years because 2019-2022 describe a different company. In those years Spok spent about $11 million a year building its Spok Go platform. We count that spending as capital investment, and it was largely written off with a $15.7 million impairment in 2021. Those years also carried heavy stock compensation and, in 2022, a $7.3 million restructuring. Owner earnings in 2019-2022 ranged from slightly negative to minus $0.81 per share. Goodwill write-downs of $8.8 million (2019) and $25.0 million (2020) were accounting charges with no cash cost, so we added them back. They do not explain the weak results. THE TAX JUDGEMENT Spok pays almost no cash income tax. It paid $0.2 million in 2023, because it is still using up tax assets built from past losses and tax-deductible intangibles. Those assets stood at $36.5 million at the end of 2025 and $35.0 million at June 30, 2026. About $5.2 million of the $21.3 million starting figure comes from not paying tax. That benefit is finite, so we value it separately as an asset that runs out over roughly seven to ten years, worth about $1.30 per share. We value the operating business as if it paid full tax, which gives about $16.1 million a year. WHAT DRIVES IT The number of pagers in service falls every year. It went from 720,000 to 675,000 in 2025, down 6%. Price increases in September 2024 and September 2025 raised average revenue per pager from $7.97 to $8.20, so paging revenue fell only 3.4% in 2025 and 3.0% in 2024. In 2016-2017, before these price increases, paging revenue fell 7-8% a year. Management states that it expects wireless demand to keep declining. Software revenue grew 4.8% in 2025, driven by managed services, which roughly doubled from $3.3 million to $6.6 million. Maintenance and subscription revenue slipped 2.1%. The first half of 2026 was softer. Revenue was $68.2 million against $72.0 million a year earlier (-5.2%). Operating income was $7.9 million against $11.4 million, including $1.9 million of restructuring charges. The weakness was concentrated in the first quarter. In the second quarter revenue was down only 1.9%, and operating income was flat even after a $1.5 million restructuring charge. The filings we reviewed do not detail what the 2026 restructuring covers. Owner earnings fell 0.5% in 2025 (2.8% per share). Our base case assumes a steeper 4% decline in the first year because of the weaker first half. THE CASES (all discounted at 6%) Base case, about $8.75 per share: after-tax owner earnings fall 4% in the first year and then 3% a year through 2035. That matches the paging revenue record since the price increases began, with software roughly flat. After 2035 the business keeps shrinking at 5% a year, as pager attrition continues, and we assume no end-state growth. The remaining tax assets add about $1.30. Bear case, about $6.10: price increases stop offsetting lost pagers, and paging returns to the 7-8% yearly declines of 2016-2017, while software maintenance keeps eroding. Earnings fall 8% a year for a decade and 10% a year after that. Because Spok has no debt, even this path leaves shareholders with a slowly shrinking income stream rather than a loss to creditors. Bull case, about $10.77: yearly price increases keep largely offsetting pager losses, and managed services keeps growing. The decline is held to about 1% a year for a decade and 3% a year afterward. WHAT THE SHARES ARE WORTH We estimate the shares are worth about $8.75, with a range of roughly $6 to $11. This is a shrinking cash stream, not a growth business, so the margin-of-safety price is about $5.50. That is well below our base value and slightly below the bear case. THE DIVIDEND Spok pays $1.25 per share a year, which cost $27.3 million in 2025. That is more than the business's roughly $21 million of owner earnings. Cash fell from $35.8 million at the end of 2022 to $16.6 million at mid-2026. At some point the payout has to come down toward what the business earns. A cut would not change our value, which rests on the cash the business produces, not on how much of it is paid out. Spok has not bought back shares since 2019, and equity awards add about 1% to the share count each year. Our per-share values use 21.2 million diluted shares. WHAT WOULD MAKE THIS WRONG The main risk is hospitals abandoning pagers faster than the 6% yearly rate seen in 2025, or resisting further price increases. Either would push results toward the bear case. On the upside, managed services has doubled two years running (2024 and 2025). If that continues, the software half could offset more of the paging decline than we assume.
