Business condition attached to the margin of safety At least two consecutive quarters of positive operating cash flow before working-capital swings and quarterly revenue that has stopped falling year over year.
Synergy CHC sells consumer health and wellness products through two brands it bought in 2015: FOCUSfactor, a brain-health supplement, and Flat Tummy, a weight-management and lifestyle line. Products are made by third parties and sold through Costco, Amazon, Walmart, Walgreens, BJ's, The Vitamin Shoppe and the company's own websites, with small footprints in Canada and Mexico. Gross margins are high (about 67% in 2025), but the business is small, shrinking and carries heavy debt. How we measure earnings. We start from operating cash flow, remove swings in receivables, inventory and payables, and subtract stock-based pay and any capital spending (the company reports none since 2019). Large non-cash items are added back because they are not ongoing cash costs, including a $4.4 million related-party loan write-off and $2.3 million of other receivable write-offs in 2025. On that basis owner earnings per share were about $(0.25) in 2018, $0.32 in 2019, $0.28 in 2023, $0.27 in 2024 and $(0.44) in 2025. No annual filings are on record for 2020 to 2022. Figures are adjusted for the September 2024 1-for-11.9 reverse split. What changed. Revenue fell from $42.8 million in 2023 to $34.8 million in 2024 and $30.4 million in 2025. The 2025 figure includes $2.9 million of license revenue recognized early in the year and then reversed in the fourth quarter when the licensee cancelled. First-quarter 2026 revenue was $5.5 million versus $8.2 million a year earlier, and the quarter produced a net loss of $2.6 million with cash used in operations of $2.0 million. Two consecutive periods of weakness mean we no longer treat the 2023-2024 earning level of roughly $2 million a year as the current run rate. Debt. In May 2025 the company borrowed $17.5 million from ACP Agency at SOFR plus 8.5% (12.5% at year-end), due May 2029. In November 2025 it also took a $3.0 million receivables-sale cash advance (only $2.0 million received) repaid at $84,000 a week. A second amendment to the term loan was signed in 2026. Management states it is in compliance and concluded that funding is adequate for the next twelve months, helped by $3.7 million of stock sold in 2025, a stock-sale program and 13 layoffs; the filing shows a stockholders' deficit of about $23 million. We charge this leverage to the bear case only; no debt is subtracted from value in the base or bull cases because interest is already paid out of the cash flows we use. Bear case: $0 per share. Revenue keeps falling at roughly the recent pace, gross profit does not cover marketing, overhead and about $2 to 3 million of annual interest, and cash burn like the first quarter of 2026 continues. The equity is then wiped out or heavily diluted before the loan matures. The company appears to owe more than the business is worth in this case, by an amount we cannot pin down, since the $17.5 million loan and other borrowings would exceed what the brands could earn. Base case: $0.15 per share. Two more years of losses (about $3.5 million in 2026 and $0.5 million in 2027) as the layoffs and lower marketing spend take hold, then about $1.0 million of annual owner earnings for eight years, fading after that. We give no credit for growth. The brands are 25 years old and were cash positive in 2019, 2023 and 2024, so they have some staying power, but a recovery to the earlier level is not yet evidenced. Funding the losses would likely require issuing more shares, which this per-share figure does not capture and which could push the value lower. Bull case: $1.60 per share. Revenue stabilizes near $30 million, the cost cuts hold, and owner earnings return to the roughly $2 million a year the company produced in 2023 and 2024, after a 2026 loss, for ten years and then a slow fade. We do not include the energy-drink line (pilot sales only), Mexico or other new products because none has yet produced meaningful revenue. What would make this wrong. Upside: the second half of 2026 shows positive cash flow with revenue stable. Downside: further receivable or inventory write-offs, loss of a large retail customer, or lenders enforcing terms after another covenant reset. The filing does not break out revenue by retailer or country, so customer concentration could not be checked. Margin-of-safety price. Given a bear case of zero, high leverage and a very small company, the margin-of-safety price is set at a small fraction of the base value, and applies only once the business shows two quarters of positive cash generation and stable sales.
