The Simply Good Foods Company sells nutritional bars, shakes and snacks under three brands, all made by contract manufacturers: Quest (high-protein bars, chips and shakes), Atkins (low-carb bars and shakes) and OWYN (plant-based protein shakes). In fiscal 2025 (year ended August 30, 2025) sales were $1,451 million: Quest $864 million, Atkins $421 million and OWYN $137 million. About 98% of sales are in North America. Walmart bought about 31% and Amazon about 18%, and neither has a purchase commitment. What we measure. We value the cash the business produces before paying its lenders, then subtract what it owes. Our measure starts from operating cash flow, removes working-capital swings, deducts stock compensation as a real cost, deducts the capital spending needed to stay in business, and adds back interest paid. On this basis the business produced between $167 million and $200 million a year from fiscal 2021 to 2025, with a median of $189 million. Fiscal 2018 to 2020 describe the smaller, pre-Quest company and are not used. What changed this year. Fiscal 2026 broke from that record. Sales for the nine months to May 30, 2026 fell 5.4% to $1,023 million. Atkins fell 22.6%, and 24.6% in the third quarter alone, after Walmart cut the number of Atkins products it carries. Quest rose only 3.4%, and 1.1% in the third quarter, after growing 14% and 11% in the previous two years. OWYN fell 5.5% on weak sales per store. Gross margin fell to 32.2% from 36.2% because of input costs and tariffs. The company wrote down $331 million of goodwill and brand values. That charge is non-cash and does not reduce our figures, but it reflects management's own lower expectations for Atkins and OWYN. Cash produced before interest was $113.5 million for the nine months. That figure is held down by about $31 million of one-time integration, restructuring and loan costs, and held up by unusually low cash taxes this year; the two roughly offset. We therefore start from about $155 million a year. Fiscal 2025 grew 6%, but we assume a further decline in fiscal 2027 because Atkins shelf losses are still working through. Former CEO Joe Scalzo returned in January 2026 and has begun cost cuts; we give no credit for savings beyond those already visible in the third quarter. Debt. The company owes $400 million on a floating-rate term loan, raised from $250 million in November 2025, when the maturity was also extended three years to about 2030. Against that it holds $124 million of cash, of which we count about $64 million as surplus, so net debt is roughly $336 million. This year it also spent $213 million buying back shares. There are about 89.5 million diluted shares. Base case: $14.85 per share. Atkins keeps shrinking on its visible path: about 15% in fiscal 2027, 12% in 2028, 8% in 2029, then 5% a year. Quest and OWYN are held flat; Quest's slowdown to about 1% growth gives no evidence for more, and no evidence yet that it is fading. Margins stay at today's level. Cash before interest is about $148 million in fiscal 2027, $139 million by 2030 and $131 million by 2036, holds near $120 million through year 20, and fades to zero over the following ten years. Atkins itself shows that a diet-brand franchise can last decades and then erode. The business is worth about $1,665 million; less $336 million of net debt, that leaves $1,329 million, or $14.85 per share. Bear case: $2.71 per share. Diet and nutrition brands have collapsed before: the 2004-05 low-carb bust took Atkins' then-owner into bankruptcy in 2005. In this case Quest follows the path Atkins is on now. Walmart and Amazon together take about half of sales and could cut Quest as Walmart cut Atkins, while protein bars from larger food companies compete for the same shelf. Atkins falls 30%, 25% and 20% over three years, then 10% a year. Quest and OWYN fall 6% a year for three years, then 3% a year. Tariff and input costs take another $5.5 million a year for two years. Cash before interest falls to $97 million by fiscal 2028 and $36 million by 2036, and the story ends after 15 years. Cash still covers the roughly $23 million of yearly interest through about year 11, but the 2030 maturity would have to be refinanced against about $66 million of yearly cash, roughly six times that year's cash. The business is worth about $579 million; less $336 million of debt, that leaves $243 million, or $2.71 per share. Bull case: $24.44 per share. Atkins losses end after two more years (down 15%, then 5%). Quest grows about 3% a year for five years, well below its record since the 2019 acquisition, during which it grew every year until this one. Cost actions already under way add about $10 million a year. Cash before interest rises to about $191 million by fiscal 2031, holds for 25 years and then fades. The business is worth about $2,524 million; less $336 million of debt, that leaves $2,188 million, or $24.44 per share. What we left out. We gave no credit for a return to double-digit Quest growth, recovery of the 36% gross margin, tariff relief, new products or acquisitions, or management's turnaround targets. None of these is yet visible in results. Margin of safety price: $8.00. We are reasonably confident of the current earning level. It rests on three quarters of reported results, and the business needs little capital: it owns no plants and spends about $20 million a year on equipment. We are much less sure of its direction. The worst plausible outcome is that Walmart or Amazon treat Quest as Walmart treated Atkins. The business would survive that: it has no plants to close, net debt of about 1.2 times this year's adjusted operating profit, and no maturity before about 2030. But the shares would then be worth little more than our bear case. The two judgements we are most likely to get wrong are whether Quest holds flat and whether margins hold; if both fail moderately, value lands around $6 to $8. The company pays no dividend. At $8 a share, the business earns roughly $1.45 per share a year after interest, about 18% of the price, and on that pace cumulative earnings would equal most of that price within about six years even if the base case slips. The price therefore assumes a holding period of several years and does not depend on Quest recovering. What would make this wrong. The shares are worth more if Atkins losses stop sooner or Quest growth returns. They are worth less if Quest loses distribution at its two largest customers, or if the fiscal 2026 annual report, due later this month, shows a weaker fourth quarter than the third.

Sales geography
United States, sold nationwide (Northeast, Midwest, South, West) through mass merchants, club, grocery, e-commerce, convenience and specialty stores; Walmart about 31% and Amazon about 18% of sales. North America (United States and Canada) about 98% of sales; international about 2%, led by Australia, New Zealand and the United Kingdom.
Historical growth strategy
Built by acquiring nutrition brands (Atkins 2017, Quest 2019 for about $1 billion, OWYN 2024) and scaling them through national retail and e-commerce distribution on an asset-light, contract-manufactured model, adding new product formats under each brand and repaying acquisition debt from operating cash.
Chart analysis
A chartist would see a long-term top: about $41-42 in April 2022 and about $38 in early 2025, followed by a steep downtrend that roughly halved the price through 2025 and halved it again in 2026. Since July 2026 the stock has traded in a $9.50-11.50 base, with the 52-week low near $9.38. That looks like possible capitulation and consolidation, but there is no confirmed reversal. Bulls want a close above about $13.30 (the June high); a break below $9.40 would signal the downtrend resuming.
