Solesence, formerly Nanophase Technologies, makes coated mineral particles, mostly zinc oxide, at plants in Romeoville and Bolingbrook, Illinois. It sells them as sunscreen ingredients (BASF is its main ingredient customer) and, increasingly, formulates and contract-manufactures finished sun-care and skin-care products for other brands. Consumer products were 88% of 2025 revenue. Revenue grew from $10.8 million in 2016 to $62.1 million in 2025, but the business has rarely produced spare cash for its owners. How we measured earnings. We start from operating cash flow. We strip out working-capital swings, charge stock pay as a cost, and deduct the capital spending needed to keep the plants running. Spending that clearly paid for growth is not charged. Interest is added back so that we value the business before its lenders. On that basis the business produced roughly +$1.1M (2020), +$1.6M (2021), -$3.6M (2022), -$2.3M (2023), +$1.7M (2024) and +$2.8M (2025). The median of these six years, from the point where finished consumer products became the main business, is about $1.4 million a year, or about 2 cents a share. In 2025 the reported $1.8 million profit sat beside an $8.6 million cash outflow, because customer prepayments were used up, suppliers were paid down and inventory stayed high. The accounting problem. In August 2026 the company told investors not to rely on its financial statements from December 2023 through March 2026. Labor and overhead had been loaded into inventory on unsupported budget percentages, which overstated inventory. The restated figures cut shareholders' equity at the end of 2025 from $17.6 million to $14.1 million, and at the end of 2024 from $14.9 million to $10.4 million. The corrected 2025 profit is about $1.0 million higher than first reported. The corrected 2023 and 2024 annual accounts had not yet been filed when we did this work. The fix will most likely lower 2024 earnings, which is one of the stronger years in our window. For that reason we set the normal level at about $0.8 million a year, below the $1.4 million median. The mid-2026 quarterly report was filed before the auditors had finished their review. Where things stand now. In the first half of 2026 revenue fell 19% to $28.3 million and the company lost $1.1 million. In the second quarter one customer was 58% of sales, up from 33% a year earlier. Cash was $1.0 million against current liabilities of $26.0 million. A $938,000 settlement with Refy Beauty was agreed in July 2026. All borrowings, about $14.3 million, come from Beachcorp and Strandler, companies affiliated with Bradford Whitmore, who owns a majority of the shares. The borrowings cost about 7.5% and mature on April 30, 2027. In August 2026 the lender waived an inventory-borrowing limit breached because of the restatement. Separately, BASF can require the company to sell it the related production equipment at a formula price if supply performance targets are missed. What the shares owe. Net debt is about $14.9 million: $14.3 million of related-party loans, plus about $0.6 million for the extra cost of borrowing above our benchmark rate until 2027. Cash on hand is treated as needed to run the business. Operating leases and the Refy payments are already counted in the cash flows. The diluted share count is 70.6 million. Base case. 2026 burns about $2.5 million, reflecting first-half results and the settlement. 2027 breaks even. From 2028 the business returns to a normal $0.8 million a year for eight years, then fades to zero over five years. Nothing has been built that would keep this going longer: there is no contracted backlog, and a single customer carries the volume. No growth is credited. The rise in sales from 2021 to 2025 came from winning new brand customers, which is not secured, and the same customer churn has now reversed part of it. The business is worth about $2.9 million against $14.9 million owed, so the company appears to owe about $12 million more than it is worth: roughly -$0.17 a share. Bear case. 2026 is the same as the base case. Then the largest customer, now more than half of sales, is lost or sharply reduced, as happened when 2019 revenue fell 12% and the business lost $3.4 million. That brings losses of about $3.6 million in 2027 and $2.3 million in 2028. Afterwards a smaller ingredient-led business makes about $0.5 million a year for five years. On these numbers the business has negative value: about -$5.7 million against $14.9 million of debt, a shortfall of about $20.6 million, or -$0.29 a share. In practice the controlling shareholder's lenders would take the assets or force heavy dilution, so ordinary shareholders would be left with nothing. Bull case. The restatement is completed and the loans are extended. 2026 loses $1.5 million. 2027 recovers to $1.4 million. From 2028 the business repeats its best restated year, 2025, at $2.8 million a year for eight years, then fades over ten years as customer relationships turn over. The business is worth about $21.0 million against $14.9 million owed: about $6.2 million of equity, or $0.09 a share. Margin of safety price. Our confidence in the earnings level is low. Two of the six years in our window will be restated, the latest quarter is unreviewed, and only two of the last ten years produced meaningful cash. The worst plausible outcome is losing the dominant customer while the April 2027 maturity is pending. With $1 million of cash and all debt held by one controlling shareholder, the company has nothing to absorb that shock. If we are wrong about the normal earnings level or about customer retention, the shares are worth nothing. The business pays no dividend over the holding period. The middle and low outcomes both leave nothing for shareholders, and only the best outcome leaves a few cents a share, so there is no price at which the cases imply a 20% annual return. We therefore set no margin of safety price. That would change only if the restated accounts showed a cash-generating business at a materially higher level than we have assumed, and if the related-party debt were refinanced on longer terms. Previous estimates were made on a different basis and are not comparable. The business facts that moved since our last look are the August 2026 restatement, a second-quarter sales decline of 25%, a sharp rise in dependence on one customer, and the Refy settlement.

Sales geography
United States (predominantly, sold to US skin-care and sun-care brands); ingredient sales through BASF, headquartered in Germany, for worldwide distribution.
Historical growth strategy
Organic. Repurposed its zinc-oxide particle technology from selling ingredients (mainly to BASF) into formulating and contract-manufacturing finished sun-care and skin-care products for brand customers. Growth was funded by related-party credit lines and preferred stock from its controlling shareholder, plus capacity expansion at leased Illinois plants.
Chart analysis
A chartist would see a long-term low-priced stock that spent most of its history between a few tens of cents and a couple of dollars. Rallies came in bursts, around the 2020-2021 consumer-products ramp and again during the 2024-2025 revenue surge, and each one failed to hold. The 2026 picture would read as a breakdown: the revenue decline and the August 2026 restatement announcement pushed prices below prior support. A chartist would treat technical levels as unreliable and wait for a base to form before calling any trend change.
