Business condition attached to the margin of safety Owner earnings (cash generated after fairly counting the cost of stock-based compensation) turn positive and hold positive for two consecutive fiscal years, confirming the fiscal-2025 recovery is durable rather than another short-lived peak like fiscal 2022 that reverses in the following down-cycle.
Silicon Laboratories designs low-power wireless connectivity chips used in industrial equipment, smart-home devices, and other "Internet of Things" products, sold through two segments: Industrial & Commercial and Home & Life. In July 2021 the company sold its larger Infrastructure & Automotive business to Skyworks Solutions for $2.75 billion in cash, becoming the smaller, pure-play connectivity chip company it is today. Because that sale reshaped the business, our analysis is built on the four full fiscal years since (2022-2025) rather than the longer, larger-company history that came before. Those four years tell a genuinely volatile story, which is why our valuation range is unusually wide. Fiscal 2022 was a standout year, with revenue over $1.0 billion as the post-pandemic chip shortage kept demand and pricing elevated. That reversed sharply in 2023-2024: customers who had over-ordered worked down bloated inventories (the company's own inventory fell from $194 million to $106 million), revenue dropped to $584 million at the 2024 trough, and the company posted net losses both years. Fiscal 2025 showed a real recovery - revenue grew 34% to $785 million and gross margin rose from 53% to 58% - though the company was still not GAAP profitable. A key judgment in our analysis: stock-based compensation has run $48-80 million a year, roughly 8-10% of revenue. We treat this as a genuine cost to shareholders (it dilutes ownership just as if it were paid in cash), which is why the cash actually available to owners was negative in three of the last four years even though reported operating cash flow was healthier. This is the single biggest driver of our valuation. Our base case assumes the 2025 recovery continues at a measured pace - revenue growing back toward, but not necessarily beyond, the 2022 peak over several years, margins holding near current levels, and stock-based compensation gradually shrinking as a share of a larger revenue base, similar to the pattern at other maturing chip companies. This produces owner earnings that improve steadily from roughly breakeven to solidly positive over the next decade. Our bear case assumes the improvement stalls - a repeat inventory correction, continued heavy reliance on two large distributors (Arrow Electronics and Edom Technology, together about half of 2025 revenue) that concentrates channel risk, and stock-based compensation that stays high because revenue does not grow enough to dilute it - leaving owner earnings negative or barely positive for most of the decade. Our bull case assumes design wins convert faster than typical, the smart-home and industrial IoT markets adopt the company's chips more broadly, and operating leverage plus a shrinking compensation-to-revenue ratio produce much stronger, sustained owner earnings growth. For the years beyond our ten-year forecast in all three cases, we assumed the business simply holds its year-10 earning power (no further growth), since ongoing product development and equipment spending already embedded in our cash-flow measure should let the company sustain, but not necessarily grow, its position in a competitive chip market. In our base and bull cases, this "what happens after year 10" assumption accounts for roughly two-thirds of the total value, and in the bear case it accounts for effectively all of it - so the value estimate leans heavily on a view that the company survives its current down-cycle and reaches a stable, modestly profitable state, not on near-term profits, which are still negative or breakeven today. One factor working in the company's favor that isn't reflected in the numbers above: it holds $444 million in cash and short-term investments with no debt outstanding, giving it a substantial cushion to fund the business through further cyclical weakness without needing to raise capital or cut investment. Given the width of this range - a reflection of real cyclical and competitive uncertainty in the semiconductor business, not a gap in the research - our estimate of fair value is toward the lower-middle of what a steadier, more predictable business would command, and the margin-of-safety price sits at a large discount to that fair value, mainly to allow for the real chance that the 2025 recovery does not hold.

Anchor window = median of FY2022-FY2025 (4 years), the only years on the current post-divestiture (pure-play IoT connectivity) basis; window covers one full up-down-recovery cycle (FY2022 peak, FY2023-24 trough, FY2025 recovery). Pre-FY2022 figures describe the larger, pre-divestiture entity (including the since-sold Infrastructure & Automotive business) and are not written to this table because they are not on a comparable basis and are not used in the valuation.

Note: the $37.5M WC inflow (mainly a large intentional inventory reduction, inventory fell from $194.3M to $105.6M) flattered CFO relative to true earnings power in the trough year of the 2023-2024 inventory-correction downcycle; removing it is why OE is markedly more negative than reported CFO.
