SB Financial Group is a 123-year-old community bank holding company based in Defiance, Ohio, operating State Bank across northwest Ohio and northeast Indiana with roughly $1.5 billion in assets, alongside wealth management and title insurance businesses. Over the past decade its earnings per share compounded at about 6 percent a year, rising from $1.19 in 2015 to $2.19 in 2025, but the path was anything but smooth. The company runs a substantial residential mortgage operation that originates loans and sells them into the secondary market, and that business swings hard with interest rates: fee income peaked at $30.7 million during the 2020 and 2021 refinancing boom and has since settled near $17 million, taking earnings per share from $2.56 in 2021 down to $1.72 in 2024. That is not a one-off shock but the normal rhythm of a bank that keeps a mortgage sales desk, and we treat it as a permanent feature of the business rather than an aberration. Earnings recovered to $2.19 in 2025 as lending margins widened from 3.06 to 3.47 percent and the loan book grew nearly 13 percent, and the first half of 2026 has run meaningfully ahead of that pace. Management has also been steadily shrinking the share count, repurchasing roughly 3 percent of shares a year while raising the dividend in each of the last five years, which quietly adds to per-share results. Our downside case assumes the cycle turns against the bank again: deposit costs climb, lending margins compress back toward 3 percent, and loan losses normalize from today's unusually low level of about two hundredths of one percent of loans to something closer to a typical credit cycle. That combination pulls earning power back to roughly $2.00 a share with almost no growth for a decade, and discounting that stream at a demanding rate gives about $18 a share, modestly below stated book value and close to tangible book. The base case assumes returns on equity hold near 10 to 11 percent, the balance sheet grows in the low-to-mid single digits, and buybacks continue, which is worth roughly $28 a share. The upside case assumes the recent momentum proves durable, mortgage fee income eventually recovers as rates ease, and returns on equity move into the low teens, worth about $43.50 a share. Because this is a bank, we discount the earnings available to shareholders directly rather than adding a cash cushion on top of the result. A bank's cash and borrowings are the raw material of its business, not surplus assets, so counting them as extra value alongside the earnings they produce would count the same money twice. We also checked each scenario against what the bank's book value and return on equity independently imply it is worth, and settled on the more conservative of the two answers. We anchor our buying price on the downside case rather than the base case. This is a small, geographically concentrated bank that, like all banks, operates with substantial leverage, and its earnings have already shown a one-third peak-to-trough swing within the last five years for reasons intrinsic to how it makes money. Credit costs sit near record lows and can realistically only rise from here. We are roughly 70 to 75 percent confident in the downside figure, so we require about a 30 percent discount to it, which puts our buying price at $12.50. That is well below where the shares trade today; at recent prices the market is already paying something close to our base case, leaving no cushion for the next turn of the mortgage cycle. The company's disclosures are complete and consistent across every year we examined, so this is a judgment about the volatility of the business rather than a gap in the information.
